2015 Long Term Incentive Plan Awards

 

On 23 July 2015 (the "Grant Date") Executive Directors and Persons Discharging Managerial Responsibilities ("PDMRs") were granted conditional Share Awards over ordinary shares in the Company under the Royal Mail Group Long Term Incentive Plan (the "LTIP "), as set out below:

The LTIP award is a conditional grant of shares, which only vests and becomes exercisable on the third anniversary of the Grant Date, subject to the participant continuing to hold an office or employment within the Group and the achievement of three, stretching, independent performance conditions measured over the three year period:

 

1.

Earnings Per Share (EPS): applies to 50 per cent of the total number of shares held under the award,

2.

Operating profit margin before transformation costs: applies to 35 per cent of the total number of shares held under the award,

3.

Total Shareholder Return (TSR) vs a comparator group: applies to 15 per cent of the total number of shares held under the award.

 

In addition, Mr Rico Back has also been granted a Conditional Share Award over 56,788 shares under the GLS Long Term Incentive Plan. His Share Award will normally vest on the third anniversary of the Grant Date subject to continuing employment and the achievement of GLS EBIT related Performance Conditions.*

 

 No consideration was paid for the grant of the Share Awards.

 

This announcement is made in accordance with the requirements of DTR 3.1.4R.

 

* It should be noted that Mr Back's 2014 Award, announced on 25 July 2014, was also granted under the GLS Long Term Incentive Plan and not under the Royal Mail Long Term Incentive Plan as originally disclosed.
