British American Tobacco PLC16 May 2006 DIRECTOR/PDMR SHAREHOLDING The independent trustee of the British American Tobacco Group Employee Trustnotified the Company on 16 May 2006 that 500 British American Tobacco p.l.c. 25pordinary shares (the "Shares") released in error to participants in theCompany's share option scheme in March 2006 had been returned to the Trust. Theparticipants to whom the Shares had been released were not directors of BritishAmerican Tobacco p.l.c. On the same day, the independent trustee notified the Company that it had on 15May 2006 released 8,639 British American Tobacco p.l.c. 25p ordinary shares (the"Shares") to satisfy the exercise of options under the Company's share optionscheme. Following these transactions, the independent trustee of the British AmericanTobacco Group Employee Trust holds a total of 21,342,304 Shares. The following executive directors, together with other employees, are potentialbeneficiaries under the trust, and are therefore deemed to be technicallyinterested for Companies Act purposes but were not connected with thetransaction that took place on the above mentioned date: Mr P N Adams, Mr P ARayner and Mr A Monteiro de Castro.
