Strix Group plc (AIM:KETL), the global leader in the design, manufacture and supply of kettle safety controls and other components and devices involving water heating and temperature control, steam management and water filtration, announces that it received notification from Mark Kirkland, Non-Executive Director, that an aggregate of 6,315 ordinary shares of £0.01 each in the Company ("Ordinary Shares"), held via a trust arrangement administered by Praxis Group Limited ("Praxis Group"), have been tendered pursuant the Tender Offer, as decided by the Trustees. In accordance with the terms of that trust arrangement, Mark had no involvement in the Trustees' decision to tender those Ordinary Shares.

Following this disposal, Mark will be beneficially interested in 57,298 Ordinary Shares representing approximately 0.03% of the issued share capital of the Company.

The notification below, made in accordance with the requirements of the EU Market Abuse Regulation as it forms part of UK domestic law by virtue of the European Union (Withdrawal) Act 2018, provides further detail.

Cash in on the ISA for tender shares , was not such a bright idea sells higher today then the 43p.

Capital Return Update

On the 9 April 2026, the Group launched a proposed Tender Offer, considering it to be the most appropriate and efficient mechanism of returning capital, enabling all eligible shareholders to participate on an equitable basis. It was subsequently announced on 5 May 2026, that the Tender Offer had been fully taken up at the Tender Offer Price of 43 pence, therefore successfully returning £10m to shareholders.

On 4 February 2026, the Group also commenced a £10m share buyback programme. Up until 9 April 2026, 8,357,417 Ordinary Shares have been purchased under that programme for an aggregate consideration of c.£3.4m, at an average price of c.41.2 pence per share.

As announced on 9 April 2026, the Company paused the Buyback Programme until after completion of the Tender Offer on 14 May 2026.

Controls momentum is improving, Q1 CY26 volumes up YoY in the seasonally weakest quarter, despite a slower China recovery. New low‑cost controls are reopening price‑competitive markets, with OEM adoption of next‑gen controls supporting market share rebuild and future revenue protection.

Water filtration remains the strategic growth lever, higher margin profile, structural market growth at 2.5x–3x GDP. LAICA’s product innovation, chemical and bacteria exclusion and mineral enhancement underpin a positive medium‑term outlook.

Cost pressures persist but are actively managed. January price rises are offsetting earlier copper and silver inflation, while plastics now present a risk amid Middle East disruption. A further £2m gross annual cost reduction plan targets delivery by mid‑CY27.

Capital discipline and valuation stand out. The £10m tender offer was oversubscribed, reducing share count and lifting adj. EPS to 2.5p. Estimates are otherwise unchanged, net cash still strong, with the shares trading at a 33% discount to the unchanged 62p fair value.
