Spectris plc: Director/PDMR Shareholding
This notification is made under Article 19(1) of the EU Market Abuse Regulation 596/2014 ("MAR") and relates to the grant of a share award under the terms of the Spectris plc Performance Share Plan ("PSP") to persons discharging managerial responsibilities ("PDMRs").
On 6 September 2018, Andrew Heath, a director and PDMR of Spectris plc (the "Company"), accepted a grant of options over 21,372 ordinary shares of 5p each ("Ordinary Shares") in the Company, pursuant to the terms of the PSP. This grant is made in accordance with the Group's Remuneration Policy.
The total number of ordinary shares over which options were accepted on 6 September 2018 represents less than 0.1% of the Company's issued ordinary share capital on that date.
No consideration was paid for the grant of the awards.
The vesting of these options is subject to the continued employment of Andrew Heath and to the satisfaction of Group financial performance conditions, those being: Group EPS; Group Economic Profit; and Total Shareholder Return in equal parts, as determined by the Remuneration Committee. The options will normally vest on the later of the third anniversary of grant and the determination of the performance conditions and are subject to an additional two-year holding period on vesting. To the extent that the options vest, they will be exercisable from the end of the holding period until 3 September 2028, the tenth anniversary of the date of grant.
The option price payable by Andrew Heath on the exercise of his award is 5 pence per share.
