FOR IMMEDIATE RELEASE November 23, 2006 NOTICE OF EXTRAORDINARY GENERAL MEETING OF SHAREHOLDERS Rambler Media Limited ("Rambler Media" or "the Company"), the leading providerof internet and multimedia services to the global Russian-speaking community,announces that, at a meeting of the Company's Directors, Mr Oleg EdwardRadzinsky signified his intention to resign from the Board of Directors. As aresult, the company is convening an Extraordinary General Meeting ("EGM") ofshareholders on Tuesday 12 December 2006 at 11.30 am at the registered officesof the Company, located at First Island House, Peter Street, Helier, Jersey tosupport the following resolutions: 1. To accept the resignation of Mr Oleg Edward Radzinsky as a Non-executive Director of the Company. 2. To consider and if thought fit appoint Mr Sergey Tikhonov as a Non-executive Director of the Company. 3. Any other business. Mr Sergey Tikhonov was put forward to be elected as a Non-executive Director inaccordance with the provisions of the Company's articles of association. Mr Sergey Tikhonov, who is the Head of Strategy and Investments at Prof-Media, aRussian media holding company, which has recently acquired 48.8% of RamblerMedia shares through its subsidiary PM Invest Company Limited, with theintention to acquire a further 6% share in the Company from Endicott HoldingsLimited subject to the approval of the Russian Federal Antimonopoly Service. Sergey Tikhonov (40) has worked at Prof-Media since 2004, which he joined fromInterros Holding. Sergey has extensive experience in investment banking, havingworked for Renaissance Capital and ING Barings in Moscow from 2000 to 2003 andfor Lehman Brothers in New York from 1998 to 2000. Sergey is a graduate of theLomonosov Moscow State University and holds two degrees from Columbia University- a Master's degree in Political Science and a MBA. A copy of the Notice of EGM along with the form of proxy have been sent toshareholders and will be available to the public for one month free of chargefrom the offices of First Island Secretaries Limited, First Island House, PeterStreet, St Helier, Jersey, C.I., JE4 8SG. To participate in the EGM, all proxy forms should be returned to First IslandSecretaries Limited, First Island House, Peter Street, St Helier, Jersey, C.I.,JE4 8SG, marked for the attention of Jane Dolby and must be received no laterthan 48 hours prior to the meeting. Any proxies received after this time willnot be eligible to vote. The Directors recommend that shareholders vote in favour of the resolutions.
