PDMR Transactions relating to The Morgan Crucible Bonus Deferral Share Matching Plan (the 'Plan')

Grant of Deferred Bonus and Matching Awards

The Morgan Crucible Company plc (the 'Company') announces that on 21st March 2012 the following awards over ordinary 25p shares in the Company ('Shares') were granted to three Executive Directors and other persons discharging managerial responsibility ('PDMRs') under the Plan.

The Plan comprises two, linked awards:

Deferred Awards granted following the Executive Directors' and other PDMRs' election to convert part of their bonus for the financial year 2011 into a deferred entitlement to Shares. The award relates to pre-tax bonus for all executives other than Mr Klas, whose award relates to post-tax bonus due to local taxation requirements. The Company's mid-market closing Share price on the day preceding the date of grant was 330.50p; and

Matching Awards, the vesting of which is linked to continued service and an Earnings per Share-based measure of growth over a three-year period. At the top end of the performance scale, the Matching Award would vest at three times the number of Shares comprised in the Deferred Award (adjusted for tax in the case of Mr Klas).

The transaction described above involves an immediate acquisition of Shares by Mr Klas only in relation to the 17,175 Shares in his Deferred Award. The effect of the transaction is that Mr Klas's shareholding in the Company will increase to 281,307 Shares, giving him a total percentage holding of 0.101%.

This notification relates to transactions notified in accordance with DR 3.1.4R (1) (a).
