Morning Colour, can you go a bit deeper regarding finance, as I see it apart from giving it all away already, we have £15m in the bank with very long repayment dates (the temporary deposit costs for all of these, possibly 10m units, AMISP's being low). Cost of initial initial stock for Goa should be recoverable from Esyasoft as they took on Installs, after that the RDSS set ups finance themselves. You say CC has not got the experience but they did Indore and seem to have a lot more involvement in Intellismart projects, time has done CC a favour in hand's on, questionable the management element with all the comings and goings who have previously had to be paid off. All in all if left alone I still think they could do well with all the contracts that lay ahead.

Afternoon all, the only way I see to kick start Smart is to make night usage say 2300 to 0700 dirt cheap for say 2 years, giving an end date but don't put the day rate up to balance the books. There are only so many things that can be done at night, so its a loss leader.

Well Harley, I think with Smart CC was set to make a killing and Esyasoft knows that, they are not going to hang around owning a looser. Vas ,to me pre paid was a bit of an insult to India public, treating them all as poor and unreliable. Fortunately CC Smart covers both, but probably will not bother us.

Morning all, I can remember about 2024 when SP had dropped to 17p somebody saying could go a lot lower, I thought not possible after being above 20p. Of course apart from always being on the breadline CC like a gambler could never face having a penny in the bank. Any income was lavished on extra offices abroad, existing staff, new staff (160 of them), new figurehead personnel, charities (unbelievable, expect that school will be left in the lurch).

Everybody taken into account except the owners, breath taking JC, so unless you have some sophisticated way out of this for shareholders you should worry. Although Arqiva I think are having a rough spell up North I bet anybody who knows JC from past is having a good laugh.

Apart from Esyasoft it almost looks like reading Jan26 onwards. There being upbeat comments referring to establishing ourselves in UAE without even giving a thought us reaching the golden grail after 10+ years of breakeven and may be a profit for shareholders, which JC should have been doing. I defended, thinking all this way we must be coming near to end, paying back shareholders. I now think that unless I have missed something JC had no intention of doing that, just onwards and upwards with his empire. He may prove us all wrong but appears on the little (no) information we have that he has met his own personal goal. Others on here would probably still say we have not been shafted but everything points that way.

To be honest Colour, for all that has happened I did not expect JC to land us in this mess.

LTI, this may be a tall order but regarding your last install update, is there any way,out of all meters, telling how many contained CC Smart. A lot of contracts I know.

For the clever sods amongst us, is there any way with this information we could call upon the bigger investors to back us up.

When you consider the amount of money that has been spent over the years, R&D, Staff, Losses on stock purchases (abandoned), the whole excise must have taken us into £100m layout. So £37m for the whole setup including protected Smarts products, JC must be mad or it is, I feel, a scam. Did not start off that way but if you dont tie a person down (Trump) look what happens.

The point is CC has loans, does not need new owners, so why is he recommending Esyasoft. Are all the BOD getting payoffs. I asked BB once before but can Esyasoft buy shares at enhanced rate (say £1, £2) and do so without anybody else knowing.

Harley, is he going into hiding. He assured me about 6 months ago that he was not retiring. After all he has said I cannot believe a word. The 10.4p is ridiculous with all that he says is ahead for CC. The thing is a CEO has a duty to shareholders, he must keep them aware of any precarious situations, not just say we have had an offer. Is he moving from Solihull for protection. Unless there something in it for the BOD I am surprised that they so blatantly all recommend offer.

Hi ITT, did you ever take the problem up with a National, an investigative journalist would have a field day with it, if only from the BOD's treachery point of view. What BOD would be stupid enough as to recommend that sort of share price when at the same time they are telling us what a wonderful future CC has. Its not logical and therefore is it criminal. BOD has a duty to look after its shareholders, where has it done that.

Good summary LTI, my problem has always been why keep giving break-even dates and flowering the situation then spending more cash before getting there, pleading poverty, weakening the spare base, but always looking after himself and the staff. Do you think that after all these years that shareholders should be given top priority as in other companies. I will say it once more, everybody involved with CC got a rake off except us. Do you think that is fair.

Also I believe ITT said we have spent over £60m in R&D and now selling for £37m, can that be right. In last year we have secured loans of £15m which more than covers the next 5 years, Digismart is bidding for 10m units AMISP and probably more in next round. JC in RNS Mar talked up excessively the future of CC but of course to our exclusion. Do you think he was callous in his 'goodbye, thanks for all the cash' speech. Lets face it Esyasoft would not be looking unless they saw big pickings which JC has confirmed they will get.

LTI, do you think JC will give his presentation as promised. Or do you think he is worried about putting his head above the parapet.

What do you truly think about the situation, you have always defended CC expansion without any money to hand, he has always looked after everybody in the company, including himeself, but not the shareholders who have been promised on many occasions a break-even date which never happened. Now this has happened. Do you think he did the right thing, constantly pumping money into wider global projects whilst having nothing in the bank, have we made any money from ROW, would we have done been better just concentrating on India. Did JC do wrong in hiring expensive figureheads in India or was it a necessary part of trading in India. JC claims to have created wealth with previous companies, how do you think he has done with your company. I still have an open book on JC but it is closing fast.

Just reading bits about Trilliant, the IoT world is expanding rapidly which is what we all understood was going to happen to CC. On the face of it and with the BOD's recommendation we have been lied to, and I feel deliberately by keeping us out of the loop. If a National started to run with this, an investigative journalist would have a ball, especially as Downing Street took CC on trade mission.

Harley, have you ever known a share price to go beyond offer price. For arguments sake supposing SP rose through buying to 15p. I was thinking of sentiment, with all that is ahead, not stupidity of BOD. We all know there is a lot going for CC unless BOD has caused a problem, which if serious enough should have been notified to shareholders. If so would that have been a failure in 'Duty of Care' in a given time.

Well harley, Esyasoft did not need DD in first place, they know us back to front, we the shareholders know nothing.

With theft I recon that is the only way, more Smart less others to identify, then make it attractive for genuine doubters by cheap night rates, probably left a few doubters and theft. Ulimate is to give theft at this stage prison sentences.
