Harley, regarding interest rates, I think that middle east banks in UK do not charge interest on mortgages. They probably get around it some other way. It would be valuable to know if any rules have been broken. Did I read the Esyasoft condition right, that they are not including the $15m to $20m loans in their DD calculations, they would probably have to ignore the GOA contract completely. The loans are set in stone, payment not deliverable until set dates and cover forward looking AMISP contracts etc so should be included. Just to make sure I have not misread Feb RNS would you check that did it say loans will not be included in DD, if that is the case in makes a mockery of the DD. Sentiment alone would put CC in the 50p ball park.

Hi Harley, until I re-read that item on loans, I would have said the same. However GOA is worth £70m (gross), CC must have laid out a few million in stock before handing it over to Esyasoft for installs, the loans supposedly supported the GOA contract as well as other matters, so if you include GOA outlay but not the loans you must be in a minus, the loans were also to support AMISP bids so are no bids calculated and sentiment related to these. Esyasoft could make it look like a favour to take us over but its not. After all that JC has published about CC's immediate future I think Esyasoft would find it hard not to inlcude all this in their calculations, but as we are not allowed sight of their deliberations who knows. The BOD could earn respect by now standing up and be counted. Not just by us but GOI who are important.

Hi sand, thanks for that . Reading some of the conditions from Esyasoft, they did not take into consideration CLN loans in DD, why not when they have committed them for a set time and are part of Goa consideration. Take these away and we probably look like paupers, that is ridiculous, no wonder the bid is so low if they show our commitment without the cash. If the BOD has set us up I think they will not come out of it smiling once Esyasoft got control. Now is the time for BOD to give it further consideration and reject offer, saying they have reviewed prospects and will not accept less than 100p, after all they have the long term loans, got credence with GOI, get on well with Intellismart and have AMISP bids to look forward to.

Hello sand, from our point of view the problem seems to be that if another party bids then Esyasoft loans have to be settled, however I did ask what if somebody bought controlling interest in CC under certain conditions. Initially I am thinking of Intellismart who we work well with.

On the otherhand (boring) do we need a buyer, there was no thought of it beyond Feb, are we headless chickens.

ITT and Colour, you have contrary opinions. So discounting Feb RNS and all that followed, do you think CC was financially in a position to move forward, placing deposits on AMISP's and fulfilling our other contracts.

Touching on Feb RNS, why did JC post that. 1) to create a resistance as supposedly Esyasoft did not know of it or 2) to soften us up, by somebody we know, to the fact we are going for a song. So if he had not done Feb RNS we would not have been aware of situation, if it existed, until Esyasoft placed bid, then he would have had to reject it as in no way in line with his reprevious statements and would have had to say, not less than 50p.

Is this going to be laid at JC's doorstep, as a con.

Morning all, lets take one step back. We are so used to being as poor as church mice that we have convinced ourselves we are. We are not getting other bidders showing them selves because of this set up around loans. For a start, we have not had so much money in the bank, no matter whose it is, so no money problems at present. Until JC's RNS Feb there was no thought of a sell out or take over, so has JC been threatened, he said nothing about this Esyasoft move before, he was onwards and upwards to that point. So why should we now be in need of a takeover, it does not make sense, may have done in the past but not now, generally speaking CC prospects have never been better and that is why Esyasoft wants in. We have a Gold Mine and somebody is trying to tell us the roof is caving in. I just wonder what Esyasoft has said directly to JC to make him fall in line.

Despite having set backs over the years, mainly due to JC spending what we had not got on expansion we were coming to a period of calm where just possibly CC could break even. We have large cheap loans which will take us well into AMISPs as long as JC does not get his scatter gun out again. AMISPs are self financing so only need small deposits. So I agree this is physiologic, designed to make us (CC) feel worthless. Having treated us to this inferiority complex JC still has to tell it as it is, probably lawfully bound to, the future is bright, we are all going to be millionaires, sorry not you 'Del boy'. Whether its jay or nay, JC will have a lot of explaining to do. Unless Y/E26 he tells us we are broke, not likely, then hard to give reason for recommend.

The thing is Harley 10.4 is not on the table and as was pointed out at the beginning could be less.

Where is this mass EY holding coming from, it would be declared. You keep saying you will be alright (but not necessarily so), is this a Fruedian slip are you trying to guide us to accept. That the sort of thing I would expect when I was holding FTSE100 shares.

I still go for buyer taking a 51% holding with various conditions protecting CC for say 3 years.

As we have done all along via JC the future value of CC is what counts not the present.

Using GOA for valuation, 750,000 units = £70,000,000 (gross), so roughly 1m units = £100m (gross). CC is aiming at a final outcome of at least 20% of 250m units. Now if those materialised into AMISP's that would mean roughly 50m units = £5bn (gross). I recon that is what Esyasoft have in target and what we should have in mind. Why are we suddenly calculating on current not future, we should be running on sentiment, Esyasoft know it is out there.

If we achieved the above £5 would be my estimate.

Morning all, my mind is now working on GOI. Modernisation of energy is one of PM Modi's priorities, I think the references gizmo made to the changing of laws which appears to centre around Omnimesh must mean GOI had CC in mind. CC to date has been consistent, forward R&D, apparently where possible on time, GOI showpiece of INDORE. CC is not being swept aside as a minow, I think GOA want that system and quickly, I wonder if they will step in. I read Modi's emails and will see if anything comes up.

Hello Harley, LTI's view is good, the only problem I see is that the balance of power has moved from small PI's to middle PI's. From the point where we consolidated to 150m shares and had a good level of small PI's we moved to 350m shares but all offered to middle PI's and above. Moving much of the voting power to them.

I agree LTI, we just do not know the direction this will take. As GOI is vitally interested in energy renewal and upgrading, I wonder (only that) if GOI, as previously involved in Intellismart, would buy them out entirely and take a majority stake in CC. It is small money to GOI and it has everything contained and could be sold on to community at a later date when worth a lot more.

Afternoon, LTI. I value your thoughts. I would like to think the approach was made by Esyasoft, that would mean they needed to secure CC before they proceeded with their master plan, so bidding is possibly in our favour. There must be others like Intellismart, who are happy to use our services and content with situation as it is. So they must be thinking why is Esyasoft doing this, when all is progressing nicely. I feel sure a group will move to protect their interests and that of GOI. To me there is still a strong chance that bidders will come in and a controlling share agreement reached. I would not be surprised if GOI was moving behind the scenes on this one.

Borders, if they have waited this long they are certainly going to wait until this elephant trundles forward.

Anybody got an answer to my question, takeover v 51% control by a bidder. Do these loan restrictions apply in both cases. It would pay Intellismart and associates to form a consortium to guarantee protection for next 10 years.

Gizmo, any views on our current situation. When we first started this so called takeover it was pointed out others were not bidding because of the stranglehold Esyasoft had placed on loans. So why are some surprised that there have not been any bids, the situation has not changed. I asked last week I think if these loan complications applied if somebody only bought a controlling interest not an outright takeover. What do you think.

Evening, I agree with a lot that Multibagger says. However not this time, I cannot see why CC is supposedly in this awkward position financially, if BOD looks at offer and says 'no' having given it further consideration, then what are the problems for CC, good sized loans in bank, long date and low interest. Esyasoft has taken over GOA installs and presumably compensated CC for any stockpiled meters which they then take responsibility for. So unless I am wrong apart from deposits for AMISPs the rest of contract is covered by an SVP. These new AMISP contracts I presume are about to be offered out, not a good time, as when gone, gone. I could well be naive but where is the financial problem for CC.

Borders, agreed, DD must have been done way before all this anyway. Who would loan $10m. without already doing all their home work. CCI, as they say, is the only game in town for their purpose, so just may be Esyasoft is playing a risky game also. If this goes wrong are they out of the India game altogether.

Although time is dragging I dont think it is on Esyasoft side either. AMISPs are coming up and they could miss them. If Intellismart step in who knows SP could shoot up, both wanting the Omnimesh.
