I’ve asked 3 questions so far. One re funding for stage 2 on further details as previous comms were that it would be funded from cash flow from stage 1, but now seems we will need further cash injection from Hainan.

Qu 2 is regarding gold update, said clear lithium is a priority but with gold at record prices we should get the ball rolling here.

Qu3 keen to hear what’s going on with resource update. Main aim was to get to 50mt, so keen to know where we are at. Diamond drilling has been completed so surely can’t be much longer.

People forget Hainan also need Kodal here. They have built a significant processing plant and plan another one in Saudi. Where will they get their spod from? They can’t just boot kodal out ffs. Kodal also own the goldfields, don’t forget they can tie up a JV with someone apart from Hainan too.

Makes sense why we had to go on 2023 code. I was a bit cheesed off why we were told that we would definitely be on 2019 then changed their mind but seems the government then decided to clamp down and put everyone on 2023. So don’t think Bernie had a choice…better off playing ball with the government imo!

Read 1616 on 9th Nov, continued surging growth in China for electric cars.

Hopefully this will translate to increase lithium prices. We will see and obviously has a long way to go…but at least positive news.

Here is something I’ve found…so if this $15m is NOT deemed a tax then i would imagine KMUK will need to stump the money up not kodal. It’s a complicated picture to be fair!!

Transfer taxes and capital gains

Are there any transfer taxes or capital gains imposed regarding the transfer of licences?

There are generally no transfer taxes payable (save where a right in land is being transferred as opposed a right to extract from land), but there could be capital gains charges, based on the acquisition value of the licence and the transfer value, to the extent that the licence is owned by a UK company. If the transfer is to a connected party, the market value rule would apply.

It is a condition to completing the Kodal Group Funding Transaction that Kodal's existing subsidiary in Mali, Future Minerals SARL, which currently owns the Bougouni Project, including the mining licence and other lithium exploration licences in Mali, will become a wholly owned subsidiary of KMUK. The parties have also agreed that following completion, any future investment and operations in lithium in Mali will be conducted by them through the KMUK joint venture. After completion of the Kodal Group Funding Transaction, it is intended that a new subsidiary company of KMUK will be formed in Mali with the name Les Mines de Lithium de Bougouni S.A, to be the owner of the Bougouni Project, and the exploitation licence pertaining to the Bougouni Project will also be transferred to this company

Kodal detail past half way, says relationship still strong and Hainan were encouraged by the Chinese regulator to release their statement. Who knows if this is accurate or not….

Indeed here is an RNS with info on the original $680 pt for the 2020 FS. I think the latest figs for AISC was $647 pt off the top of my head using latest calcs so at current lithium prices we are still making a profit unlike a number of others.

The thing is Roger, you are wrong with some of what you say. Eg Bernie has no money left to do a resource upgrade. You’re talking out of your ar1e. If you have actually bothered reading RNSs, all diamond drilling has been done and we are awaiting results back from the lab. That’s just one example. I can’t be bothered highlighting other incorrect statements.

It’s clear you’re bitter with the current situation. So sell and move on. I think everyone is sick of you constantly being the voice of doom and gloom here. I do hope it goes to high 30s and we don’t hear from you again. It’s becoming tiresome!

Was thinking potentially what has happened (just my thoughts, may not be correct)…Xinmao who are the umbrella company who own Hainan say to Hainan nah we can’t be taking any sort of hit financially considering tax year ends 31st Dec and want to maximise profit. So then realise they’ve got the clause that can ask kodal to stump up the cash. Who knows…it will come out in the wash!!
