JL - i think he will as the mega rich (majority) do not get to that status by playing fair or sticking to the rules as the ordinary person would.

Odey has been waived of the need to mount an offer when they when they went over 30%.
I don't know if the waiver falls if they buy any more shares but if it did they would have to make a cash offer not less than the highest price in the last 12 months.
Otherwise:
1. If SPMP lists on a convenient market we might be given shares as a distribution in kind OR
2. TSTR may just continue as a private company receiving dividends from SPMP which are passed on to us OR
3. TSTR might be bought out by an SPMP investor/3rd party OR
4. If it makes commercial sense to Odey they might buy our shares at a price that is not disadvantageous shareholders.
Nothing permits Odey to acquire our shares for peanuts.
Someone mentioned Freshwater UK. Just before delisting Freshwater had fallen to around 5.75p and spiked to 11p two days later. On its delisting there was an MBO offer to buy for cash the privately held shares for 12p or take unlisted shares in the new Hold Co, + 2p cash dividend for either option. .
An independent broker report accompanying the MBO offer that stated “Shareholders should elect to accept the Unlisted Share Alternative as we believe the Cash Offer undervalues Freshwater” (without stating what fair value was). 41% of shareholders took the cash, 54% took the shares and the balance did not respond.
I was not a holder here before last week but I am buying now. I may sell on a closing spike or hold for gold.
Why do so many think Odey will behave improperly?
On 9th this will be 3p. Buy if you can hold it .
Yes - With ii for investing and IG for trading (mainly US).
I got an email stating that they would get auto moved to a paper cert (not even trading account)- did you get this email as is in your corporate action in your ii account.
I will have to contact ii to confirm if what you say is possible (i too want it to stay in ISA so the gains i expect will be outside CGT).

Director Changes
Tri-Star Resources plc (AIM: TSTR) announces that following the result of the General Meeting held on 2 December 2020, which approved the cancellation of the Company’s admission to AIM and the subsequent reregistration of the Company as a private company, Adrian Collins has stepped down as Chairman and director of Tri-Star.
David Facey, CEO, commented, “We would like to thank Adrian wholeheartedly for the commitment, experience and wisdom that he has brought to TSTR and wish him well for the future.”

Are you with II?
I was told that they would stay within the ISA wrapper but with a Nil value as they could not update the prices. The advantage of the ISA is of course I anticipate a sale in the future way in excess of the 2.2p I have paid and will be Tax free. If they get moved to a Trading Account I would suffer CGT. I did not discuss if I could sell them and any procedure required, that is some I will review next year.

At what time did you buy the two lots of 100,000 shares.
It seems strange that LSE haven’t reported the trade yet. I also bought a further 75,000 shares yesterday afternoon at 2.6 and that hasn’t been reported either by LSE. it seems like they are holding back reporting many of the buys.
Krispy - Can you confirm what ii told you as i have been told that they will move put of my ISA and will be given paper share Cert. How can shares stay in your ISA but at Nil..whats the advantage...i am a bit confused.

Quick message to all my old mates on here, I lost all my emails and addresses some months ago so apologies for not responding if you sent me one.
I have been a holder for over 10 years and in Sept 2019 held 100k (at 38.0p) shares over the next 12 months I reduced to Nil with a loss of £8k put into mainly EUA and have recovered my losses, I have today bought back in two lots the same 100k at 2.2p I have bought back in my wife's ISA as I am assured by II, that they can remain in the ISA wrapper, but will show Nil value. Its just a waiting game again. As I was not a holder I did not think it pertinent to continue posting. I don't know how long this Board will remain open once we are delisted, so is there any other forum to join.
I'm glad to be back as I don't think Odey will want to loose too much.
95m shares in issue. If Odey sell 5% of their holding at 2p that only nets them 85 grand approx. If at 1p it’s 42.5 grand. Is it really worth it? Strange behaviour.

Are we in agreement at least that if Odey buys *any* shares, then because he's over 30% already, he has to launch a bid for TriStar?
And that because he hasn't bought any shares in the last 12 months, he can make that bid at whatever price he wants?
That's my understanding anyway.
