Optiva and Rollins/Koot have previously transacted with one another on several transactions - far too many to be a coincidence so there’s clearly a relationship between these 2 parties. A quick google search is all the evidence you need.
The fact TGR sacked Optiva is damning!
TGR have probably been relying on Optiva to secure financing - quel surprise it’s never came.
If FTG win and get on to the board they will secure massively dilutive financing likely through Optiva.
FTG will now be buying up shares to try to secure 50% of the vote.
Do not sell or vote for FTG!
Look what Rollins and Koot have done for advance energy/ beacon energy SP - a SP high of £4.35 - now £0.057!
You also have to question the integrity of Isabelle given she was a NED at TGR
The SP will rise leading up to the vote as FTG will be trying to acquire as many shares as they can to win. Also I imagine the Poddars will be buying too to try to prevent their company being stolen from them.
I don’t think FTG will will; and hopefully now with CMC TGR can secure financing the SP returns to previous level
Ignore the disinformation posted here, do not sell your shares on the cheap to FTG and vote against the resolution
Anyway that posts aligns with what I was saying on here a few weeks ago - all those NEDs resigned including a founder and family member for different reasons to what was shared by Shishir / TGR at the time

If those are questions from Hemant then they are very damning wouldn’t you agree, considering he is the cofounder of TGR and part of the concert party alongside Shishir?
As for being part of the group I don’t think Hemant is unless you know otherwise? It’s difficult what with being joint owner of all those millions of shares with Shishir…

I think you’re are also implying most of the graphite is sent to Asia? Clear to see in the last audited results that around 2/3 of revenue was made from sales in Asia. Not quite the revaluation you’re making it out to be, unless of course you’re again making the point that he is selling it to PG on the cheap, which is also made clear in the response to the requisition letter. Hi All,
Just wanted to share the questions that have been raised by Mr Hemant Kumar Poddar, in the hope that having them out in the open makes them harder to ignore for the management.
Here are our queries.
1. Do you, Mr. Shishir Poddar as the Managing Director of TG intend to develop downstream units in TG? If you do, why has the same not been undertaken in the last 3 years?
2. We understand that TG is outsourcing all its manpower and management staff from PranaGraf, which is a company owned by Mr. Shishir, CMD of TG. Also, every equipment and services required by TG is being channelised through companies owned by Mr. Shishir. Is this the right way to manage a public company? Should it not have its own organisational structure to manage its business? How can TG be made so subservient to another entity? Does the management of the company intend to stop these related party transaction being carried out in the personal interest of management of the company?
3. The present management has brought the company to a stage where it is heading towards bankruptcy. Does the current management have any plans to manage this situation without further infusion of funds in the company? If the current management of the company has any plans to come out of this current situation, then please let the same be known to the stakeholders.
4. The company does not have any communication system regarding its operations and is shielded by the current management due to vested personal interest of the individual. The company has no system of transparent communication even with board members. How does the company propose to have more transparent communication internally and externally?
5. The company in the past had a host of experienced, knowledgeable and qualified NEDs appointed on the board to oversee and help the management to make best decisions for running of the company. However, none of the NEDs would stay long on the board due to irregularities in management and subsequent suggestions from the NEDs were never taken by the company in the right spirit to improve its governance and ecosystem, which is reflected in the performance of the company as it stands now. Upon appointment of new NEDs, how do you propose to change this attitude of management for the future working of TG in the best interest of the company and its stakeholders?
FD thanks for the additional, the shares are held in a nominee account so should be fine on that front. I settle through Jarvis however and they usually take their sweet time with corporate actions so will need a nudge.

Trust..further to what RP has stated. Does your Broker hold your shares in a Trustee a/c ( usual these days)? This Broker should have informed you. You should contact them immediately.
If you hold a paper certificate then you will need to ask the Company Secretary for a Voting form.
Shareholders have until the 6th June to vote online.

I remain a long suffering shareholder and have just voted in favour of the GM resolutions.
Do I think they will pass, no. But I do hope they will give Shishir a substantial kick up the backside.
Things cannot continue unchanged.
Everyone should be asking the same question: 'What mistakes have you made over the past twelve months and how are you going to rectify them going forward to win back trust of the market and investors?' because unless it's clear he understands how poor the performance has been under his watch and what a seriously steep downward trajectory TGR is on there is no chance of anything being done about it.
I'm pretty confident his response would be to talk up all the amazing progress and positives and then to say something like 'but it's never enough, we stride to do more, to do even better'
A little more subtle is the way.
What is the documented mineral production, week by week?.
What is the shipping manifest, by tonnage each week?
Would hope the evidence collected by the video crew, will have factual information to support the continuing allegations of missing Graphite.

Immediately after watching the video footage we sent a number of questions to be asked tomorrow at the meeting regarding what we have seen and heard on video at both plants. This is an absolute disgrace. It shows in detail what's going on right now with how the plants are being missmanaged by the poddars. Also the shipping numbers differ immensely from what has been reported in the last 5 results. We have requested it to be put on youtube before the meeting so people can see what disgraceful missmanagement been has taking place. The lawyers are deciding what the next steps are. Shishir and puruvi are never there. The info gained states he is only interested in getting graphite shipped to one destination. There are 2 separate storage locations at both plants. One that has around 90% of production. Guess where that is being sent to? And the other 10% is for clients elsewhere. Let's hope the poddars have the honesty to answer our questions tomottow though personally I think they will ignore all our questions. That in itself says a lot! This is truly shocking. DYOR

Wake up and smell the coffee. 7 or is it 8 directors have left within the last 2 years. Now the Poddar family need to go as they have been running this company as a family business for four too long now. Time for change!

Supporting your comment Fairdealer, although I am currently biased:
I think one question for the Poddars that needs a satisfactory answer would be "What would your intentions be to rebuild investor confidence and company value if you are NOT voted out?"
Regarding voting however, my view is that someone with the experience and knowledge of running a graphite mining company and obtaining and retaining customers may be the best person to manage the company going forwards rather than any newbies of unknown capability and quality, if that is the capacity of such people as the currently prescribed alternative (as seems to be implied in earlier posts).
Quite frankly, many who have aired their views here negatively towards the current board have not necessarily helped frame any positive scenario giving confidence for the company's journey going forwards in the aftermath if the current board is voted out. Fundamentally many here probably desperately want TGR to succeed and shareholder value become re-established, a chastened Shishir at the helm or not, rather than throw away what remains as value, as TGR potential as we have understood it, is huge.
As a lot of sniping and emotional venting has taken place you will need to listen to a still calm voice of reason in your head in order to think rationally when you vote, hopefully with a view to the longer term of TGR rather than a knee-jerk reflex which may help lead to an unintended and perhaps drastic consequence. I will try to picture where TGR could be and how it could possibly get there in 3 months, a year, 5 years when I consider who could be the best choice to deliver that, based on information read and pointed to here up to now and perhaps in consideration of any new unslanted claims and counter claims made in the remaining period before the vote.
For many shareholders the company's May 13th 2024 "Response to requisition letter" probably needs a careful re-read and evaluation before voting: that is where the shareholder issues and the company's acknowledgement of some of them and work in progress to address them is stated. For both sides, the doc appears also to 'cut through the cr*p' flung here. A wise vote is needed.

It would be illegal yes, but it happens all the time and truth is nothing ever gets done. The FCA are pretty useless in general, plus proving stuff is very hard.
Take on here. An opinion can sway holders views, sometimes that might even be the intension of the commentor, but prove it was anything more than a opinion? Very hard.
First time these people have ever replied to an email ever. They now want me to vote against the resolutions. Swine's. I told them I will be VOTING YES for all resolutions. I want these two gone and shown the door. They have been treating this thing as a family toy and have never responded to the owners concerns. Destroyed all and any value. VOTE YES. Get these guys out.
Would it be possible for someone or maybe a team of people to cause havoc with a company to crash the price then buy stock while the price is depressed. Just a thought.. I mean that would be illegal wouldn't it.
