Did Deepverge or Modern Water somehow go private before they were sold over to Microsaic? Do we get to vote on this? Or what has happened here.

You could think of it in 2 ways @tqhussain , the first and most appropriate way to think of the share cert is like a plaque to be framed, a stark reminder of the shower of scum that you and I invested in once upon a time, maybe a nice frame would look work well with it, just to show the level of incompetence that was once on show.

I am very much in the camp of feeling badly shafted by Deepverge and want to write to the Regulators to support others doing the same. However, I don’t really have the time to research chapter and verse to do so. Anyone willing to share their representations so that I can piggy back onto theirs?
Not 100% correct melanocytes. Glanaco was the warehousing and shipping hub for modernwater, all the staff did indeed think it a strange acquisition. Though there was so many lies and dodgy goings on it was mostly ignored. Like the day a Glanco truck turned up to transport microsaic MiD units across europe with customs paper work declaring them as 'scrap wheel wash parts'. One of the many reasons it was purchased was because DV could take a large grant from enterprise Ireland to purchase it, by claiming it was going to be a manufacturing hub, so getting it on the cheap, Glanaco also had money in the bank and good credit lines. The reason it was sold back for a euro? DV took the cash, ruined the credit line and stacked it with debt to fund other parts of the DV empire. If they treat family like that what chance did the investors and staff have?
@yankee_d1000. modern water and labskin for that matter were basically viable business , MW needed to modernise and LS re focus but the products had customers, they and DV as a whole failed because FM and GB insisted on spending millions of euro on STC and PD respectively long after both had proven to be failures.
As a former employee I am trawling through the RNS's and putting together an email to the FCA pointing out the parts that I know to be lies. I can't prove any of it, so it will likely to come to nothing, but it is all I can do.
Just to clear this up, Glanaco has nothing to do with Modern Water or Labskin, it is a company belonged to a relation of ex Director Fionan Murray, everyone who worked in the York Facility is aware of this strange acquisition for 1.2 million, it was sold back to this relation by Nigel Burton for that 1 euro you mention yes. Fishy you say! Not of importance but a similarly embarrassing fact is Camillus Glover middle name is Gerard, yes Camillus Gerard Glover, he was indeed baptized by Gerard Brandon! Now we all wonder if Gerard Brandon middle name is Camillus! The charade continues over at Microsaic PLC. where a few rampers exist on the forums trying to give the impression everything is amazing!
Don't forget the Glanaco business. Bought for 1.2m euros, if I remember correctly, and then sold back to the same owners for 1 euro. One of the Fitzgerald's worked for MW and now works at Glanaco. I am confident this was another orchestrated transaction for the benefit of GB's friends & family.
Sorry, it was the Microsaic RNSs of 16/01/24 that were the illuminating ones, not so much the 16/02/24 one.

I believe Gerald Brandon prior CEO of DeepVerge plc trading on Aim has a case to answer for deliberately misleading investors artificially inflating share price while personally profiting from selling shares owned by his wife. The company has been suspended on aim and I believe lots of staff have been laid off. There was a £10m raise last year that would have required reassurance on future business that was also likely false. The broker turner and pope who were given shares on DeepVerge are also implicit as is the prior cfo and Nigel Burton the chairman
He lied about revenue explained as an accounting error,
He lied about orders claiming internal manufacturing order’s between divisions consisting contract orders
He lied about a deal with China resources
He lied about a line of business with cruse ships
All his lies are available in published RNS and investor presentations

It would appear to me that on several occasions the company and its accountable representatives made false and/or misleading statements on several occasions aimed at deceiving existing and prospective investors.

AIM and LSE are such an embarrassment in terms of enforcement its doubtful we recover anything here. As we type Gerard Brandon and Nigel Burton and their buddies are simply transferring Modern Water and Labskin over to Microsaic for zero returns to Deepverge and the circus continues. An absolute disgrace so the important thing is people do not get conned by their new vehicle Microsaic. Anyone out promoting Microsaic is basically a toxic infection so stay clear unless you want your investment eaten alive.
Would someone be able to share a template for others to use to report those crooks please? Do we have any chances to get anything back?
I’ve written to the aim regulation and the markets abuse commission. I believe there was both false information released via regulated channel and manipulation by JB & board for personal gain. In short they are f’ing crooks. The more people that have lost here that take the time to write to aim regulators and markets abuse (simple Google search) the more likely the thieving xxxxxx will be held accountable

The FCA regulates financial firms.
It would appear that the FCA doesn't regulate companies listed on AIM it only appears to regulate the Main Market).
AIM companies are supposedly regulated by the LSE.
I have to say it was very odd to hear, considering it was a UK listed business.
I have reported it to the FCA, even called them up and I was told DVRG is not regulated by the FCA.

You will need an employee to whistle blow but that is always likely in time. It all takes time and even years: https://www.rte.ie/news/business/2023/0609/1388341-insider-trading-case/ but in the end it always happens.
A few things below that I would focus on:
- Currently Deepverge has not paid any of the staff their holiday pay from 2023 which is likely illegal on some level. Whether they purposely didn't pay it is another thing. For those staff in Ireland it is likely one for the https://www.workplacerelations.ie/en/ and those in the UK maybe Acas https://www.acas.org.uk/acas-code-of-practice-on-disciplinary-and-grievance-procedures
- probably the big one in terms of how us investors were deceived is the 2022 accounts were indeed just lies and inflated over 100% and more by DVRG Group Financial Controller Shiv Rawal. He worked as the assistant manager of Jeffreys Henry LLP Group FCO before switching over to Deepverge as a direct employee. This would need investigating as the new fincancial controller they brought in corrected it and put some excuse around it other than a cooking of the books as they say. Interestingly in 2023 none of these orders came through either as time has gone on, so as I say complete fabrication.
- Then you have the buying of a cleaning company Glanaco for a million and being sold back to Glanaco for a pound and that is a family company of Deepverge Director Fionan Murray. Glanaco have no connection to Modern Water and do not have any expertise in specialised water testing equipment. Any ex employee of Modern Water would attest to this.
- Then you have the deal Nigel Burton and Gerard Brandon did with Deepverge via Microsaic whereby a contract was signed that allowed Microsaic extract potentially over 1 million from Deepverge for services that staff at both companies could definitely not attest to.
- Then of course all the RNS's with all numbers for this and that, that are all lies.
- still no audit in 2023 by an external company.
I am sure ex staff posting here can add to this list but of course it will need a staff member to formally bring this forward. Now of course you will see Microsaic move assets from Modern Water into Microsaic and there circus continues. The Irish mafia exists.
This is the first time I've posted here - although I've followed the posts (usually with dismay) off and on for many years. I was originally a MW investor which looked genuinely promising prior to the takeover by Integumen. My solicitor advises that it ought to be possible to go after one of the directors, the accountants or the auditors for fraud. The difficulty would be proving, or at least demonstrating, it.
Starter question for ten: What do people believe happened that was fraudulent and what evidence might, conceivably, be obtainable?

Microsaic signs exclusivity agreement for DeepVerge assetsWed,
Microsaic Systems PLC - Surrey-based developer of real-time mass spectrometers - Says it has entered an exclusivity agreement with DeepVerge PLC, a Dublin-based environmental and life sciences firm. The agreement will grant Microsaic a period of exclusivity to purchase certain assets from DeepVerge's Modern Water business. The assets mostly comprise equipment for the lab-based manufacturing of bio-reagents used in related water testing equipment. These included all IP and rights related to the testing equipment including LX, FX and continuous-toxic-measuring machines, and water membrane technology. This exclusivity agreement follows Microsaic's offer to purchase the assets and their rights for a payment of GBP100,00 in cash, payable to DeepVerge upon completion. The exclusivity period runs until January 16, 2024, the signature of a legally binding sale of the assets, or the cancellation of the proposal by Microsaic.
Microsaic current stock price: Trading suspended since July 3. Last quoted at 0.01 pence per share.

No doubt that they will pick up the assets for nothing, leaving all the liabilities behind for the shareholders. As the management team are pretty much the same it is an internal transfer which, no doubt, the MSYS BoD will do very well from. I suspect that the merry go round will continue.

The Sh*ts bought Glanco for hefty sum from their mates, used our money to built up the business and then sold it back to the same owners (their mates) for a euro.
... to GB and his mates. They run Deepverge into the ground with their b.llsh.t and then cherry pick the assets for 3/5 of FA.
Who says crime doesn't pay? And you're right, the FCA seems to be totally toothless or else it doesn't give a toss for us small investors. That man's making himself some seriously bad karma though.

"Unaudited" is the only word one can trust in all this BS. Imagine 5 sales in Microsaic in 2022. 5!!! The gutting of the shareholders that are left will start now it seems, after all as per this statement, microsaic is deepverge and deepverge is microsaic.

The unaudited revenues for the year were £1.57m, representing an uplift from the £906k achieved in 2021. However, of this revenue, sales to the related party DeepVerge plc ("DeepVerge") or its subsidiaries totalled £1,248,828 (plus VAT), of which they have only settled £118,659 (plus VAT) leaving a balance of £1,130,169 (plus VAT) outstanding. On 19 April 2023, DeepVerge announced that it could not meet its obligation to creditors and that a payment plan had been tentatively agreed with Microsaic. However, on 26 June 2023, DeepVerge plc announced that it would no longer be in a position to support its subsidiaries and was anticipating a sale or liquidation of these assets. The impact of this on the Company has been recognised as an adjusting event after the reporting date with £1,130,169 charged as an impairment of related party debt. Excluding revenues from DeepVerge, revenues for 2022 were only £318,869, significantly below the prior year. Only 5 units were shipped in 2022 before year end, compared to 19 in 2021. The results for 2022 and the prospects for 2023 and beyond therefore need to be considered on the basis that no further payments and no further revenues are expected to be received from DeepVerge or its subsidiaries.
