Notification of Transaction of Director/PDMRs

(the "Company")
Grant of Awards/Options under the Company's Long Term Incentive Plans
In accordance with the requirements of DTR 3.1.4R(1)(a), the Company announces that on 9 June 2016 (the "Award Date") it granted nil-cost options ("Awards") over ordinary shares of 1p each in the Company ("Shares") to a Director of the Company and Persons Discharging Managerial Responsibilities ("PDMRs") under the Company's Performance Share Plan ("PSP"), details of which are set out below:

In accordance with the requirements of DTR 3.1.4R(1)(a), the Company announces that on the Award Date it granted options ("Options") over Shares to a Director of the Company and PDMRs under the Company's Company Share Option Plan ("CSOP"), at an exercise price of £2.597 per Share, details of which are set out below:

The Awards/Options will become exercisable on the 3rd anniversary of the Award Date and remain exercisable up to and including the 10th anniversary of the Award Date to the extent that the performance targets applicable to the Awards/Options have been met. The performance targets are based on growth in the earnings per share of the Company from end of financial year 2016 to the end of financial year 2019 and total shareholder return.
As a result of the above, the Director/PDMRs holds Options/Awards over the following (aggregate) number of ordinary shares granted under the Company's various share schemes:
