Grant of Deferred and Matching Awards under the Morgan Advanced Materials Bonus Deferral Share Matching Plan (the 'Plan') to a Director/PDMRs

Morgan Advanced Materials plc (the 'Company') announces that on 23 March 2015 awards over Ordinary 25p shares in the Company ('Shares') were granted to Kevin Dangerfield, a Director, and Peter Blausten, Paul Boulton, Bill Grab, Alain Kirchmeyer, Andrew Riley and Ian Robb, persons discharging managerial responsibility ('PDMRs'), under the Plan.

The Awards comprise two components:

Deferred Awards granted following the Director/PDMRs' election to convert part of their bonus for the 2014 financial year into a deferred entitlement to Shares. Bill Grab's, Alain Kirchmeyer's and Ian Robb's awards relate to a post-tax bonus; Peter Blausten's, Paul Boulton's, Kevin Dangerfield's and Andrew Riley's awards relate to a pre-tax bonus. The Company's mid-market closing Share price on the dealing day preceding the date of grant was £3.4750; and

Matching Awards, the vesting of which is linked to continued service and an Earnings per Share-based measure of growth over a three-year period. At the top end of the performance scale, the Matching Award would vest at three times the number of Shares comprised in the pre-tax Deferred Award.

This notification relates to transactions notified in accordance with DTR 3.1.4R (1) (a).
