Hi welshwalker. amit has not explained the supposed payment mechanism in detail as yet. he’s said that cloudtag will appoint some ‘responsible agents’ to organise payouts, but nothing more than that yet. if it is miraculously genuine, presumably either you will need to contact one of these responsible agents directly with proof of your holding, or else your broker should do this on your behalf.

ball is in amit’s court to explain the mechanism in more detail (- another red flag, imo, that he hasn’t already done so).

Pumpkin, just to add, so far as i can recollect, i don’t think there have been any pis on this particular chatboard saying that they have bought new shares since nov 2022. but that doesn’t necessarily mean that none have been sold, of course. perhaps no-one has bought at all? - or perhaps peeps are too embarassed to admit they’ve bought more? - or perhaps buyers have been told it’s critical they don’t breath a word.

(my personal view, amit has been selling more shares since last nov, but that’s just my opinion.)

Bear in mind, “on the slightest off chance this is real”, that amit would be allowed to award himself as many new shares as he likes, with no requirement to disclose that, and no requirement to run that before other directors, a renumeration committee, or a nomad (especially since there aren’t any!).

yup, if there ever were any money about to be distributed (LOL), amit could just issue himself treble the number of shares he already has just before the distribution … what larks in private unlisted companies registered in permissive jurisdictions, eh!

Whole thing is utter nonsense. if cloudtag has valuable tech / ip which it has sold to someone else, with all contractual & ‘technical’ issues already resolved, then why has the deal not been executed and funds distributed to shareholders?

…. no reason at all for cloudtag to care one way or another when, or indeed whether, the supposed buyer gets around to making any public statement about what it has bought. up to the buyer what it does about the stuff it’s bought, that’s not cloudtag’s problem.

Hi Lenoman, sorry not to rely earlier to your 08:54. yes, you are indeed reading too much into my post [08:21], as i wasn’t trying to set out my personal view about the reason for the resignation of EUA’s previous nomad.

there are about six or seven types of reason that account for the vast majority of nomad resignations on AIM. neither EUA nor the resigning nomad gave any public explanation, so each of us will just have to make their own guess which of those seven(-ish) reasons drove that particular resignation.

Looks like loads of posts have been taken down from yesterday/ this morning, unless it’s some kind of temporary site glitch. one of those concerned nomad responsibilities.

it is not the job of a nomad to act as a fact-checker, or glorified super-auditor. the nomad will advise a company about what info has to be / should not be released in an RNS, and will advise on wording, formats etc, and advise on what kinds of interpretation / forward-looking statements etc are acceptable to make in RNS. but the nomad does all of that acting on a good faith basis; i.e. that the company itself is being honest with the nomad. it is the company itself that is responsible for info contained in an RNS. the nomad does not guarantee or ‘substantiate’ that it is correct on the company’s behalf.

if a company tells its nomad that it made XYZ sales in H!, or that it has mined QQQ tons of ore, or that it can sell its sandpile for a certain price ( - or even that it has such a sandpile on the first place -), then the nomad doesn’t turn detective and check up that those things are true; it relies on the company to be honest with the nomad in the first place.

(which is why if nomad discovers that a company has supplied them with false information, or otherwise misled them, or a company is insisting that the nomad allow them to release an RNS which makes unreasonable /illegitimate claims / forward-looking statements, or references misleading external info sources, the nomad has to resign.)

if one takes amit’s latest update at face value (LOL), then cloudtag is still engaged in a firm deal with the original ‘buyer’, it’s all going ahead & everything’s fine. & amit says, cloudtag already knows the date by which this supposed buyer has said they will complete.

previously, amit has been willing to state the date supposedly agreed with this buyer for completion, so that datum obviously wasn’t under one of the supposed NDAs. … given that it’s meant to be the same buyer, for the same amounts, and the technical problem has been resolved etc etc, then why is amit now *not* willing to state the supposed completion date?

… if it’s all true and legitimate, no reason not to say, ‘the buyer has agreed to complete by XYZ date latest, but reserves the right to complete sooner.’

? so why is no date being given? … try occam’s razor on that one…

… it is astounding imv that anyone still believes this absolute trash from cloudtag. i presume that several of the IDs used on this chatboard to talk positive are actually just sock-puppet promotional accounts, but it still seems possible that a few are genuine but stunningly gullible pis - just so long as there are still such die-hard believers around, there are still chances to sell more shares. (costs virtually zero in the meantime to keep the cloudtag website going, and no other costs at all.)

The three main possibilities have been discussed plenty of times before on this board. nothing seems to have changed significantly, same old saga ongoing.

1. if the amit fans are right, cloudtag is a great business with very valuable assets, has done great deals, & soon shareholders will be paid their huge rewards?

2. or maybe these updates are more about placating people who’ve already handed over money to amit, to persuade people not to pursue possible legal remedies?

3. or maybe the updates help to promote the company so that amit could raise more cash by selling yet more shares to punters (more likely to existing believers topping up, presumably a rather dwindling band, rather than anyone new, imv)?

(1) seems very, very unlikely in my view.

but (2) & (3) are not mutually exclusive.
