Wow this is like pulling teeth.
PH had 20% of shares last June and then through a series of complicated Tr1s reduced to just under 10%. There have been no Tr1s since. Agreed. So at the very least they would have more than 3% but it's still more like just under 10%. They then in March bought another 66.66m shares but no Tr1 was declared even though that represented 10% of the new total shares in issue after the placings that occured then.
So, I believe Peel Hunt still have about 20% of the shares in issue and that together with the 1.5% owned by the Directors and enough existing share holders willing to vote for the Resolutions they will easily get the 75% they need. Once that's done, and I know this is just a theory, I suspect the owners behind those shares, maybe it just is the trading arm of PH but some ho wi doubt it, I anticipate the new 400m shares being issued for a price of whatever (it doesn't matter) but that would then give the holder of those shares held by Peel Hunt another 39%. That's roughly 60% of the company - and who knows who has been buying many millions of shares these last few weeks since the share price was well and truly trashed - and they would then have to make a formal offer to buy the company, needing 75% approval from the share holding body. They are very nearly there to obtain that 75%, together with the company Directors, who will of course recommend to share holders this is the best chance for GDR to survive or risk going into administration and receive nothing at all.
There, that's what i think is going to happen. There may well be a temporary rise in the share price on news of the Resolutions being passed, some funding - which can occur at a premium to the prevailing share price - and indeed positive news from NICE/NHS in the back end of Sept, but that's all immaterial if I'm right and control of the company goes to the hidden owner of all those shares. Could it be Beckman Coulter in the US, who wouldn't have to declare a Tr1 and could also afford to buy off Budd, Cheek and the current Directors for an extra couple of million quid?
Conspiracy theory maybe but at the moment nothing else adds up given all the appalling decisions the Directors have taken over the last 2 or 3 years which have resulted in the destruction of the share price. over 99% depending on how far back you go.
We'll all know by the end of this month I suspect. If it's bad news from NICE/NHS then I think we will hear what the plan is very quickly as they will want to gain control of the company, take it private and then get that FDA application in asap!
