Seems to me that there is a 50/50 venture in a vehicle that is not 50/50 but has S$ directors as beneficiaries. Unless you know the structure and remuneration of the funds you have no idea where the money is going. For example If the funds payout before profit reaches the 50/50 vehicle then S4 will "only" get 50% of that.

Important to note S4 Ventures is not "owned" either in part or full by S4 Capital. It is in fact party owned by the directors and executives of S4 capital. S4 capital provides support, whatever that means...

Cant see a straight forward PE buyout here, too many insiders deep underwater. Even if a deal can be don to keep them on board in a new PE entity then the existing shareholders would be up in arms so I think it has to be a listed solution. Ssomething like a merger into S4 keeping the listing and or moving it to the US.

Think it would be difficult for him to accept any deal at less than that
