The big elephant in the room is that THX does NOT have cash, that's the point. They couldn't afford to pay VAL the lab costs. IF it had cash we wouldn't be in this position.
Now i will give you the benefit of the doubt and play devils advocate here;
Firstly, lets say you are right and EDUA during the evaluation period come back by 7/11 without any extensions and want to proceed with the shell. So they now put together the legal frame work for the new legal entity. Neither party having any funds of their own. This process will take absolutely months even with a good wind behind it, they would need to get a listing, put prospectus together, term sheet, due dilligence as the new entity, to try and get support for it at whatever terms, that's if they can, even when it comes to funds transfer its another month, frankly i don't think it will make any difference but If you are to believe they can secure support it would certainly come in well beyond VALs time line, Don't forget VAL are out of funds at the turn of the year.
Secondly, this would be a new legal entity now, the market has changed over the last two or more years, IF THX got the support (which i doubt) we don't know what terms it would be on. THX/new co may even need to renegotiate, pay nothing down to VAL and just have milestones? This is business, there are zero guarantees .I would deffo renegotiate as a new co in this situation.
Finally, irrespective of it being too little too late if at all, VAL are burning £2.4m a year and they would need to place to add to the £1.3m anyhow BUT as i say, placing first in any event, i genuinely cant see any way around this and terms will be brutal. IF Suzy can secure £800k placing 20m at 4p she will have done well.
Problem is there are still no guarantees that THX could raise cash even with a new shell.
Meanwhile, On the VAL side Suzy has neglected to act and this has dragged on and on, we are now weeks off going into administration so she needs to act soon. She also has to give 14 days resolution notice which further adds pressure.
