Meanwhile VAL are out of cash at the turn of the year. Hence Placing first for VAL U.K. as a leap of faith to bridge the timeline should THX new entity be successful in raising funds, which they still might not be able to secure - that’s the reality

I’m not get excited over what might be next year when a heavily discounted placing will land first - are you not grasping that major fact?

Please don’t be a donut, I am a prolific investor in a number of plays, also a few non listed businesses I’m positioning. I’m also currently sitting on cash on high interest and PM. I think AIM could roar back in 2024 but for now I’m selective and this play is uninvestable for the moment.

I comment here because I have followed this stock closely and await the day the VAL swamp is drained, we ditch most of the board, cut overheads and materially revise the business plan.i live in hope that day will come, I believe it will

It’s as pot less as THX so probably a good merge partner they are both skint, however it would still need to raise cash as the new entity, can it raise cash is the burning question but it won’t be a quick process it would take many months if not at all. Certainly well beyond the cash runway timeline of VAL.

If you want to buy this dog, get in on the placement not in this hype bubble due to burst any moment. 7p next then 5p then down to where the placing comes in at.

frankly @jwallows can’t educate me on jack ****, i have been in these markets over 40 years, i do active work and know exactly how shells are used and should this stateside merge come together, they still then need to go on and raise capital as a new legal entity with its new framework and that would take months at best with dd. there are no guarantees that cash can be raised under the new structure if it happens.

meanwhile val will be out of cash runway, it’s that simple, so it’s now a leap of faith for investors to decide if they should dig deep to support placing number 6 under suzy on the basis that thx can come good and deliver the consideration money (assumes no renegotiation) in 2024 or if they are chucking more money after bad. it’s a gamble and the placing price would need to reflect that.

THX does NOT have money, it only thinks it can raise money as it has thought so for over two years.

Even in a new joint shell company there are no guarantees the new entity can go on and raise, it still has to go on and do that and that will take many more months if at all.

Maybe @Wallcracker is right that if this SP level holds Suzy can get a placing away at a better price than the 4p I’m predicting to bridge the time line, he thinks one would be over subscribed, maybe so existing holders may dig deep again but still takes balls of steel to back it as no guarantees.

Guess we have to see if Suzy can do better than my 4p prediction, time will tell

Hmmm let me think about that... err I don’t know do you numb nuts?? Got to be the cash from THx as I read a tweet about it happening, and all the rampers on LSE say same, so it must be the case - dream on.

Oh as for your best time to buy comment, from a trading perspective that was at 5.5 and 5.7 a week ago at the start of the hype bubble providing of course they got in and out with the gains. Certainly wouldn't want to be left holding the baby at this high level.

Also, i NEVER short stocks. not my style. there are plenty of stocks to short with closer spreads than this one If i was so inclined.

I post here to contra all the BS that's gets posted by the ramping crew to pump the stock pre the discounted placing due any moment. The stock is actually totally uninvestable as it stands. If the placing isn't supported they have big problems. A fact that the rampers won't want to highlight.

IF you really want to buy in then support the placing shortly because buying at this eye watering level is plain stupidity. The traders made the cash buying at 5.5p level.

The SP will move to the discounted placing level once/IF they secure support any moment soon.

Even the Directors would NOT buy the stock when it was at the 5p level, even they told you to avoid buying because the Share Price and business was not stable or mature enough yet, PLUS they had their families to think of.

When Kevin took over he initially took pride in working to materially reduce cost, got costs down to £350k a quarter and was working to reduce further. Tick. Tick, Tick great work.

Then of course like all these companies, they revert back to old over time, raise more cash pay themselves more. £17k bonus to Kevin just now with cash we don't have, we even fund that waste of a space accountant who resided over both crashes a bonus 5k was it, we jack up Suzy's salary from £80k to £160k and despite this none of them buy shares, its just what they can take out the business and SH pick up the tab. They have treated the SH with utter contempt, its only when they want more cash they step up to try and secure favour. They even wasted cash on a PR firm.

So IMO i don't think the fiscal control is strong, it was at first but not now. WE are now at similar cash burn levels to before the previous crash.

Anyhow, lets get the placing out the way and go from there, just not impressed - sorry

Yes, sorry forgot about that 12 week undeclared lab contract. that should at least cover the bolly at the Valirx Christmas party this year.

The big elephant in the room is that THX does NOT have cash, that's the point. They couldn't afford to pay VAL the lab costs. IF it had cash we wouldn't be in this position.

Now i will give you the benefit of the doubt and play devils advocate here;

Firstly, lets say you are right and EDUA during the evaluation period come back by 7/11 without any extensions and want to proceed with the shell. So they now put together the legal frame work for the new legal entity. Neither party having any funds of their own. This process will take absolutely months even with a good wind behind it, they would need to get a listing, put prospectus together, term sheet, due dilligence as the new entity, to try and get support for it at whatever terms, that's if they can, even when it comes to funds transfer its another month, frankly i don't think it will make any difference but If you are to believe they can secure support it would certainly come in well beyond VALs time line, Don't forget VAL are out of funds at the turn of the year.

Secondly, this would be a new legal entity now, the market has changed over the last two or more years, IF THX got the support (which i doubt) we don't know what terms it would be on. THX/new co may even need to renegotiate, pay nothing down to VAL and just have milestones? This is business, there are zero guarantees .I would deffo renegotiate as a new co in this situation.

Finally, irrespective of it being too little too late if at all, VAL are burning £2.4m a year and they would need to place to add to the £1.3m anyhow BUT as i say, placing first in any event, i genuinely cant see any way around this and terms will be brutal. IF Suzy can secure £800k placing 20m at 4p she will have done well.

Problem is there are still no guarantees that THX could raise cash even with a new shell.

Meanwhile, On the VAL side Suzy has neglected to act and this has dragged on and on, we are now weeks off going into administration so she needs to act soon. She also has to give 14 days resolution notice which further adds pressure.

As i say Placing can only come first

You make me laugh, literally crying with laughter here at your desperate and pathetic attempt to cling to anything, or make anything out of nothing to try and support your ramping activity.

First off EDUA which is a GP referral call service based out of Singapore, delivered £1.7m of revenue in its last financial year with a loss of £2.4m. Since January this year its Share Price has fallen by 82% from 10p to 1.84p today. It has also received non compliance notices from Nasdaq due to it falling under capitalisation limits.

The big laugh here is that it doesn't have a pot to pee in itself, just like THX yet is investigating forming a new separate shell company with THX because it THINKS they have access to capital markets. Yeah right, good luck with that one during DD, THX haven't secured a bean in cash in over two years, nor likely to.

As i say, even if they agreed to form a shell with THX, it has nothing, it would take months to use the new legal entity to get a listing, put a term sheet together, find investor support, get a nomad, get a listing etc etc, you get the idea. My point is the timeline far exceeds VALs immediacy.

This is why its placing first before anything else, no amount of ramping here will change that, it is what it is,.

Sorry to disappoint but to make this play anything close to being investable it needs three things:-

1. Significant reduction in its cash burn

2. Complete change of the BOD

3. Refocus on what's important and change in business direction

Until then the Spend, Raise, Spend, Raise, Consolidate cycle will continue with mugs like you still shouting what a great investment it is whilst Suzy smiles at you and picks your pocket for more cash.

Not long now for the Placing and EGM and then you will shut up hopefully once and for all including all your ramping telegram group colleagues.

You should, dig deep, its a bargain price buy as much stock as you can fill your boots with. You really need to because its the only way you will learn. When the placing comes in you will pay the price. Your round the clock ramping telling everyone its worth 100m when its not is annoying as hell.

Yes, it is just, it will be just over 5p the bid will be 5 p and the Ask 5.5p and the once the placing confirmed it will fall to that level 2p or 3p depending on what she secures.

As i say you can fool some of the people only some of the time

Suzy has to give us 14 days notice so last possible time i think works out at about end of the month / first week of November.

So IF she can get support, should be able to get the placing done. Hopefully Adam will also show his support and dig deep to add to his holding. If he can tip up another £500k that would help the placing along nicely.

CLX needs the best part of two to three years or more work on it before its remotely ready, then the BOD need to find a backer for it, lets hope they don't give it away like 201.

More money required, not just to fund CLX but more importantly Suzy's £160k a year salary and staff bonuses, after all they have their families to think of and Christmas is only around the corner so SH really need to dig deep for the next placing.

SP Back to where it came from 5p and then down to whatever the placing price is secured at IF Suzy can find support. If she can't its lights out turn of the year.

It's all very good pumping the price but without substance it will fall's back as quick as it went up.

As it stands there is no substance, even if this two bit outfit THX merges and creates a new legal entity it still has to try and raise capital. That has zero chance of landing before the placing.

I'm amazed anyone is dumb enough to buy at this eye watering level with the placing about to land, must need heads looking at.

Why insult the poster when they raise a perfectly valid view point?

The jury is out for me IF they can contain spending on directors, staff and perks going forwards or not, words are easy. I await to see if they can. It is a challenge as previously two directors between them were drawing the best part of a £1m out of this, that's a big pay packet to give up.

But as i say, actions speak louder than words so lets see, they have a good cash runway window to make this business work so lets see if they do or squander the opportunity again through excessive greed. I'm not personally a fan of the share option scheme either, 25% dilution is obscene really and it will certainly put some investors off for sure but lets see what they deliver and judge them on that.

Then donate your money to Cancer Research rather than spend it here to pay Suzy £160k a year plus bonus and Kevin his £17k bonus against dire performance.

They are running a COMMERCIAL business not a charity although on the basis that SH have supported 15 previous placings, five under Suzy and Sixth due shortly and no revenue generated in 15 years, i can well understand the confusion.
