They are NOT funded, this is the issue, TGX only THINK they can raise as a merged entity. To date they have proven they can't raise a bean, missed EVERY timeline and still spinning the same old chap.

I see your logic however, the financial statements issued by VAL are fairly clear, they have been open and honest about their cash runway position. They have pushed for headway shares and not ruled out a placing. They have no option but to raise, this is the reality.

To fund a phase 2 trial you need circa £26m then go onto phase 3 and a 4 towards commercialisation. A very long journey of many years and I gave all the links the other day and its something like £78m required. This is why you often see one company listing and funding one product line.

Here THX claim they want to support a number of drugs so the raise figure you suggest is realistic.

IMO I see no improvement in the THX funding position. Don't get me wrong they may get the merge done but they then need to go on and raise funds under that new legal frame work. The two are very different things. The merger offers no guarantees.

This is my entire point: as a merged entity even with wind in the right direction you are talking many months, probably towards mid 2024 at best, if at all, certainly we'll beyond VALs current cash runway.

This is why the SP is being pumped to death, the SP needs to be above 10p fir any chance of a 3 or 4p placing- watch this space.

I wouldn't say its a scam as such, its just high level ramping at its best. But it doesn't really matter, the Placing and EGM notice RNS will drop and the SP immediately with it. The rampers will them shut up or dissappear whilst those sucked in will be waiting another year if Ever praying for money back. Its how the game is played but we all know that.

dont really want to go over old history on another aim play but the difference was that at 4d the director lied and confirmed by both rns and in various video recordings they had working capital cash from oxford capital which guaranteed a 12 mth working capital runway. in reality when it crashed it turned out they were in breach of covenants shareholders were oblivious to and oxfird capital pulled the finance taking the business down with them. ultimately the assets were sold in a fire sale under a pre pack arrangement and sh got nothing. some ***** action going on but it will likely result in nothing.

at val they only have casb runway to turn of the year then its lights out. hence the ramping to jack the sp up to get a 3p or 4p placing away.

i'm not deramping or short or any other crap the ramping crew come up with. i'm telling it how it is as one investor to another in the aim shark infested waters we deal in.

what a company doesn't say is often more important that what they do say. if thx were sitting on millions ready to deploy, the transfer would have been completed three weeks ago when this ramp high started at 5p

The objective is to keep the SP over 10p so VAL can get the placing away at 3p or 4p and not enter death spiral financing.

You know that, i know that. What i don't like is you trying to sucker people in that will clearly be trapped at these levels.

But you don't care about that, when the placing prosed and EGM notice drops, this bubble bursts and those holding the baby that didn't get out in time will be locked in like you, dreaming of a recovery in 2024.

The more this ramping goes on the more i believe they actually wont be able to raise even as part of a merged entity. But i grant you you have done well to pump the SP to this level, even above the placing level which is bloody impressive in this market. Just proves you can fool some people some of the time.

My view stands, the desperate need to put out tweets, forum posts, anything in non official forms is simply designed to create ramp, hype, pump and noise to sucker in buyers at this high hype level so they can get Turner Pope to secure the discounted placing at a better price. I stand by 4p 20m to raise £800k however, I’m actually now doubting it will be as high as 4p because I think any serious investor will question if it will be wasted cash, would the THX money follow, can they raise it to pay VAL? If they still can’t VAL would need to raise even more cash on top Q2 2024.

But Thank you for your wonderful rosy description of how great this lifestyle and lab start up business is plus your comments aimed to discredit me and my analysis.

May I remind you that despite your amazing comments, this business has delivered zero revenue in the best part of 15years excepting a 3mth lab contract.

Further, it has had 15 raises and three 125:1 share consolidations, 5 raises under Suzy and placing 6 due any moment. It’s handling of 201 has been nothing short of a shambles, it’s cash burn has practically doubled again back to where they were pre crash whilst the BOD have enjoyed bonuses and salary increases (Suzy’s salary went from £80k to £160k over the last three years) despite that greed at share holders expense the BOD refuse to buy shares in the business and have next to no skin in the game, excuses for not buying include “Suzy has own family to think of” and Stella’s classic “Gerald Ratner” moment when she declared “Stock not stable enough to invest” it hadn’t the maturity yet. Free shares given to CENKOS, wasting money on a promotions company appointed, an FD that resided over both the first crash and the second emergency placing and still here, lack of progress on 301, lack of any meaningful progress frankly but above all the big elephant in the room is that the CASH RUNWAY RUNS OUT AT THE TURN OF THE YEAR and they have no alternative but to call on Shareholders yet again to dig deep to keep them solvent.

So before you berate me for not sharing your continued excitement just remember this, Adam needs to take note ;) A poor Director does NOT wake up one morning and suddenly become a good one. Ultimately, this board needs a clear out, reduction in cash burn to a more manageable level and directional change for this business to have any hope of future success IMO but good luck to you if you want to still vote to maintain the status quo.

This is just BS of the worst kind, i am accepting that if this potless two bit outfit THX, that hasn't been able to raise a bean in over TWO years, has missed countless promised timelines, actually persuades EDUA to merge with it, its profile would improve BUT it would still as as the new combined entity have to go on issue a prospectus, new legal structure and try and raise in this market and this would take time, still has no guarantees but moreover WOULD TAKE MATERIALLY LONGER TIME THAN THE REMINING CASH RUNWAY VAL HAVE BEFORE THEY RUN OUT OF MONEY AT THE TURN OF THE YEAR.

Anyone mug enough buying now, will take one hell of a hit when VAL issue the proposed resolution notices for the discounted placing and the EGM date for a fact. I still stand by a 3p or 4p raise at BEST. We will find out very shortly as time running out hence the full on ramping to desperately maintain this hype bubble before it bursts.

If I was offered these placing shares by Turner Pope with the current BOD they might just about tempt me at 3p or 4p tops if I thought I could flip them quick for 5p or 6p and make 50% otherwise I’m not interested, you could buy in the placement, find that THX still can’t raise cash as the new merged entity and be trapped here whilst VAL come at me again end of Q1 2024 with raise number 7 just prior to the AGM. Just doesn’t excite

I was trying to work out why the fall back on what looked like a simple AGM invite but then when I read the resolutions to be passed, I could see they wanted headroom for issue of 67m shares or 50% of the current capital. That’s going it somewhat... Would take them to 203m in Issue if the issue those on the market.

When the proposed resolutions and EGM RNS notice lands the SP will quickly correct itself back to the 3p or 4p level of the proposed placing.

Ramp your way out of that, clock ticking, tick tock, tick, tock...

THX only THINK they have more chance of raising capital as part of the new entity. They still need to go on and prove they can do that.

My view is irrespective of IF they can or Not (I don’t think they can) allowing for new legals, DD, term sheet, placing times it’s NOT physically possible for any resulting cash/ if at all, to hit VAL before the cash runway runs out.

Cash runway is out at the turn of the year, 14 days notice for an EGM etc, so placing will hit this stock before anything else, no avoiding it.

Meanwhile, the stock is being pumped to secure a better placing rate and if you can’t see that @HD you are as naive as Suzy

I believe you THINK you might have a better chance of raising cash if you merge with EDUA but frankly there are no guarantees. You didn’t pay VAL a bean, missed numerous timelines forcing VAL to raise more cash and have proven not to be good to your word.

Further, I wouldn’t go near you if I was EDUA, what kind of professional posts on twitter and public chat rooms spreading hype to inflate the Share Price?

You might think you fall outside FCA guidelines but what you are doing is still unethical

So put up or shut up, transfer the money!

Look, before fantasy :

Let’s see if VAL can get their discounted 6th placing sorted first to ensure they can keep the lights on in the New Year. 3p or 4p inbound IMO.

Then we can see if THX merger can raise funds by end of Q1 2024 or if it’s all wind and puff and SH have to dig deep yet again for raise 7.

Then start dreaming about “what you could win with the money”
