Thank you once again Vas for the information on the Kerala smart meter project, it was appreciated.

I have given my opinion on the financial requirements for these tenders/Kerala, in my post at 22:26 yesterday evening, within the first two paragraphs.

CyanConnode have been navigating these financial requirements and have been part of various winning consortia with various other Partners for smart meter contracts for a number of years now. And will continue to do so, in my opinion.

Whether that be as a newly formed AMISP, or as they have done in the past, with various utilities/meter manufacturers/infrastructure providers/etc..

CyanConnode is a far stronger Company now, than it was say 5 years ago. With a more certain future. Again in my opinion.

Good evening Vas and an excellent find. Thank you for sharing.

This is not the first time Vas, that I have seen these financial requirements within the smart meter contracts that CyanConnode may have been involved in over the years, But the Company has still progressed.

I would have thought that CyanConnode/DigiSmart would have had to pass a certain financial criteria before being elevated to the AMISP position?

The percentage point angle, has many facets Vas and the percentages change with the number of Partners that finally end up being involved.

But more Partners can sometimes give you more opportunities and a potentially bigger pie. So a smaller percentage can sometimes give you a bigger portion overall, of a bigger pie.

Just a thought and interesting times ahead I feel and thanks again for the heads-up for the Kerala project. It was appreciated.

Missed a bit. If there are more than one potential suitors, that want to invest in CyanConnode's Indian operations, that opens up a very strong bargaining position for CyanConnode. In my opinion, of course.

Sticking to the 1st August, 2024 RNS, within the second paragraph there is this option:-

" CyanConnode confirms that it is actively exploring various funding opportunities to further enhance its growth and operational capabilities. Among these options is the potential for a strategic investment into its subsidiary, CyanConnode Pvt. Ltd.. While discussions have been held with various parties, which as a matter of course include its key partners, these remain at an early stage and there is no certainty that definative terms will be agreed or as to the timing of any such discussions being concluded."

So theoretically, there may be the possibility that there is more than one companies hat in the proverbial ring, to consider? Which if there is, percentages take on a whole different shape.

Vas, I also mentioned the possible significance in similarity to the IntelliSmart/DigiSmart names, on 1st August, 2024, when the news first broke. Whether that is a good omen or not, is yet to be determined.

But plenty of interesting times ahead, I feel, with plenty of twists and turns ahead, until any possible deal is done.

Clarification.

On refection and re-reading the RNS that was published by CyanConnode on 1st August, 2024, my interpretation of any potential offer, to Traderz100, may have been incorrect, in that " ...... IntelliSmart Infrastructure Private Limited ( IntelliSmart ), a key partner and customer of the Company in India, is considering acquiring a significant stake in CyanConnode's Indian operations."

Whether " ..... CyanConnode's Indian operations ...... " includes CyanConnode India and DigiSmart, is where I may have mis-understood the process and the complexities of any offer.

As I also mentioned to tonyj, we will have to wait and see what the final details are and judge any proposals then.

I just thought I would clarify that point, especially to Traderz100 and tonyj.

....... has been credited Vas, in the latest issue of the NSGM latest stats all report, with the Madhya Pradesh - Central, smart meter project that you referenced, for just under 2m smart meters. The total for the whole Madhya Pradesh - Central smart meter project is for just under 4m smart meters total.

So Alfanar and Partners have been Awarded circa 50% of the total Sanctioned requirement, so far, from what I can see. But thank you for the original heads-up on the Alfanar/AZB & Partners/Esyasoft Partnership, it was appreciated.

The number of Sanctioned smart meters and the number of Awarded smart meters remains the same, as the previous report, with the total number of smart meters installed so far this month ( August Achievement ) standing at 304,853 and the total number of smart meters installed overall ( Cumulative Achievement ) now standing at 13,232,890.

...... and CyanConnode - its worth having a review of the Memorandum of Understanding, made public in April 2023 between CyanConnode and Alfanar.

The second paragraph to me, is key, as to the scope and depth of this Partnership. From the 3rd April, 2023 RNS:-

" The MoU sets forth the intention of both parties to establish investments in AMI projects on an opportunity basis, leveraging the core strengths of both companies, at the Group level. CyanConnode and Alfanar will jointly review tenders across targeted geograpies and, subject to a positive outcome, establish joint ventures for the implementation of AMI."

So it will be interesting to see where the first CyanConnode/Alfanar project developes. In India, or other joint " .... targeted geographies ..... ".

Another area to look out for, when the Presentation is published, is the new target areas and progress that has been made/is being made and there did seem to be quite a few, from where I was sitting, at the rear of the room. So I will be interested in seeing the target areas again, in more detail.

But I believe that CyanConnode India already have multiple choice opportunities, for the smart meter tenders they are competing for, because CyanConnode India are involved with different consortia and different AMISP's/Lead Bidders. So CyanConnode India may also have many bites of the cherry, because they are part of different consortia.

Tonyj, we will have to wait and see what the final details on any deal look like, when it is put forward and judge it then. But I get the feeling that no revenue contributions will be received from DigiSmart, in whatever form/percentage, until next year. But who knows what the future might bring. So until then, in my opinion, CyanConnode India will still be competing for tenders as normal and probably/hopefully after, as well.

Thank you for your reply, yesterday evening and for the clarity it was appreciated.

The details of a " ...... potential offer ...... " were not discussed publically to my knowledge. But some of the benefits have become clear, at least to me, of CyanConnode being an AMISP, which has seemingly prompted this interest in DigiSmart.

From my point of view, for CyanConnode, a couple of benefits of being an AMISP through DigiSmart are:-

- Early recognition in the smart meter food chain, with public recognition that an individual AMISP has been successful, for a particular project, rather than waiting for 6/9 months that sub-contractors are waiting, before individual details emerge.

- Access for funding as an AMISP, through banks, infrastucture funds/infrastructure companies and possibly other means, that are looking to fund smart meter projects in India, in the future.

The percentages of any potential deal, were not discussed, nor were the potential number of suitors. Although, as we have been made aware, one is it seems more " potential " than any other, at the moment.

As there hasn't been any official details, of a " ..... potential offer .... " published by CyanConnode, I take it that any potential offer will be for a percentage of DigiSmart only, not for CyanConnode India, as a whole.

So CyanConnode/CyanConnode India, will still be able to persue potential smart meter contracts as usual, outside of the DigiSmart AMISP umberella, so-to-speak, as they are doing at the moment, is the way I view it.

I hope this is of some helps Traderz and is only my opinion.

....... meeting went very well and it was especially good to meet Bjorn Lindblom again, it has been a few years since we first met at an Investor Presentation, in London. All the other Main Board Members were present and contributed to an encouraging AGM.

There were also some share-holders there, that I had met before and we put the world to rights, as you do.

But I am sure that the highlights will be covered in a Presentation, shortly.
