As we are mentioning the Esyasoft Loan Notes, I commented during April 2026, that the Loan Notes were worded slightly differently, in respect of the Redemption clause.

The 2 x $7.5m loans have a Redemption clause of " ....... in full, at any time between 36 and 60 months from the date of issuance." The $5.25m loan has a Redemption clause of " ...... in full, at any time between the date of Agreement and 60 months from the date of issuance."

The Conversion clauses are the same.

So the 2 x $7.5m loans are similar, but the $5.25m loan, loaned specifically for AMISP tenders, as they are tendered. I understand that the fees/deposits for the tender applications, are refundable, if the terms and conditions for the AMISP tenders are met.

This would theoretically - as the monies are returnable - eventually top-up the original loan and hopefully, as the AMISP tenders are optimistically, successfully Awarded to CyanConnode/DigiSmart/A.N. Other - or at least the odd one-or-two would be nice - the $5.25m loan could eventually be repaid to Esyasoft.

If that scenario were to happen, that would effectively help to reduce the leverage that Esyasoft has over The CyanConnode Group, over the next 5 years, while also growing the Market Cap of the Group.

Interesting times ahead, I feel.

" The proposed R3,050 crore transaction includes the acquisition of 100% of the equity share capital of IntelliSmart and redemption of the optional convertible debentures of IntelliSmart, held by NIIF.

" The completion of the transaction is subject to regulatory and other customary approvals.

" IntelliSmart is among leading owners and operators of smart meter assets with a total portfolio of 2.2+ crore meters, across Uttar Pradesh, Gujurat, Madhya Pradesh, Bihar and Assam."

So Adani Energy seems to be the initial, sole winner, in the IntelliSmart purchase.

Apparently, were must have been both at the same AGM, only I wasn't part of the original conversation, I was talking to someone else at the time as you do. As I commented earlier, I was made aware of the conversation that Bobjim was party to, by another poster on ADVFN, if my memory serves me correctly.

I also seem to remember the conversation mentioned by Bobjim - so thank you for the reminder - being reported by a poster on ADVFN. So with todays Shares in Issue structure of approximately 359m shares, that valuation of between £100m to £150m during mid 2023, equates to a share price today of between approximately 28p to 42p per share.

And since then - at least mid 2023 - there has been the AMISP development, the first ( and other ) multi-million Omnimesh orders, the development of the new Omnimesh Product Suite - including the introduction and integration of the FG28 Module, the development of the In-Meter Gateway, the development of the new AI Cellular solution and the development of the new Universal Head-End System. So we can see where the R&D money has been spent over recent years.

And then there is the low valuation from Esyasoft. Low, in my opinion, of course.

In reply to the 09:11 post today, I do not agree that John Cronins February RNS Statement, was " ..... purposely designed .... " to halt the share price - as you have stated - but to inform share-holders of the opportunistic approach - in my opinion - by Esyasoft.

I am still waiting for the Esyasoft approach to be finalised, one way or the other. This ongoing time-frame, gives ample opportunity for " panicking " rhetoric and ample opportunity for negative or alternative views to be put forward, on CyanConnode as a Group, or various/all CyanConnode Directors and Senior Managers.

From various pieces of information that are available, about CyanConnode, from various news outlets since the February 2026 approach from Esyasoft, it is encouraging, at least to me, to know that the CyanConnode Group is still getting on with the business at hand and does not seem to be distracted by the Esyasoft approach, or the negativity of some of the conversations.

As I have said before, there may be investors that will be happy with 10.44p and will vote accordingly. I personnally think that The CyanConnode Group is worth a lot more. If there is a firm offer placed, what ever it is, investors should have the choice.

As I have also said before, tactics and negotiations will come into play and have no doubt been used by both parties, over the last few months.

To answer your point about EESL, tonyj, EESL seem to be short of cash.

From an industry report:-

" Cash-strapped Energy Efficiency Services Ltd ( EESL ) and India's sovereign National Investment and Infrastructure Development Fund ( NIIF ) have roped in Deloitte to sell their IntelliSmart joint venture, this fiscal year. This comes at a time when the state-run energy efficiency firm plans to cut its mounting debt pile, of about R 6,049 crore, chief executive officer Akhilesh Kumar Dixit said in an interview on Monday."

Its a shame really.

So, it would seem a dual approach between the Goa Electricity Department and CyanConnode/DigiSmart, to keep the Goa Electricity Department staff and customers, up-to-speed with the new smart electric system/ meter installation.

It is good to see that CyanConnode/DigiSmart, is providing additional support and training to Goa Electricity and Goa Electricity officials, to support them with their transition with the new smart grid/ smart meter system.

Good afternoon all,

The payment terms for each contract, where appropriate, are provided in each CyanConnode RNS. I say " ... where appropriate ..... " because some Clients seem to want to keep the payment terms private and some don't seem to mind as much.

For instance, the 6.5 million Omnimesh Module order, received on 28th August, 2024, confirms:-

" The installations for each project will then be completed within 27 months and followed by a 93 month Support and Maintenance Contracts, which will commence upon completion of the installation phase. Approximately 70% of the contract will be paid during the installation phase. The remaining 30% of the contract will be paid for in equal monthly instalments, over the duration of the Support and Maintenance period."

So this particular 27 month installation phase, should be completed towards the end of 2026, if we work from the date on the RNS - 28th August, 2024. But as it also confirms within the RNS, that the " .... supply of Omnimesh Modules expected to commence during H2 FY 2025." So the installation phase for this particular contract may move into early 2027, dependent on when the contract was deemed to have started.

Overall gross margin targets have been highlighted over recent years, by CyanConnode, for both the Installation periods and the Support & Maintenance periods. Higher revenue and lower gross margin for the Installation Period and lower revenue and higher gross margin for the Support & Maintenance Period.

Bobjim mentioned Esyasoft earlier today and seemed to suggest that it was a good time for Esyasoft to make an approach. I agree and have commented many times over the last 4 months, that I thought that the Esyasoft offer was opportunistic. Especially with IntelliSmarts focus now being elsewhere, for the time being.

Good afternoon Mel,

That is the key question Mel, that is difficult to answer. And depends on the overall alignment and delivery of the main components within CyanConnode's offer. That being Hardware, Software, Support & Maintenance, AMISP and of course, Customer Service.

Coupled with the all important Cash Collection from the Customers, once CyanConnode have done their bit - whether that be from a utility, a meter manufacturer or an AMISP.

The " Product Mix " in any one year, will also prove to be very important, as to when the " Holy Grail " of profitability is reached. In my opinion, of course.

Sticking to the Post Subject of " CC FUTURE VALUE ", it is worth remembering and putting in the mix, that CyanConnode are involved in the UK SMETS2 smart meter programme, which we are told had a potential contract value of " ..... £24m of revenue, based on the assumption that 10% of SMETS2 would require a " not-spot " solution."

A representative of Telefonica UK, commented at the time that " CyanConnode are one of the very few suppliers globally, that has the experience and leading-edge technology to support smart meter deployment, in areas where there is no cellular coverage."

The SMETS2 smart meter programme, we understand, has now been extended to December 2030, so any meaningful CyanConnode involvement, will potentially be pushed back.
