I was just about to post this information, but had a look on ADVFN and noticed that yourself and multibagger had given Alfanar a mention and you had mentioned the link with Esyasoft:-

I was going to mention this initially because of the MoU that Alfanar signed with CyanConnode, during April 2023, with " ..... the intention of both parties to establish investments in AMI projects on an opportunity basis, leveraging the core strengths of both Companies, at the Group level."

It goes on to say - " While the MoU does not create a binding commitment, it is anticipated that a definitive agreement outlining the terms and conditions of a collaboration, will be signed by both parties, in due course."

So there are other options available, I might suggest, besides the one on the table from Esyasoft. It would be interesting to know also, where CyanConnode are with the ongoing negotiations involving IntelliSmart.

Although since EESL and NIIF have decided the sell their stakes in IntelliSmart, that may be the hold-up that has given Esyasoft the opportunity to put forward a Bid, for CyanConnode.

Good morning all,

Esyasoft will have knowledge of the potential contract situation regarding tenders that Esyasoft are involved with, along with their Partners, including CyanConnode. So you could look at it as a positive sign that Esyasoft have made an approach to CyanConnode at this time. It shows that there is a positive outlook for CyanConnode, at least from an Esyasoft point of view.

We know that our known Partners ( Genus, IntelliSmart and MonteCarlo - that we know of ) are providing a healthy contribution to smart meter installations for the RDSS smart electricity programme in India, with CyanConnode having an encouraging outstanding order-book, of approximately £87m worth of orders as a Systems Integrator and £70m AMISP contract in Goa. ( £157m total order-book - so far ).

This is before any new potential contracts could be Awarded to CyanConnode as a Systems Integrator from our Partners, or any new contracts as an AMISP, that the CyanConnode Group may be potentially Awarded.

It should also not be forgotten, that the Tamil Nadu smart meter project for TANGEDCO, for 30m smart electricity meters alone, has not yet progressed, so far, which is another contract that various contractors will have their focus on.

The RDSS smart electricity meter programme, is at the moment focused on smart electricity meters only. Smart gas and smart water, will follow on in the future, as sure as night follows day. So there is still many years worth of work left yet, for CyanConnode as a Group, in India alone, as well as other developments in EV charging, heat pumps, smart street lighting, etc., before any decision on the true value of the CyanConnode Group, needs to be taken.

The " Statement regarding possible offer " released on February 3rd, 2026, does not reflect the true Actual Value, of the CyanConnode Group, in my opinion, only a possible value to Esyasoft today. Let alone the Potential Global Value of the CyanConnode Group, in 2/3/4 years time.

At the moment, Esyasoft can see the value, but they only want the full potential for themselves.

Interesting times ahead, no doubt.

From the Financial Highlights section:-

- " Increase in operating costs from £4.4 million in H1 FY 2025 to £5m in H1 FY 2026, driven by £0.9m of foreign exchange losses in translation of accounts ".

- " Operating loss of £3m ( H1 FY 2025 loss: £2.1m ), driven primarily by the £0.9m of foreign exchange losses ".

The full text relating to the Gross profit, so that the full explanation is understood, reads:-

" Gross profit of £1.9m ( H1 FY 2025 £2.3m ), reflecting a lower gross margin of 25% versus 41% in H1 FY 2025, due to lower software and services revenue as proportion of revenue ( 8% versus H1 FY 2026 20% ) and to lower than usual pricing on certain contracts agreed, in anticipation of new higher margin products coming through, such as FG28 module, cellular modules and In-Meter Gateways, which have significantly lower costs. The Group is targetting overall project margins of upwards of 35%, following commencement of deployments using the new products, with this margin varying across the course of each project ( driven by lower margin hardware being shipped in the first two years of a project ). With the use of In-Meter Gateways, gateway installation and maintenance costs, will be substantially reduced."

Good afternoon gizmo,

I have made it clear, with words that echo your quote of " ...... all these years of work to achieve amisp regulation ....... R/D of omnimesh ..... for 35m ..... ", to whoever wants to listen. I doubt whether the " £35 million " would cover the development cost, over the years, gizmo. In fact, that would be the start of any future negotiations for me - the development costs - up front and out in the open - for any Company that is buying into the CyanConnode Group.

And not forgetting - the introduction of the FG28 module - the opening of 3 additional global offices in recent years in Gurugram, Stockholm and Dubai, as well as the the new Head Office in Cambridge - the list of global Partners - and a very strong Indian order back-log and growing global influence and penetration.

And the majority of it was developed under the John Cronin and Heather stewardships.

The pieces of the puzzle are nearly in place, with revenue growing so far this year, but CyanConnode need to tick the Gross Profit and Gross Margin boxes, as I am sure they realise, to complete the package.

A consideration indeed, as I have thought over the last few days. Why Esyasoft in isolation. Axia provided a loan originally and there are no doubt many of CyanConnode's Partners who could/would part fund CyanConnode's/DigiSmarts smart meter projects, on a per project basis.

Now that Esyasoft have shown their hand, maybe respectfully, CyanConnode should consider bringing in other companies that are willing to share the financial load, until CyanConnode can carry the full financial burden. If they want to.

Just a thought.

I do not believe the share price has been deliberately stopped by this announcement. CyanConnode received an offer for the Company and John Cronin responded by making share-holders aware of it, which I believe was the correct decision.

The offer from Esyasoft was an opportunistic offer for the CyanConnode Group.

The Trading Update delivered on 18th December, 2025, was very encouraging overall, which confirmed, along with other details, a contracted order-book of £157 million - including the £70 million Goa contract - revenues increasing to £7.4 million for the period - shipments of Omnimesh modules increasing to 893k and a £1.2 million follow-on order from the MENA region.

And Esyasoft value the CyanConnode Group, at 9.75p per share.

Esyasoft probably looked at the 18th December, 2025 " Positive H1 Results with Accelerating Smart Meter Roll-out in India, Creating a Strong Tail-Wind " report and could see the signs of recovery and progress and decided to make a move.

John Cronin did the correct thing, in bringing it to share-holders attention.

Sorry for the delay. Are you referring to the progression of the Goa contract? I was stuck on the ..... " ( phase 1 ) ..... 37 ..... proof of concept ...... " - I take it you mean the first 37 consumer smart meters installed for the Goa contract? Phase 2, Phase 3 and the 3 phase commercial are the various other smart meter installation segments, as they progress?

As I mentioned yesterday, we now have some visibility on the progress of the Goa project.

...... received today, " ...... for the Company, valuing its entire issued and to be issued ordinary share capital, at £35 million, representing approximately 9.75 pence per share ( the " Possible Offer " ) must potentially be as well as the " Statement re media speculation " that was made public that " .... IntelliSmart Infrastructure Private Limited ( IntelliSmart ), a key Partner and customer of the Company in India, is considering a considerable stake in CyanConnode Indian operations."

As EESL and NIIF have decided to sell there individual stakes in IntelliSmart, I would think that the negotiations between IntelliSmart and CyanConnode have potentially stalled and Esyasoft have made a, shall we say, an " opportunistic offer ".

It was right that John Cronin made this " Possible Offer " public and with the Indian order-book alone at the moment, standing at £150 million, it should should send a message, to all concerned.

Good morning all,

MonteCarlo and Partners installed 563k+ smart meters during January 2026, within 2 of their smart meter projects, with IntelliSmart and Partners installing 350k+ smart meters within 5 of their smart meter projects, during the same period. Genus and Partners have contributed with the installation of 1.37m+ within 10 of their smart meter projects, which leaves approximately 1m smart meter installations contributed by other consortiums.

And with the Goa contribution of 37 consumer smart meters ( so far ), the completion of the Feeder Metering and the starting of the DT Metering also during January 2026, it is good news for the CyanConnode/DigiSmart smart meter project, I would say.

We now have some visibility on the Goa project.

It is indeed different. The consumer metering has started with a modest 37 smart meters installed. All the 827 Feeder Metering has been completed and 452 DT Metering out of 8369 meters have been installed.

So steady progress is being made, in Goa.

........ positive trading today and for what its worth, my position hasn't changed for some time. I still think that the CyanConnode Group has some way to travel yet, with developing global interests still at their early stage, as well as the fast maturing Indian smart meter market and developing AMISP progression.

So in that respect, I am with tightfist, on ADVFN.
