Good afternoon Vas,

The way I see it Vas, rightly or wrongly is, if the " Offer " had been rejected out-right, initially, there probably wouldn't have been a requirement for Companies and Individual Share-Holders to notify their holding in CyanConnode. This way the Board should know exactly what they are dealing with, by the close of trading today.

At least the first stage of the process, anyway.

Esyasoft isn't a problem. The situation that the Esyasoft offer has placed CyanConnode in, is causing the problem. I commented at the time of the Esyasoft " offer ", that I thought that it was opportunistic. And still do. The IntelliSmart negotiations with CyanConnode were/are ongoing and then EESL and NIIF decided to sell their stakes in IntelliSmart. That was the opportunity for Esyasoft. In my opinion.

I am not expecting a running commentary on the current situation, until the timelines are reached. But how the Board react and how CyanConnode is positioned going forward, as far as funding these projects is concerned, both as a System Integrator and AMISP, is very important.

A " ..... limited communication ...... within regulation ..... " is the way I see the situation that CyanConnode are in at the moment, as far as the Esyasoft " offer " is concerned. It's Esyasofts move, as we both agree.

We may learn a little more during the day.

I agree with your observations about Azerbaijan and Dubai, from the August 2025 presentation, possible being linked to Esyasoft, along with other positive global news about CyanConnode from within the report. If their is also going to be a potential link between Azerbaijan/Esyasoft and CyanConnode, would Esyasoft want that news to be announced at this time? Wouldn't that add even more value to the CyanConnode Group?

But there was also some updated information in the H1 Results - FY2026, released on the 18th December, 2025, which gave some additional, positive information about the CyanConnode Group, that Easyasoft would have picked up on.

There was also some further information, from within the December 2025 report, that being:-

" Investor Presentation "

" Following completion of Q3 FY 2026, on 31st December, 2025, the Company intends to hold an Investor Presentation on the Investor Meet Company platform, for share-holders, in Q4 FY 2026."

So sometime during January 2026 through to March 31st, 2026.

Esyasoft would also have known this and made their 9.75p bid, during that period, on 3rd February, 2026.

The latest information I can get off the internet, is that " The government has set a new target for energy suppliers to install smart meters in 100% of domestic properties, by December 2030 ".

I should get mine in a couple of weeks, after waiting 3 years!!

....... acquired Good Energy early last year, with Good Energy being a British Energy Company that is a 100% renewable electricity company. Which is, I would think, a similar type of Company to Esyasoft, so they probably have similar synergies. I do not see the similar synergies, between Esyasoft and CyanConnode, personally.

The UK smart meter programme, has been put back on numerous occasions, so as CyanConnode's involvement, we are informed, is not until the end of the contract, then CyanConnode's opportunity for any revenue contribution, is also being put back.

But Esyasoft will know this and will reap the benefits from the circa £25m+ contract, over time. Yet another free-be, along with the majority of everything else..

I personally never had the opportunity of meeting Mr. Ken Lamb, before John Cronin took over at the helm at Cyan Holdings, as it was known then, during May 2012, changing to CyanConnode during July 2016, with the integration of Connode AB.

John Cronin and the CyanConnode Team have changed the company significantly, over the years. In my opinion.

- Cyan Holdings have integrated Connode into the CyanConnode business.

- CyanConnode are now on their third generation ( Cylec > Ultimesh > Omnimesh ) solution, from what I can remember, with other smart solutions for Gas, Water, EV charging, Heat-Pumps and Street Lighting added to the armoury.

- CyanConnode are developing global markets.

- CyanConnode have global offices.

- CyanConnode have developed India and are progressing with AMISP.

- CyanConnode are developing financially, but need to tick a few more boxes.

- CyanConnode still have the UK Smart Meter Roll-Out that is yet to gain traction as far as CyanConnode is concerned - which we are told will be towards the end of the overall contract.

And after all this development over the years, are the CyanConnode Group worth more than 9.75p. Absolutely they are. Much more, in my opinion.

Esyasoft have shown their hand and Bjorn Lindblom, John Cronin, Heather and whoever else needs to be involved, will no doubt be looking for alternative funding arrangements, that want to support the CyanConnode Group long-term and not take it over, at the first opportunity.

Despite what has been achieved over the years, there is still more work to do.

..... has identified Esyasoft's loans to CyanConnode, as their opening position. No other shares in CyanConnode Holdings Limited, have been identified/disclosed, as of 11th February, 2026, by Esyasoft.

Smart Sustainability Solutions Limited are also mentioned within the disclosure, released today.

Good evening gizmo and I agree with your 21:22 post.

I have always recognised CyanConnode's position of independence, as a strength over the years, in being able to integrate with different meter manufacturers, utilities and in some cases, even competitors.

So in that regard, CyanConnode have proven that being neutral, can succeed.

I am glad you agree, gizmo and I must admit, I am quite partial to a fish fillet, during the week. But as yet, I haven't had any red herring. The Goa contract and any other AMISP contract that may be Awarded to CyanConnode/DigiSmart, prior to any potential take-over, may be difficult to un-ravel, for reasons I have mentioned. But hopefully, it will not come to that.

The fact that John Cronin initially initiated the " Statement regarding possible offer " seems to have bought to the surface, as I think you have alluded too, the changing position of Major Share-Holdings and potentially, Director Holdings.

It should also bring into focus, any position that Esyasoft may take, between the 3rd February, 2026 and 05.00 p.m., on 3rd March, 2026, in CyanConnode Holdings Plc. Which is the way I am viewing it.

As I think you have already alluded to gizmo, CyanConnode have built up a very good reputation over the years, in India specifically and also globally.

The other considerations are, for me:- An excellent RF product, of which there are many - very good service - built up a local workforce ( in India ) that completes contracts throughout the region - ongoing fine tuning of solutions ( R&D ) - with another key component of the business being, it has its solutions manufactured in India.

Whether these links will be broken and the workforce stops intact, should CyanConnode change ownership, that is difficult to predict. But would you take the chance?

Personally, I do not think the Indian authorities themselves, would want the upheaval that a possible change of ownership of CyanConnode would bring.

Esyasoft have worked with CyanConnode successfully, over many years. That does not mean, respectfully, that Esyasoft knows everything that CyanConnode knows. Each company has its own unique, expertise.

With reference to your post yesterday evening, at 21:30, the Strategic Framework Agreement that CyanConnode originally had with IntelliSmart, may have served its purpose and run its course.

I say this because, last year we were informed that CyanConnode had entered into an Open Agreement with IntelliSmart " ...... to deploy smart meters on a Pan-India basis ". So the ongoing negotiations between EESL/NIIF/IntelliSmart and others, are somewhat of a distraction, from the every-day running of the business.

In reply to your 17:00 post today, I tend to agree - re " ..... 51-49 ..... " split. Or more for CyanConnode if we can get it. It would depend on how the deal is structured, overall, at the end of the day.

I commented on the 5th February, 2026, that I thought the Esyasoft offer for the CyanConnode Group, as a whole was, " ...... opportunistic ...... ". And I think that the catalyst could well have been the proposed sell-off by EESL and NIIF, of their respective stakes in IntelliSmart.

The CyanConnode RNS dated 1st August, 2024, confirms that IntelliSmart " ...... a key Partner and customer of the Company in India, is considering acquiring a significant stake in CyanConnode's Indian operations."

So what difference the present situation with Esyasoft makes, to the previous discussions with IntelliSmart, we have yet to fully find out.
