It's was the end of an exclusivity date not a deadline and certainly not in the interest of ARCM to conclude within this date with other majors interested.

No need to be transparent, its absolutely the right thing to do if you feel less confident or whatever you should sell some or all of your position.

It will be an interesting few months I think. I'm happy here unless further news causes me to reassess. I think second half of this year is the key now. Especially with drill results and the cuffs taken off so we can now have real discussions with the other majors.

The fact we reorganised our licences and you must recall NvS said this was in relation to a potential commercial transaction ; while in an exclusivity period with AA, tells me the discussed offers.

I suppose it comes down to what you determine to be the definition of an offer. I think it would be naive to think during the last 6 months following due diligence, which were specifically for the purpose of discussing a commercial transaction, that any form of offer wasn't made. They simply wouldn't have gone into the second 6 months if they didn't want to. The licence reorganisation wasn't for something to do and pass the time.

CRK the assertion that an offer was made is on the basis that he has verbally confirmed this during an Investor Call, and that ARC countered this and that it is with AA.

The new inclusion in the RNS today that NvS has been keen to avoid disclosing was the nature of said offer. This is why many are interested in the use of the term 'an offer for a major to take over an asset'.
Assuming we trust him (which I do) and take his verbal confirmation a deal was tabled, alongside today's deal is sufficient for me to make a conclusion.

In effect that AA have offered a deal to takeover an asset which was countered by ARCM as NvS wants more. Furthermore that ARCM counter offer is still with AA but we'll speak to others while you chew on it AA, so pay up or take the risk.

That's where it's at IMV.

I'm heavy in ARCM. The deal isn't off but AAs exclusivity period has ended. They area still. It used to be their assets in Zambia ARCM now have.

Back to KAV though, if they drill up commercially mineable and massive sulphides everyone will be interested lol. Botswana is hot ATM and many looking for opportunities. The fact KAV have the virtually the entire prospective areas in the KSZ is fab (aside from the other areas KCB etc).

Yes Longfell it's an interesting phrase that does imply a sale. I still don't think it's a full TO, but I also said I felt a JV was more likely which seems may not be what was or is on the table with AA.

Any outcome has pros and cons. Be it a partial sale, full sale or JV. I like them each for different reasons. I like the finality of a buy and I like the potential growth of a JV with a major.

IMO the important thing is as long as I feel we have interest and the likelihood of a commercial transaction with a major, I'll let NvS to the what's, where's and how's.

I try to avoid over speculating on it though. I wanted it out of exclusivity and I'd like to finalise a deal after drilling if the indications of the results are looking good though.

Will be an interesting H2 of this calendar year.

The six month agreement after the six months of due diligence wasn't optional Tom.
That's why I'd imagine you would have been challenged at the time, or 'shouted down' as you phrase it.

It was agreed at outset that AA had the right to extend the exclusivity for a further 6 months, following successful DD, if they wanted to discuss a commercial transaction.
As you rightly point out being in an exclusivity with one major doesn't strengthen ARCMs negotiating position, or pressure the potential buyer. No one I am aware of would challenge that..but simply put the six months wasn't a mistake as it wasn't optional Tom.

Hence I (and I think broadly we on here) are STILL saying the same thing today after this news..and in fact the same thing as you were saying. I don't think the narrative here has changed at all. In effect, ending their (AA) exclusivity is a good thing.

ARCM ended this as soon as they could after what was contractually agreed at the start. We couldn't have ended it sooner unless AA walked (which they still haven't).

As for why the last 12 months hasn't been a waste of time.....

I appreciate you've clearly got a bit of a chip about how you believe you've been engaged with here, or loses, or you changed your opinion from when you invested. That's fine.
But I think that's fair of me to say given the content, nature and persistence of your posts here after selling that proding at people won't fix anything.

I agree, there weren't better deals than AA. As they couldn't discuss, them let alone take them, while in the EA. That's the point to me. They now can discuss them, while deep drilling for massive sulphide deposits.

However there have been approaches from other majors. You get get a major spending 12 months returning to an asset they previously owned for no reason. Or other interest from majors. It's not usual and it's because of the ground we have.

I'd really rather nothing commercially happen until we get drill results as if we do hit ore that's the game changer. I'd rather they try for a home run than settle at first.

I'm sorry you're at a loss. I agree that some posters here who are also bullish can be rude and it's unnecessary. That said, you are simply doing the same. You've been abusive towards me today and I don't put myself in a rude ramper category. I'm simply confident in my investment here, and with realism.

If you genuinely believe this is dropping further I'd suggest taking the loss. Seriously, you must trust your own judgement.
I'm personally more confident now that 'IF' a deal is done it will be better than anything AA have tabled to date. Not saying a deal is guaranteed, but the stage is set for a better deal to happen after the funded deep drill results, and with competitive tension. A much more preferable backdrop for ARCM to negotiate from than within an EA.
I'm also pleased NvS is doing what he said he would, he isn't giving it away and clearly has faith in both the assets and his ability to get a strong deal.

Some will call my views blind faith, or spinning a negative RNS. Actually it's just me being honest and aligns with all my previous posts including last night.

I've lost a lot of paper profit this morning, I am probably down 6 figures from the recent highs of in the 8ps. But after research Im really confident here still. I don't mind being called names and being considered wrong, as I've followed my own views.

I've learnt to trust myself, research and not place transactions based on emotions.

To caveat not saying ARCM end with a deal like this. I'm no fantasist. However my reference is on the benefits of competitive bidding.

ARC ending the EA with AA, the current drill campaign with clearer targets, the backdrop of strong (and rising) copper prices, demand growth and shortfalls of supply, guidance from Rothschild and clear competitive tension is why I have faith in a strong deal being the eventual outcome.

Anyway. To reiterate this is simply a reference to how a deal can mature ann NOT what we can expect to make from ours. It's about the process of getting a great deal and I see similarities here.

No one made you invest, or is making you hold. Simply sell if you don't like. If you hold having a negative outlook I question your sanity or motives.

Personally, as I've said before today, this path we are on now can lead to greater outcomes for us but thats my opinion. It's also why I'm defo going to hold.
I can see how this Is likely to end up from here with the competition opened up...if AA weren't into it they would have walked on the counter offer or before.

Let's wait and see. I'm certain as I can be a deal will be done and. Likely this year, hopefully after a strong drill campaign and with competitive interest! It's heading exactly where we need it to for the bigger cash IMO.

As I say you may disagree but simply sell or don't buy, it's very binary. I'm confident.

In my view AA are stil very interested, as they haven't walked away. NvS has said what ARCM want in a deal; AA need a bit of pressure to execute on it. That's my view. However if like it to take a little while until after drills and further discussions with othr majors. This will add to our negotiating position.

This reference is in relation to how their deal ended playing out. NvS has mentioned it before and it's something F29, I and others have mentioned. It's defo playing out a lot like it ATM.

Arc Minerals announces that the Exclusivity Agreement with Anglo American, signed on 13 July 2020, lapses from today. Discussions with Anglo American have been positive and continue. Against a backdrop of very strong copper fundamentals, the Company has been approached by a number of interested groups to commence discussions regarding a potential commercial transaction.



Nick von Schirnding stated: "As we have always said, any transaction has to sufficiently compensate Arc shareholders for allowing a major to take over an asset which we believe has significant potential to become a major tier-one copper discovery. We will continue our discussions with Anglo American which have been going well but will also commence discussions with other major mining companies that have approached us. In the meantime, we continue with our very exciting drill programme and development of the Cheyeza East plant, against the backdrop of a very strong copper market."

This is as expected and glad they didn't extend the EA.... Voisey Bay!

Yes it is interesting. Clearly they had been in dialogue with AA for some time prior to the EA being agreed after sorting out 'legacy issues'.
Also saying about not taking any deal but instead having the shareholders at the forefront of their thinking of any deal, and that they could have easily took a deal in the year prior to the EA with AA but clearly not wanting to give it away.

It all bodes well to establish a shareholder expectation that if a deal is done then it would have to be an attractive one for us / ARCM. Equally if they turn away from a deal we can understand it would be as they think they can get a better deal either further down the line or with another entity.

Anyway, in terms of the end of EA date may be worth looking at the last call.

Ella was there a reason you listened to the July 2020 call?
Rather than the more recent Feb or April 2021 calls?
A date was definitely mentioned in one of them.
I remember being surprised in one call that they didn't know the exact date when asked as part of the q&a but they said a date in the next so perhaps the most recent.
That said, we know it's imminent and personally that'll do for me.
I do believe a deal is likely still but I am open to the fact it's possible at this stage it may not be by the end of this EA. So either a small extension or, as I've said before, ideally we don't offer an extension so it can get competitive.
That said we could as easily get an RNS before the EA so all things considered it's just total guess work really. The most important thing IMO is an open mind and not convincing ourselves or a set expected outcome.
