I wonder whether the second cash inection from Redmile was to secure the IP should Scancell fail to develop or take forward the extisting platforms successfully (as well as giving Scancell suffiecient capital for the immediate needs.
If Vulpes due diligence was exhaustive and if Redmile arrived at a similar conclusion their ability to trigger a rule 9 for the forseeable future would keep them in control of what after say two years without significant deals might look like a rather dismal history for Scancell. By maintaining that control Redmile can protect their investment whilst allowing them influence to "resell" in the US by the possibility of facilitating a Nasdaq listing (unlikely in the "fail" scenario), or even by the option of going private in the US with the (unrealised commercially) IP still intact.
If the Scancell BOD fail to capitalise, a relatively low offer for the remainder of the Company's shares that Redmile don't already old should gain them control of the company relatively inexpensively, as we all know how fickle shareholders can be when faced with a company that doesn't perform and there is a willing buyer for their shares.
It seems to me that Scancell (should they start the deal making sooner rather than later) will provide Redmile with a good return on their capital, and should Scancell fail to do the business Redmile can try again with an asset sale or sales.
