Stop farting about and put your final cards on the table ,so we can all move on ! Please !
Sounds good ,but it does'nt always work,as I have discovered to my cost !
"If the bid isn't accepted, the price will probably go down " Maybe, but once it becomes clear that Fiserv are desperate to acquire us ,the table may turn ! Otherwise, a breakup of the company is on the cards ! That ,all of course, assumes that no one else is looking on !
Bidco reserves the right to increase the offer,if a third party bids ! http://www.lse.co.uk/share-regulatory-news.asp?shareprice=MONI&ArticleCode=lk707t7u&ArticleHeadline=Fiserv_Increased_and_Final_Offer_for_Monitise Otherwise ,they will not increase their final offer ! Eh ! So if someone else bids, they might pay, say ten pence; but if shareholders reject their present offer they will walk away ! That does not seem logical to me !
Claim 2 http://patft.uspto.gov/netacgi/nph-Parser?Sect1=PTO2&Sect2=HITOFF&p=1&u=%2Fnetahtml%2FPTO%2Fsearch-bool.html&r=3&f=G&l=50&co1=AND&d=PTXT&s1=Monitise&OS=Monitise&RS=Monitise Looks like Monitise then £££££££££ No wonder Fiserv want to buy us !
Let's guess ! Who owns the patent ? https://www.fiserv.com/expectations-experiences-research.aspx Is it Fiserv or Monitise ?
Any employees fancy a move to Wisconsin ! Looks like you may have to ! https://www.biztimes.com/2017/industries/banking-finance/fiserv-could-get-10-million-from-state-to-keep-hq-in-wisconsin/
For those shareholder/ employees of Monitise the omens do not look that bright , if Fiserv succeed . https://www.glassdoor.co.uk/Reviews/Fiserv-Reviews-E1384.htm
If this dismal takeover attempt succeeds ,I think it might be instructive to continue this board for those who decide to either go long or short on Fiserv ! Any views ?
After all this North Korea stuff ,are we sure Fiserv have the readies available ? Plenty of guys I know have had the readies pulled at the last moment by the banks !
Not really Fanti ! I 'll take a hit on this one unless a stalking horse arrives !
This is now the only hope for we rejected shareholders ! Whom could that be ? Well we have to rule out Santander and Visa Inc. as they have both signed up to the Vichy agreement ! Maybe IBM ? Crazy, if they don't IMHO ! Loads of other big guns as well ; but where are they ?
Moniman - I believe a lot of shareholders would go along with giving Fiserv one half of the total shareholding, for a £75 million injection of capital . The sp would probably take off ,so that in terms of asset value Fiserv would be no worse off. Probably better off ,from a balance sheet point of view ! Everyone would be happy ! Still an outside chance of another horse ,I suppose !
I was fortunate enough ,a few years ago to pick up an original copy of Winston Churchill's Secret Session Speeches . I purchased it from a dealer in the United States of America for a reasonably modest price ! I don't think folks there realised who the original owner, who signed the book was - Quentin Hogg ! Anyhow, the book starts with a statement to the House of Commons on September 17, 1940 " while German bombers raided London unceasingly throughout the night, the House of Commons went into Secret Session.......Mr Churchill warned the House of the ever growing dangers of an invasion attempt. He revealed that upwards of 1700 self propelled barges and more than 200 sea going ships were gathered at ports . Nevertheless despite all these threats and perils he ended by assuring the House that he was " as sure as the sun will rise tomorrow " that Britain would be victorious " So, whilst the secret sessions go on , I am beginning to be quietly confident that Monitse may end up victorious !
Basil- put some wacky backy in the pipe ! That might sort it !
I am still giving management the benefit of the doubt ! Time will tell ! Nevertheless, it is clear that the accounts DO NOT reflect the value of FINKit ! As I have said before, this is in house developed technology, which the accountants ,for reasons best known to themselves , do not reflect in company accounts ! This appears to be standard accountancy practice in Great Britain ; which frankly leaves us wide open to attack from foreign invaders !
A false market must not be created ! http://www.slaughterandmay.com/media/39320/a-guide-to-takeovers-in-the-united-kingdom.pdf
Moni - where there is life, there is still hope !
A bang up to date summary by Slaughters - http://www.slaughterandmay.com/media/39320/a-guide-to-takeovers-in-the-united-kingdom.pdf
Under the Companies Act 2006 directors have certain duties and if they fail to comply ,then various consequences follow ! One of the most draconian is under this statute - http://www.legislation.gov.uk/ukpga/2006/35/section/4 So, I think that the directors have a lot to lose ,if dishonesty were a factor in this takeover .
