They haven't even sent the voting form out yet.
People need to hold steady and vote against the offer - only that way will a higher offer be made or they walk away from such a low ball offer altogether.
The counting votes are those actually present at the meeting + the proxy votes. Ie in exageration if 1 person at the meeting votes yes and nobody else votes it would pass.
Pretty feeble the mgt haven't stood up for it's owners, the shareholders, particularly below nav - Whse reit have at least secured a higher offer by rejecting the first low ball.
An example of strong mgt is mpe - who rejected an offer of £8 when the price was £6. Convinced shareholders with strong logic to reject it - thay voted to do so and 2 years later todays results were eps of 129p and a price over £10 (which is still to cheap!). We have to get some spine and stand up to outside parties hollowing us out on cheap valuations with more than just a shrug...!!
