Result of General Meeting
Scientific Digital Imaging plc (AIM: SDI), the AIM quoted group focused on the design and manufacture of scientific and technology products for use in life sciences, healthcare, astronomy, and art conservation, announced on 28 October 2015 that it had conditionally raised £2.5 million (before expenses) through a placing of 31,250,000 new ordinary shares of 1 penny each ("Ordinary Shares") and announced on 29 October 2015 that Mike Creedon had subscribed for 62,500 ordinary shares (the "Subscription"), together with the Placing (the "Equity Fundraising"). The issue of these new Ordinary Shares was conditional, inter alia, on shareholder approval at a General Meeting. The Company is pleased to announce that at the General Meeting of its shareholders held today all resolutions were passed.
Application has been made to the London Stock Exchange for the 31,312,500 new Ordinary Shares to be admitted to trading on AIM and it is expected that Admission will be effective and dealings will commence in respect of the new Ordinary Shares, at 8.00 a.m. on 16 November 2015.
The number of ordinary shares in the Company in issue following the Equity Fundraising will be 64,224,808. There are no ordinary shares held in treasury. The above figure may be used by shareholders as the denominator for the calculations by which they will determine whether they are required to notify their interest in, or a change to their interest in the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
