Share Buyback Programme

The Company announces that it intends to commence a new share buyback programme with Jefferies International Limited from today's date for the period up to and including the day prior to the date on which it enters into a close period with respect to its preliminary results for the financial year ended to 28 April 2024 (the "Programme").

The aggregate purchase price of all shares acquired under the Programme will be no greater than £80,000,000. The maximum number of shares that may be purchased under the Programme will be 10,000,000 ordinary shares.

The purpose of the Programme is to reduce the share capital of the Company. The shares repurchased by the Company will be held in treasury pending cancellation or re-issue.

The Programme will be conducted within certain pre-set parameters, and in accordance with the general authority to repurchase shares granted by the Company's shareholders at the 2023 annual general meeting and Chapter 12 of the Listing Rules. Any buyback pursuant to the general authority on any trading day may represent a significant proportion of the daily trading volume in the ordinary shares on the London Stock Exchange and may exceed 25 per cent. of the average daily trading volume, being the limit laid down in Article 5(1) of Regulation (EU) No 596/2014 (as incorporated into UK domestic law by the European Union (Withdrawal) Act 2018) and the Commission Delegated Regulation (EU) 2016/1052 (as incorporated into UK domestic law by the European Union (Withdrawal) Act 2018) dealing with buyback programmes and, accordingly, the Company will not benefit from the exemption contained in that Article.
