A corporate action is taking place in relation to ACCUSTEM SCIENCES (stock code BNT2JT9), which you currently hold in your portfolio (a/c 4717334). Please read this notice in full and make your election by 23rd November 2021.
What is happening?
Conversion & Sale Facility - Facility to convert to ADRs Conversion Fee - USD0.05 per new ADR
Payment Date - Upon receipt
We are offering an opportunity for holders of Accustem Sciences ordinary shares to convert their shares into Accustem Sciences American Depository Receipts (ADRs) and then have them mandatorily sold. Accustem Sciences ordinary shares are not currently trading on any recognised exchange, whereas Accustem Sciences ADRs are tradable on NASDAQ Over the Counter (OTC) in the United States and as such can currently be sold via our platform. Neither the ordinary shares or the ADRs are currently eligible to be held in an ISA or SIPP account, so this opportunity will provide holders who don't want or are unable to transfer the shares into a Trading account, to sell the shares and keep the cash proceeds. Each ADR represents 2 Accustem Sciences ordinary shares. Your options are;
OPTION 1 - Do Nothing (Default). You will keep your Accustem ordinary shares on your account for the time being but will continue to be unable to trade them unless the company obtain an additional listing on a market that is facilitated on our platform. This may mean we have to take additional action in future due to the shares currently being ineligible to be held in ISA and SIPP accounts.
OPTION 2 - Convert to ADRs and sell. Your holding will be converted to ADRs on the basis of 1 Accustem Sciences ADR in exchange for every 2 ordinary Accustem Sciences currently held. Your account will be charged a conversion fee of USD0.05 for every new ADR issued to you on completion of the conversion process, which is payable by us to the ADR Depositary, JP Morgan. You will also be charged Stamp Duty Reserve Tax on the transaction at a rate of 1.5%. These charges will be debited from your account at the point when we receive the new ADRs. We will then sell the ADRs on your behalf at the market price at that point in time and credit your account with the cash proceeds.
