As most of you will already know, Freddie started a Shareholders Group and recently attended the Valirx General Meeting which had been called, by the BoD to ask for resolutions to be passed in order for a consolidation to take place.
Even though, the CEO and COO did not attend and one gave her reasons later in the day. The other we still do not know why he failed to arrive.
Still, the meeting went ahead with other Valirx directors, and Freddie and others there put their concerns, to the directors that did attend and asked for answers and a response as to what would be done to try and solve the NO vote decision.
As I was not there, please feel free to correct me, if I make any errors of significance, thank you.
Since that meeting Freddie, I and some other long term holders, decided to write a formal letter, offering more suggestions and requests, for the (Bod) to consider, regarding the Companies well being and structure and respond accordingly.
Within a given time frame... to which we have been waiting patiently.
This morning the CEO sent a reply to one of us (who I will state has now withdrawn from the group) and cc'd the rest of us in.
Saying that they had received the Shareholder Letter and acknowledged they were looking into it and would discuss these issues, with a view to getting back to us.
Although she did not state whether on not it would be within our requested time frame, but, did ask us, if we had any further questions or queries?
Subject to the response to be received, agreeing to some or all of the suggestions, or indeed offering alternatives? To a reform the Company structure. We would then look at a further set of similar resolutions, but, including our request for the changes submitted, which includes the COO and leaving the Company and the CEO steeping down to a new role as yet to be decided.
Otherwise we would then submit a formal letter, to requisition a general meeting, which will contain the resolutions to remove both CEO and COO completely.
The time frame for a reply to this letter, ends tomorrow at noon and we would then submit a formal requisition. As we have more than the necessary shares, to achieve this GM.
I just hope that some from within the Company our taking our requests seriously and am hopeful that they are as I type, are putting together a much needed revitalisation package to restructure the Company, to show us, the Shareholders, that they do care and like us, want to make 401, 301, 201 and even 101, commercial compounds for the benefit of all!
I would like to encourage debate on this post from all sides.
Finally, I must clarify, that it was a joint decision of several shareholders to do, this, but not everyone, as we felt, as the key personnel with the BoD missed the GM vote and were still silent, we needed to do something! As the clock is ticking against both shareholders and the BoD...
