Hi. Is there someone who understands the last RMS better than me (shouldn't be difficult, I'm no expert). This stuff is really confusing but interesting to try to follow. On the surface:

1. LT shareholders hold valereum PLC shares- has that holding just been diluted with the issue of 170m shares to a new entity Valereum Inc?

2. DMC Inc are only acquiring 20m of those shares.... who owns the rest of Valereum Inc?

3. It seems like the 4 strategic entities to be purchased will be owned via Valereum Inc (not PLC) so the current LT valereum PLC shareholders won't benefit from them at all, even it they are genuine businesses with actual revenue acquired.

Is it just me that this RMS reads this as NOT good thing for current shareholders? Seems like yet more overly complex company structure changes and I wonder what the motivation for that is? Who benefits for setting up this new 'shell' company rather than having investment direction into Valereum PLC?

If anyone does really understand what and why this has been done in this way, and can explain the implications for existing shareholders, it would be really interesting to read.

A new RNS and a new Valereum financial entity established! A google search for DMC markets Inc only brings up the Valereum announcements and a very spares linkedin page for them. That page has a website link that just diverts back to linkedin. Doesn’t fill one with confidence? Who has controlling interest of DMC and are there any links to Valereum? How would someone find out given little transparency or information about them?

But their company name has 'Inc' in it so it must be impressive and is a reason to get all excited about America!!! So as ever, the clueless LT shareholders are skipping for joy at this RNS! Still doesn't seem to be an underlying viable business with any revenue.

Based on latest RNS, look forward to the next one which will be HUGE:

Valereum today announce that Nick pours a nice cup of tea, and reports plans for a biscuit are progressing well for q2.

It would be funny if they were not taking so many people for a ride.

&DDDlondon is valereum part of a diversified portfolio for you? It seems to attract people less experienced in investing, so if that is you, just be aware it is super high risk and has a pretty dodgy history (which continues) so be very careful and invest only what you can afford to lose. And be sceptical of what anyone says (including me) but particularly within the closed telegram group which kicks people out if they ask anything that goes against the ramping. Good luck, hope you don’t lose too much if you are hoping this is a long term investment. If trading on moves/ hype, likely more scope to make money (still high risk). Doesn’t seem like there is a genuine business (certainly no revenue) more share issues and complex set of companies investing in each other, etc. People are making money, but mainly at expense of novice investors. Be warned.

Sanboy, when you say you can't complain at the new board and how they have performed, what is it exactly that they have done that creates value and impresses you? A few RNS's - new board announced (all good friends which warms my heart), share trading again now that the GSX deal is dead. Anything that moves this away from being a non-trading shell company? Anything that provides any clarity on a viable route to any revenue?

Let's asume they are actively mining now. Are they making money doing so? It's not a given it's profitable. Mining is not a license to print money, as its really resource intensive by designed.

21% share in another David Lenigas shell company with zero revenue. Wow, very exciting for Valerium shareholders. This is all inter-connected company nonsense that makes it possible to create excitement and ramp the ill informed. But there is no actual business or revenue happening in any of them.

Up based only on ramping telegram group saying how wonderful the BOD is and Patrick hero worship, as ever.

Still no actual business, strategy or anything that can drive long term value. Share price will creep up while they can maintain the ramp-energy. But it will colapse at some point. no doubt some money to be made still for traders and those off loading shares while convincing other to 'average down'.

Wow, that was quick... I posted and the 'deletions' thread was... deleted... withing about 5mins. Similar info, re-worded:

1. General sentiment in the TG group seems to be that this was a bit dodgy, but that it was ALL Richards fault.

2. They seem to have accepted Jamie as being perfect to turn this around (despite having no info on his track record).

3. They have welcomed back Patrick, now blameless for his role in past activities (even if £280k+ richer for it based on published accounts).

A few questions:

1. It was quick and easy for Peter to lead a 'revolt' and get Richard replaced with Peters 'very good friend' (Peters words, not mine) Jamie. Where was the shareholder vote? Nice to end up on the board alongside your mate Peter.

2. Jamie is a 'significant shareholder' who has been 'working in the background since January' (Jamie's words, not mine) - What was his connection to the company and Richard during this time, or was it only via his good friend Peter?

3. Is it helpful to the BOD to have Richard be a public scapegoat?

4. Is it ok for Patrick to distance himself so completely from all that was wrong and throw Richard under the bus? Patrick was paid at least £280,000 under the 'old regime' (Dec 2021 published accounts).

5. Jamie is no longer working in the background (which shareholders didn't seem aware was the case at the time). Does anything stop Richard from now 'working in the background'?

Valerium may be over in its current form. But don't think their ability to extract money from people is finished. The Telegram rampers already seem to be lining things up for that next phase. Laying ALL the blame on RP, saying how they were mis-led too and positioning PLY as being let down (despite the fact that he has done rather well out of it financially). New Telegram group set up. At some point there will no doubt be a 'recovery plan' and an 'opportunity' to recover the dream with Patrick at the helm. Patrick should be blamed just as much as RP, as should the rampers accounts. If you are invested, be even more vigilant now. Don't put a penny more into anything connected with this company or ANY of the people involved, especially PLY.

Hi Edward. Did you read my earlier reply? Have you googled those involved as I suggested yet? Or looked up the term pump and dump? Did you really invest based on some bloke on twitter and what he said? Who was it, wondering if one of the core cheerleaders within the telegram group? You really need to understand what you are investing in and why, if you want to manage risk. Without that, losing a lot of money is more likely than making a shed load. You know what they say, if it sounds too good to be true, it probably is. Sorry to hear about your situation. Do post here what you think once you’ve googled on the directors.

(Reposting earlier reply) It’s a strong possibility you will lose all. It may get unsuspended. But even if it does, long term the outlook it not good as there is no viable business that justifies a higher sp. Search on google for history of those involved and I’m afraid you won’t bring yourself much comfort. My main advise... If you are in the telegram group, leave it. If you stay, believe nothing and ask their motivation for ramping. You should do the same of what I write as people do write stuff on boards to try to steer sentiment for trades (not possible currently of course). See my past posts… I started tracking this as a friend got caught up in it similar to what you describe. I wanted to try to warn others. There is zero chance this will make you rich. If you let go of that possibility, you may just about get away without losing it all. Good luck

Deleted as so many others today and over the months. Can you think of a valid reason to do that if all was above board? It tells you much of what you need to know. I will repost my earlier reply to you. No doubt it will get deleted again!

Does anyone have a simple summary of how PCGE part 1 ended? Are there similarities that could guide how this may play out? If deal completes (seems unlikely) I’m sure another short term pump will follow. But even that can’t last, as that just means they own a tiny, listing-only exchange as a going concern. Nothing exciting or transformational there. But if it doesn’t complete, is there really any space to keep this going now? I’ll be intrigued to see how they try, and suspect some will keep believing regardless. If I were 80-90% down like many, I think I’d be in the ‘might as well lose it all, with hope something may come good camp’ at this stage’ even knowing it realistically won’t.

It is. I’ve explained why that is. A friend has been caught up in this and I’ve been watching with horror. I’ve tried to highlight some issues and why I believe this is basically a scam. I don’t imagine it’s helped any in terms of avoiding others getting caught out, but that’s been my motivation for the occasional post. No doubt I’ll get insults for that and be told I’m sad or should get a life. Who cares, free world and I’m commenting politely in an open forum and not trying to suppress others views as in the controlled telegram group or getting stuff deleted here.

They are (if in low quantity and very low trade volume). Still trying to average down per the telegram group ‘guidance’ and continuing to believe the nonsense posted there. It’s really impossible to read any good news into those account. Unless you are one of those that have been able to extract money from the shell.

Imagine that. Another post with an insult… setting things up to get the thread deleted again, thus removing the summary info from the published account, which make for terrible reading and make clear who benefits from this shell company.

585k this year, a total of over 1m in two years for RP and PLY. What’s the 600k ‘share based payment’? Also >100k expenses…. It is so very clear what is going on with this company and who wins/gains at the expense of novice investors targeted by the telegram group. Shameful.

LOL. I have a house with a garage worth £500k. I’ve set my garage up as a new entity which I’ve valued at £300k. I’ve sold 60% of that back to my house. So it’s great that my house is now worth an extra £180k. Who wants to invest in my garage by the way? I think on its own it’s worth £900k with some paint that I will buy from my house. What nonsense. This is the VLM mess with Vinanz, with the difference being unlike with those companies, my example starts with an asset with some actual value.

Incredible. David L having been silent for months, posts several notes to the telegram group stating ‘we are undervalued’ others say the ‘main man has spoken’. Someone asks if he still owns 7m shares. Pete jumps in to defend why he doesn’t need to answer… and of course he doesn’t. So the man who apparently sets up the rampy group, and has the most to gain (with shares he probably paid well under a penny for), successfully calms nerves and seem to have triggered new round of small buys? People already down massively plough in more and while the directors continue to deliver nothing while taking huge fees? Wow.
