Also, he does to me seem to be a good deal maker so it’s good he is still a consultant (and unless he’s been given special dispensation to sell during the lock-in period he is also still a significant shareholder).

As a follow up question what is the current status of the two acquisitions. When announced in early December there were ‘binding agreements’ in place but they haven’t gone through yet (share numbers seem to confirm that (I think)). Are they just going through normal dd still or are there other terms in those agreements, such as the granting of licenses, which would trigger completion ?

The loan which was to finance the acquisitions was cancelled so they’ll need some way to pay even if the initial cash requirement was a relatively modest $775,000.

Anyone care to guess how many shares we have at present?

I have no idea but my very poor guess is 1,704,853,489.

LinkedIn says Shiela Boit is a ‘business development executive’ at Caracal having joined a couple of months ago.

‘GEMS’ doesn’t appear to have been wildly successful since launch in 2013 with only 4 or 5 listings (although I can’t find much info).

On that basis it seems a bit of an odd choice but I suppose reduced listing requirements will be tempting.

I suppose the risk with a political type appointment is that, in an election year, he could find himself potentially out of favour with the government of the day and so see the strength of connections fade.

I have no idea how likely that is in this case and his Tanzanian connections should help mitigate any such losses anyway.

I think this would be another point for special dual listing rules to deal with rather than the standard listing rules.

When the requirement is 'issuer to be limited by shares and registered under the companies act' that must refer to the Kenyan companies act and so I am not clear how Caracal Gold PLC meets that requirement. They must have some special rules for duel listings.

‘Gold and related minerals mining company’ - are we branching out ? I assume not and it is just poorly worded but can’t be sure.

I think the key issue might well be that they have no idea !

Hi Costamooney - I think you are correct. Some shares which at relisting were owned or controlled by Jason are not locked in. As I read the prospectus some were locked in and some were not.

I had questions on the Consideration Shares previously.

Of the total there are:-

- 325,000,000 to Mayflower and its Nominees
- 104,000,000 (ish) to Goldplat

The Goldplat shares are locked in and so are 53,000,000 or 55,000,000 of the Mayflower shares (depending which page you believe). So from this category there are potentially 270,000,000 ish floating around as I see it.
