[btw, registering a company in st vicent needn’t be about evading “the rule of law”, since st vincent does of course have laws of its own. but the point is, the legal framework for private companies there, including for instance financial transparency and opportunities for redress, are very different from the UK’s legal framework.]

they bought shares in cloudtag, a company, which is not registered in the UK (and so far as one can tell, which has zero operations of any kind in the UK).

(me, no idea which bank accounts were and weren’t used, since there’s never been any public domain info on that, and presumably you would only know for sure which particular bank accounts you used for your own bargain purchase.)

If a UK investor chooses to buy shares in a non-UK, private unlisted company, they simply don’t get the same protections and opportunities for redress that a UK investor would get from buying shares that are registered in the UK, and/or that trade on a public listed exchange.

suppose a UK investor gets emails or phone calls from the CEO of a company registered in nigeria, offering them shares in a marvellous nigerian company that is supposedly developing some software as a service which the CEO says he is planning to sell to a large north american company….

the UK investor looks at the website for this nigerian registered company, and likes what he sees…

he sends some money to a dutch bank account of the CEO to buy some shares. …

but the software sale never happens, and the UK punter’s shares can’t be traded on any exchange.

I think bingowings is being remarkably naive in thinking st vincent authorities would have the slightest interest in taking cloudtag to task. (imo, that’s precisely why many companies like this one register in st vincent, i.e. to ensure minimal regulation, scrutiny and accountability.)

UK regulators could potentially have a role if you could persuade them to look back at possible historic misdemeanours *while cloudtag was still listed and trading in the UK* (… e.g. the deeply dodgy abortive novum placing fiasco?), but UK regulator has no ongoing role whatsoever over the non-UK version of cloudtag.

bear in mind, all the Daap and licensing baloney / promises, and associated extra share sales apparently on the back of such promises, have all come after the UK incarnation folded.

if you ever managed to get amit into a court, then sure, you could try to convince a jury that amit had deliberately tried to mislead you by dropping all sorts of hints that were designed to try to make you believe that a certain company was the buyer. … maybe you’d be able to convince the jury, & maybe you wouldn’t?

although you’d also need to show why it mattered anyway, i.e. prove that any such alleged mispresentation had actually caused you some material loss …

It was additionally weird the way that amit named ‘tyco international’ at all, since that company hasn’t existed anyway since 2016, when there was a merger and it was renamed as JCI plc anyway. (? why did amit even reference an old company name that’s been defunct for 8 1/2 years?)

i doubt that Johnson Controls International plc have the faintest idea that they have beed referenced recently in amit’s dodgy website. hopefully, some cloudtag shareholders (and mr cotter?) will be drawing it to their attention that amit is using their name in public as part of his ongoing games.

No, amit has not named “two very large companies”, only one.

he has given the name of the supposed licensee, which he stated in the 25/4 update was “Tyco International, which now trades as Johnson Controls International PLC”.

but he has *not* named the supposed ‘Daap buyer’.

various folks here seem to assuming that they can guess which company he is referring to, but that was the same game played when he gave out some details which falsely made it appear that hugh risebrow was joining cloudtag (- until hugh himself stated that was completely untrue).

bear in mind also that amit has previously given the name & location a specific large bank where he claimed escrow money was sitting, only for that to then be erased without acknowledgement from the cloudtag website and never referred to again.
