It’s not about need from my perspective, notspart, just that it’s interesting and sometimes educational. and surely most would admit, this is a particularly interesting time to watch, given the last few updates from amit.

i’m here to watch the share / BoD / business, rather than get into the kind of petty spats and insults some folk prefer. if peeps don’t like reading sceptical / critical commentary on amit / cloudtag etc, then (a) they don’t need to be a share chat board in the first place, do they? - they could just join a fan club somewhere, set up a holders only group on facebook, etc, (b) no-one needs to read posts from me / HITS/Antha etc if they don’t want to, (c) if some poor unfortunate has such weak attentional control / lack of willpower that they feel unable not to read posts from people they’d prefer not to read, fortunately LSE has free and easy to use filter function.

(baffled why you bother asking that question, notspart. it’s just pure repetition of stuff asked and answered many times before, so why keep asking the same old thing?)

Just to rephrase slightly, i doubt that the intention is to dump those rubbishy licences per se, more to use puff and guff about the ‘potential’ of those licences to pump and dump the shares.

that seemed to be the modus operandi used for the garbage assets which randy connolly used with northcote /mayan … e.g all that shoats creek malarkey.

From my own reading of it, ADME appear to be tacitly admitting that the nigerian ‘assets’ are next to worthless, and are now trying to turn the company into a scheme for pumping and dumping some pretty useless US o&e licences that randy connolly [- yup, the ex-director of the astoundingly awful, value destroying NCT/MYN!!] has been unable to offload before now. jmo.

the combination of randy connolly’s involvement, stefan re-joining the BoD, umpteen convertible loan notes and umpteen new BoD share options (- without meaningful, performance-related vesting criteria so far as i can see - ) does not seem to have set the market alight with enthusiasm.

My own guess is that amit will triumphantly announce that the deals have completed and it’s all been a resounding success, with large sums of money supposedly transferred into escrow accounts, with the next step being that the ‘appointed agents’ will be in touch in due course [… or in EUA-speak, “shortly…”] to arrange payment.

If if he was on the ball, amit could then follow that up with an invitation to a select few to put more money into his remaining /next vehicle, with the hope of making money on his next ‘deals’.

but i suspect it might then take rather a while, [cough], for those so-called appointed agents to pay up, with cloudtag professing ignorance and a lack of responsibility for any delays. funny that. ajmho.

we’ll get another clue soon enough anyway. gl honest & polite folks.

Conrad, one of the trickiest things about cloudtag in its current form is the utter lack of transparency. if one believes cloudtag’s own website - and i do take HITS’ point that’s rather debatable - re shares in issue, then it states that amit’s own personal shareholding increased from 163,000,000 in oct ‘19 to c. 229,000,000 in sept ‘20.

[the website does not say anything about his personal holding, since then, over the last 2.5 years+. amit might have bought more, awarded himself more for free, or sold some or all of his holding.]

… however, the company has *not* said how amit acquired those extra shares. sure, it’s conceivable that amit bought them from the company, but imv much more likely that he just awarded himself extra shares for free/ as ‘compensation’ for all his hard work. the crucial point is that the company provides zero information about this.

AWBA falsely claimed at 12:12 that cloudtag cannot issue many more shares, because “Total headroom is 1 billion shares so no headroom to sell any shares for many years.” but that is untrue. i asked AWBA why he makes that claim, and he responded at 14:42 “You haven’t OBVIOUSLY read the admission document that every listed company has which clearly states amount of shares in issue.” but cloudtag is *NOT* a listed company, so there is no relevant admission document limiting the total number of shares that can be issued. AWBA is either too daft to understand that, or else wants to mislead others into thinking cloudtag can’t be selling more shares.

cloudtag is a private unlisted company with amit as sole director, so he can issue as many shares as he likes (to himself, or to others, for free, or for payment.)

if cloudtag wanted to purchase them (lol!). and cloudtag could still

sell shares. but what they won’t do is authorise third parties buying and

selling shares between themselves, without going through the company.

AWBA, as you must know, cloudtag is *NOT* a listed company

…. so what is the ‘admission document’ are you talking about?

than 200,000,000 shares to people other than amit since 2019, but

without taking any payment for them. ? what is your source for that

claim? - are you just making it up out of thin air, or did amit tell you

that over a phone call, or what?— nothing like that is stated on cloudtag’s

website, nor on any other public domain source so far as i can see.

AWBA, you are continuing to tell lies about the numbers of shares being

issued by cloudtag. i have pointed out to you before, e.g. 12th may,

that according to cloudtag’s own website, ** 273,000,000 new shares**

were issued between 9/19 - 11/22. and although it’s unclear what amit’s

own personal holding is currently, it is very explicit from cloudtag’s own

website that those new shares were **not** just shares ‘awarded’ to amit.

also, please explain why you are claiming that the ‘total

headroom’ is 1 billion shares; what is your source for that?

for an announcement “by the acquirer”.

cloudtag website just refers to “the announcement”,

but it does not say who is meant to be issuing that.

i have never at any stage used the word “fraud” about cloudtag. that

is because my recurrent theme is the utter lack of transparency about

cloudtag, which means there’s almost no independently verifiable

information from which to make any reasoned judgement on what

the heck cloudtag is up to, and what it is really worth. it is *possible*

it’s a marvellous company worth loads, and *possible* it’s worth v little.

(… when considering which is more likely, i look at amit’s track record.)

i think amit is actually very careful with his public statements, making it

hard to pin down what he is saying about deals & what will happen next.

so for example, he’s not explained how the ‘value’ of his purported deals

are calculated, what exactly it is that’s been sold, who the deals are with,

how much per share will be paid out, & by what specific date & by whom.

etc. obviously, one way *not* to commit fraud is to avoid making very

specific & falsifiable statements; if promises are kept very vague, then it’s

mainly a matter of caveat emptor, isn’t it? - i doubt amit fears litigation.

i do not know if amit has continued to sell shares in cloudtag, tho’ i

strongly suspect that he has. but in terms of whether there has been

anything fraudulent about that, such would depend on what kind of

promises /representations were made by amit when selling shares to

others. i’ve tried asking folk on this board what he promised in his sales

pitch, but no-one’s ever answered, so i don’t know what was promised.

i simply don’t understand your reference to “desperation”. amit fans on

this board often seem to like the story that there are peeps who are short,

desperately trying to stop cloudtag from prospering. but if amit is to be

believed, cloudtag has *already* completed extremely valuable deals & the

proceeds will be paid out … if that’s true, why would anyone who was short

bother to try to question cloudtag, as surely it would make zero difference?

carefully. i did not say that i had a “long career” in

investment banking, nor that i am retired. (just that i

used to work for an investment bank, a long time ago.)
