RE: 2 DaaPs 2 brothers! Ben-Haim strikes again!19 Jun 2023 12:48
The company does not *need* to make any such declaration, nor does amit.
either of them can *choose* to give information about share holdings, transactions etc, if they want, but they don’t have to. and they can choose to give very partial information only, e.g. to say how many shares amit had at a particular date months or years ago, but not whether he paid anything for them, or whether he has subsequently sold them or bought more, etc.
i hope that helps you understand a bit better?
i did *not* say that amit hasn’t issued shares to himself. rather, i pointed out that the number of new shares which the company says it has issued since 2018 is far in excess of the increase in amit’s shares as last reported by cloudtag. so although it does look like he’s given himself some shares, cloudtag (a) didn’t say anything at all about whether or not amit paid anything for them, (b) hasn’t given any update about any recent changes in amit’s shareholding, & (c) hasn’t provided any information about who acquired all the other new shares, & what if anything they paid for them.
you can see those figures for yourself by going to cloudtag’s own website at: https://cloudtag.com/
the update of 23/11/22 tells you that: “As of today’s date, there are 988, 223, 763 shares in issue.”
the info on ‘significant shareholders’ under the ‘securities information’ tab [- i.e. not a media update -] tells you that at 8/9/20 the company had 942,586,567 shares in issue, with amit holding 229,394,143 shares back then.
the update on 4/10/19 stated that amit held 162,894,143 shares, and also said: “The Company has 752, 282,424 shares in issue at the date of this issue.”
the update of 4/9/19 stated that shares in issue then were: 714,882,424.
so far as i can see, cloudtag have not provided any information about any changes to total shares in issue since november 2022, & they have not provided any info about amit’s shareholding since september 2020. (…if i’ve overlooked such, happy for someone to point out that data, tia.)
what you should be able to see clearly from those figures is an increase in total shares issued between 4/10/19 and 8/9/20 of 190,304,143 shares, but with amit’s shareholding only increasing by 66,500,000. …. so nearly 129 million of those new shares were sold, or given, to someone other than amit.
