Hi rktech. re amit’s awarding himself a lot of equity, worth noting the

company (i.e. amit) has not provided any update about his holding

since sept 2020, almost two and three-quarter years ago. …so amit

might have awarded himself a zillion free extra shares, or he might

have dumped his holding onto pis, there’s simply no update given.

the register was not “frozen” — the update in july 2022 said that

the company would no longer authorise *transfers between third

parties*. but that still means that cloudtag itself - i.e. amit - could

continue to issue and sell as many new shares as amit chooses,

(or if cloudtag really wanted to, it could buy them off pis directly).

as to whether cloudtag is a marvellous company, a “blatant fraud”

to use your own expression, or something in-between those two

poles, key issue is the utter lack of transparency. there is so little

independently verifiable data released that it’s just not possible

to know for sure what on earth this company actually does, imv.

so it is conceivable that amit has miraculously transformed a small

investment into more than a quarter of a billion dollars to distribute

now, but also possible there’s not much substance to this company.

? has the money raised gone to successful R&D + marketing, that’s

paid off, or has the money primarily just paid the BoD (i.e. amit)

handsomely? — there are no public accounts or financials to give

clues, nor any renumeration committee, nomad, or regulatory body.

as i pointed out on 12th may, amit has already been able to bring in circa

two million pounds between late 2019 - end 2022 by selling c. 207 million

new shares (yes, it’s delisted, but he can *still*make money by selling new

shares; but as time goes on, would need increasingly ‘exciting’ sales pitch.)

? where did that £2,000,000 go? - was it spent on wages

bills & development costs for the shiny new DaaP, or did

it all just go into amit’s pocket? — there are no published

financials for this private company, so no visibility on that.

i really don’t understand the logic of notspartacus at 15:41. — just

suppose for a moment that amit genuinely *has* developed & sold

valuable tech/IP, then how could it make any difference to anyone’s

outcome for TW, jaknife, mary poppins, blue fairy etc , to post on this

board?? - as *if*there were any significant outstanding shorts, & **if**

amit’s deals are large and genuine, then surely it would not help any big

shorter to post here since according to amit the deals are done anyway?

No great mystery to it. i have no pecuniary interest here, but story of this

stock is interesting & also educational to some degree, & this is a pretty

‘active’ phase in its life, given nature of updates amit’s been putting out.

i watch & follow several companies that can help to provide some useful

lessons about shares to avoid, & styles of traps, scams & spoofs for pis.

meanwhile, plenty of unwary folk could still lose more money to amit.

i’m more curious that some accounts (e.g. previously ‘hairygrotbox’, set up

when amit was blagging pre-IPO money, & now ‘pikeyK’ for this phase) have

been set up specifically to troll sceptical views, without offering their own

reasoned analysis &/or information on ctag, & not posting on other shares.

How curious (/convenient?) that those NDAs meant pis have been unable

to find any meaningful trace of significant commercial or technical activity

by ctag, yet inkwood could see enough to ‘mention’ cloudtag in their report.

This is just the same inkwood ‘research’ that

denzal posted up on here several weeks ago.

the free to access sections of the inkwood ‘research’ contain zero

independently verifiable info. about cloudtag or its activities.

all it says is just that the paid for version of the report ‘mentions’

cloudtag, but with no explanation about the nature of that mention

or what evidence it is supposedly based on. (me, i suspect someone

paid inkwood to mention cloudtag as part of smoke and mirrors,

to try to make it look like cloudtag is actually doing something -

i.e. it doesn’t evidence that cloudtag is doing anything meaningful

at all, only that someone would like you to think that it does! jmo.)

tell lies about the numbers of shares that have been issued by cloudtag.

(& unlike some posters on here i do mostly comment on the company,

its BoD, updates, its shares & how they’ve been issued & traded, rather

than just spam the board with playground insults. ? takes all sorts, eh?)

There’s no such book coming from me, hubba, since i have

never had any position, long or short, in ctag. i don’t know

about TW, but personally am v doubtful that there are any

significant outstanding short positions at this point. jmo.

(aiden earley from the WRN crew used to promise that he’d eventually

publish a life story book including stuff that he also seemed to frame

as his battles with trolls /shorters etc. but there’s been no signs of any

progress with that book for quite a while how, perhaps partly because

he and some of his associates have now been charged and are awaiting

criminal trial re fraud related charges that have been brought by the FCA.)

Amit being amit, if he ever does get round to ‘distributing’

anything, the ‘appointed agents’ will probably be an unholy

consortium of hermes, david greece and the tooth fairy…

strange that amit still won’t say who those agents are, or their terms.

(sounds to me like a way of distancing himself / providing deniability from

any ‘hiccups’ that might arise with people actually getting hold of money.)

interesting that there is no time scale given at all for how

long that distribution will take, or even when it will start.

that is plainly untrue AWBA, unless the company

is lying on its own website about shares in issue.

as i posted in 12th may, using figures taken from

cloudtag’s own website, the company issued

273, 000, 000 new shares between 9/19 - 12/22.

(it’s a private unlisted company, he can pretty much

do what he wants in terms of new share issuance.)

There’s been a lot of stuff relating to cloudtag over the last

few years that’s turned out to be utterly untrue. but so far

as i’m aware, no-one has ended up facing any legal actions.

as antha says, an interesting week coming up. if amit genuinely has created

and sold highly valuable tech / IP which has a place in a real world business

and that results in actual cold hard cash actually *arriving* in pis’ accounts

on a specific & imminent date, well & good, everybody happy. (but me, i

still don’t believe a word amit says, but then i am just an old sceptic, eh.)

I don’t think the issue was so much “trading it and cashing out”,

more about taking money to pump up the share on chatboards.

Total cloudtag shares in issue, as per cloudtag’s own website:

sept ‘19 - approx 715,000,000, when cloudtag shifted to st vincent.

oct ‘19 - approx 752,000,000, with amit holding 163,000,000 approx.

sept ‘20 - approx 943,000,000 with amit holding 229,000,000 approx.

nov ‘22 - approx 988,000,000, (but with no update on amit’s holding?)

so circa 273,000,000 new shares were issued between 9/19 - 11/22,

with approximately 66,000,000 of those to amit between 10/19 - 9/20.

[unless i have missed something on cloudtag website? - there is no

info. on whether amit’s own holding has changed between 9/20

—> now, so we don’t know if he’s added any or sold any since then.]

that suggests something like 207,000,000 new shares were

issued to people other than amit between late 2019 - late 2022.

i don’t know what people paid amit for those shares, although i have

noticed a few pi posts / tweets over time where people claimed amit

offered to sell them extra shares for 1p. so if he did manage to shift

‘em at that price, amit managed to bring in more than £2 million from

issuing more shares over a three year period. (? not bad business, eh?)
