After reading the judgment, this will not go to appeal but if it does that appeal will be dismissed. It boils down to contract interpretation and Cineworld`s arguments are painfully weak. So no I`m afraid there are no positives at all. The C-Level of Cineworld lied in Court. Although the judge did not say as much language such as "I do not accept his testimony" says pretty much the same thing: Mook got spook[d} when the $34 per share deal fell like a house of cards as the SP collapsed and they wanted out. They did not include a standard break fee - cheap-skates, it is fairly standard in M&A transactions.
The exit clause shifted pandemic risk to Mook. And the only other argument was an attempt to read into cost-saving measures more sinister motives amounting to alleged breach but to interpret and construe that meaning would render other clauses in the contract devoid of meaning. All in all, a rather pathethic attempt to resile from obligations to close the deal.

It is not a fine. It is an award of damages for breach of contract.
Market cap is not relevant. If I have a company with a market cap of $1 and I sign a commercial contract with you wherein you will be paid $2 and I breach my promise, you sue me for damages of $2 - not $1.

No. This is damages. They have to pay out and get nothing in return.
If I crash into your car (my fault) and you incur (say) $15,000 in costs I don`t get to pay you AND keep your car. I`m obliged to pay you the amount the Court orders. End of.

LTHs must be sick as a pig with the SP at all time lows. I felt angst when MH in his opening remark on that presentation started off with "I live in San Francisco." How to win friends and influence people lol.

-£6 is just being silly IMHO with SWS using a DCF log based on sky high base rather than normalised earnings and applying silly growth rates and even sillier discount rates. It is GIGO.
