Look guys I genuinely want this business to succeed. There are mixed messages on this forum with multiple investor concerns. Lets do something about it?

I am going to propose that we put a list of questions to them for the AGM, no guarantees they will answer them all, there will be HARD questions but I’m more than happy to email Suzy and Kevin ahead of the AGM on Thursday and as the meeting will be recorded EVERY investor will see exactly what they have to say directly from the horses mouth.

I am happy to collate this, if you like this idea, I will start a Questions thread to add questions to and will add any questions anyone replies for submission or make changes as anyone requires.

Hopefully, the meeting will iron out any concerns going forward and will strengthen SH support and we can move forward rather than speculation.

Thanks for your advises but despite my massively disproportionate posting history on LSE I have a range of AIM plays in my portfolio. At the start of 2021 i had 9, i currently hold 5. There are winner and lossers. Yep my hit is 160k on 4D unless a miracle happens and NYCT reduced my profits and was my pig in the 2021 tax year, it happens.
That's why with AIM you should top slice and you should diversify across stocks.

As a side i actually like OBs investment style buy regular and often to average out your SP and as a safe hold buy PM. Currently in my portfolio i am top heavy on Gold and buying Silver but that's something else..

There are obvious risks here but as a long term play it has significant potential. GL anyhow however you trade

You have been de-ramping here on a regular basis and got banned. Please stop it. Discuss the pros and cons of the stock not individual investors.

Anyhow, as CEOs go, I genuinely don’t think we would find a better CEO for this job and let’s remember this is a small, listed biotech based in Nuneaton. This is not some major player with a multi billion-pound budget and CEOs of major biotech players would be unlikely to go to a small firm and certainly not for the money that Suzy is on. So, lets get some perspective.

She earns way, way less then the CEOs of the big Biotech’s, she runs a lean bootstrap business but despite that they are doing some amazing things. She is passionate and cares about this business. Also, she is a dam good communicator.
In some ways she reminds me of ASOS Nick Robertson when he started. Different sector I know but he listed on AIM, and you could email the guy and have open chats with him. He listed As Seen On Screen on the AIM at 5p, I had shares and regret to this day selling at 15p if only I had held…

But I can tell you something, that guy kept going, even when his only and entire warehouse burnt to the ground in a fire, he rebuilt it and carried on the business, and they are now one of the top stocks listed on AIM, so anything is possible.
Sometimes there are advantages to being a small Biotech, they can react quickly, implement change fast, Suzy’s Valirx is the speedboat to GSK’s Oil tanker.

As I see only two mistakes have been made to date neither insurmountable to fix, 1. The warrant deal with CENKOS and 2. Not fixing timelines and penalties on the THx deal. With stronger board support both could have been explored and the outcome may have been different.

Going forward, Suzy just needs to recognise the weak elements of the operation and bring the people and skill sets in to strengthen the business, so we don’t repeat in the future. I think she can do that. This business will succeed.

You are a bit of a cheeky git frankly as you openly posted last week that you top sliced on your target price, so you did exactly the same. But let’s not get into a pointless discussion about trading styles.

Yes, any stock I’m building a position on I will promote hard, that’s the way I work, that’s my style. We can agree to disagree.

But no point in calling for the CEOs head on a spike. Lessons will have been learnt here and its time to move it forwards. The last thing we want is another 4D on our hands is it, so let’s get behind the company and help Suzy succeed

That actually makes perfect sense now.
I posted here to say i thought he called the Investor event because he was expecting news to tell us. We knew he was in talks with Oxford a few weeks back so maybe he did genuinely believe they would support the business and he would be telling us this at the investor event. Had that been the case the SP would have jumped and next week he would be doing a placing for 2023 and job done.

Didn't work out that way hence why he was in shock at the event with nothing to say.

Not to mention Blautix and the FDA, so much here... must be some decent value...

Not calculated my loss on this one yet but would imagine its about £160k. I am hoping that a buyer can be found and it gives SH a return so i can at least reduce that loss some.

The AIM market at times can be a nightmare. My 2021 trading year was damaged by a big loss on NCYT in the end i got that down to about £125k so this loss trumps that and hits my 2022 trading year and we are only in June. At times makes you want to give up....

Here’s todays sermon….

I know a few here have been complaining about the SP and the timelines of events but it really is time now for everyone to get behind Suzy, stop moaning and complaining and give her our full backing. We can do that.

She is building a business here, don’t lose sight of that. These things take time, its not a get rich quick scheme, there will be bumps in the road, its not easy you know being a CEO and we are lucky to have her. Remember that last buffoon here? It could be a heck of a lot worse.

Hopefully the dire situation at 4D will also give some here a reflection of how bad it could be. This is the AIM market, a penny share, it’s the junior market for a reason it has businesses at the start of the growth story. Just imagine how amazing it will be when finally, a drug like 201 gets to the market – think about that for a moment… if we save just one person, it will all be worth it. I would give every dam penny I own to bring back a loved one I can tell you.

She runs a tight ship, makes a pound go a long way, she is underpaid, doesn’t even have any decent share options, she is doing some amazing work. Focus on all the positives.

Yes, we have all identified what needs to be done here better, she is fully aware, she reads these boards. We have all explored it here and made suggestions, she needs more support on the BOD and I hope that comes soon. Nothing here is insurmountable, it’s a process, due diligence takes months i can tell you, but they are getting there, just the timelines that are out, that’s all.

Before people post and criticise just think for a moment. We have a lot of good and amazing things going well here. AGM is on Thursday, lets all get behind her and give her the backing of a brilliant shareholder base, lets do things differently here, less hate, more love, more positivity and together let’s do things differently.

Valirx can and will make a difference it’s a journey we are all on. I say lets give Suzy the backing she needs to get the job done. Lets help get the placing done, get the board bolstered, get the lab started and get the positivity flowing again.

This Biotech will ultimately be amazing, we are on the cusp of greatness here

They are two different businesses.
4D have a much bigger operation, labs, manufacturing plant, 1500 patents, 14 drugs at various trial stages including one awaiting FDA pre P3 licensing deal, they are similar to VAL but on a much much bigger scale. Its all relevant.
best draw a line under this.

What's important for VAL is next weeks AGM on Thursday, that's what's important. Get the placing sorted and drive onwards and upwards

What i think I'm surprised about is that a placing could have been secured albeit at 100% dilution that would have raised at least 20m covering off either the debt or keeping the current terms on track without revision and allowing breathing room

Hmmm, half of me wonders if this is an indirect way of doing a private equity backed MBO, trying to buy all the assets off the administrator for say 15m, releasing the charges that Oxford have over the assets and then Duncan gets the entire company to sell on later for a premium, shareholders shafted.

If the administrators are any good, they should seek best price for the assets including contacting Merck and GSK if they are interested in the sale. The business should be offered for sale for best offers from across the entire market.

On a positive, Merck are shareholders so should be aware. IF Duncan plays it straight, and that's really the burning question, ultimately SH should get back a significant premium to the closing price as the business assets should be worth more than the current mcap.

However, this is the point isn't it..... 50/50 we will be shafted, see what next week brings

But cash runway is into Q4 and a placing with resolutions passed next week even at 100% dilution would extend their runway so i cant see that myself but rule nothing out

Could be a private equity MBO job but more likely T/O talks and if shares are not suspended they would be going beserk on any wind of that. We will see.

I will be materially adding to my position here in a few weeks time probably mid August. So you can expect a full dose of positivity in due course. The current situation here is a mere blip in the road.

No idea about 4D yet, let see what happens. YES, stock has been suspended on both the AIM and the NASDAQ so you think you have something here to complain about :)

Interested to see how this unfolds. Would bloody love it if he is securing a sale of all share capital to Merck or a big chunk of it at a fixed price and all those shorter's get fully shafted.... that really would be poetic justice.

knowing our luck it will be more bad news but you never know, saying that unless the business is closing down completely and even then the fire sale of everything is probably worth significantly more than the current market cap i remain positive. Can it really get much worse from here??? Time will tell

Appreciate that some investors are let’s say just a little frustrated but be realistic guys what exactly are you expecting Suzy to do? She can’t magic up the outcome people want instantly; these things take time. She has confirmed the position fully as it is, an extension is required due to elements outside of her control that’s how it is.

I suspect she will fully outline on Thursday exactly how long the extension will be for and what is required and the terms she stipulates. The AGM and presentation in London are only four days away now and the resolutions are already issued. Today being the last day to vote electronically. This is what we are voting on: -

We must vote for resolutions 4 and 6 because we need working capital to trade. A vote NO to these resolutions is plain suicide. If they issue 20m shares to selected parties in 4 then frankly its in our interests to vote 6 so that we can have 20m shares on matching terms. That is fair enough.

IF you want to punish the board so to speak, you could vote NO to 5 and 7 to prevent them issuing 6.5m shares as options BUT I wouldn’t do that because a) they need to be incentivised going forwards, we want a board that has a vested interest in the SP climbing and b) its essential they add some new appointments to strengthen the board and they should have options. Shares could also be offered in lieu of salary to new NEDs or part of salary packages to new additions. That would be a good thing IMO.

This is the time to get behind her. I keep saying she needs more support. I hope after Thursday, additions will be made to strengthen the business to avoid these situations going forwards. For now, we must vote and do the best we can in difficult trading conditions.

So the FY Results made and still make reference to sales in UK via Handpicked.com which was live just before Christmas? yet the entire site is now offline?

Assuming then that UK sales will be next to zero if no site and not legal to promote in the UK?

If the vape devise gets medical approval then i assume it could be available on prescription? That could be a boost?

Is it that the route to market is the main issue here? As e-cigs are now established in the UK i am assuming that if a canabis resin did get approval the e-cig providers could quickly add a canabis related one to their range?

It looks like KNB would do better introducing a line specifically as cartridges for e-cigs and selling them in the locations where canabis is legal???

Interesting play but sales are poor and i'm wondering if that can be turned around? On my watch list

I notice you post regular negativity over the last year, what is it specifically you don't like? Interested in your thoughts???

From what i can see they listed was it 6.5p was it? they raised an additional 2.25m at 8p and made some acquisitions to position themselves.
This being pre-revenue so burning cash. 4m left and a market cap of 13m expecting revenues in next 2022/3 year?

Market ugly for sure, any businesses not delivering revenues are getting hammered currently but as a longer term play it could come into its own later????

Stock to buy would be NT hard to buy in quantity, retail would start buying in knowing financial future secure and we would see a material turnaround. That is all it would take.

IMO Adam would not want to be CEO if they offered him the Job and anyhow Suzy is doing an exceptional job managing SH expectations against the backdrop of difficult conditions imo. She should stay in the role IMO but be properly supported by a dam good contracts manager, or senior negotiator of some kind and have a good strong panel of NEDs she can sit with and explore options and bounce ideas off. Adam would make a dam good NED, the business seriously lacks this.

I tell you why. you are "in love" with the stock and not thinking commercially. I did exactly the same with NCYT in my 2021 tax year. I had a bloody amazing year but had i thought commercially on NCYT and not fallen in love with it my profits would have been 150k higher. The problem is with AIM is there is a lot behind the scenes and us mere SH are the last to know. For what its worth, I think this is potentially an amazing Biotech but it needs work. I have a spread portfolio and work on the stocks in it that need attention. I no longer fall in love with stocks. Also, Nick has top sliced, that's his business but its the right thing to do. Adam i think has continued building.

I'm not going to defend 4D here as they have different problems and this is the VAL board but both have risks and both will need cash against tough conditions. 4D will likely have a discounted placing unless Merck support and the resolutions allowing for up to 100% dilution.
Meanwhile, Valirx are requesting a resolution for support for up tp 70% dilution.
So, 100% possible over there and 70% possible over here, great, I'm taking a hit on both stocks but worse i have others in the sector LOL

So if this is a p@ssing up the wall competition, yes you probably win. Dilution here could be slightly less than over there... woopeee days.....
