1. The Remuneration Committee contractually agreed to the LTIP scheme and it was to be paid in cash based on the SP increase between two given dates, the inception in the Nov 17 and the end Nov 20. You should check this in case my notes are out but it was based on a given qualifying period. The payment of the said bonus was to be in three tranches the first third of it NOV 20.

2. Because the company had staff in France they could not go down a traditional share option route. Now they have no staff in France they can issue share options/free or otherwise going forwards hence the item in the resolutions for this AGM eliminates this problem in the future

3. i have not seen anything anywhere to suggest that conditions apply to doing anything not in the companies interests in that contract that would otherwise prevent it being paid.

it is in my considered opinion, so not fact based, DYOR yada yada that the BOD did not envisage that the SP would climb so high, this deal was pre-covid remember, when the calculation was confirmed it was so obscene, more than what they spent acquiring IT-IS, that GM and Tony agreed a chunk to go to charity, we later had a run of charity related donations and this was because the bonus was being paid and it wouldn't be right to pay GM and Tony and not pay the charity.

Again, it is in my considered opinion, so not fact based, DYOR yada yada that once the deal was agreed at the end of the year GM no longer had a vested interest in the SP doing well, it did not matter. Previously he would even email SH and chat to them by the Jan results any emails were passed to the PR Agency to ignore on his behalf.

From my own perspective having a material loss here to date, i would have preferred his bonus to be retained on hold pending the outcome of the DHSC dispute and affordability of paying the bonus.

On a positive note, it is not long now until David takes over and changes can be made. I can't see the BOD agreeing a similar type arrangement with David

I can see us moving towards peer average 80-90p before a deal and with a deal £ 1+ is a certain bet imo but this is not investment advise people should do own research

The two killer factors for me are:-
1. The Mcap isn’t even close to anything resembling value - £20m mcap is miles off especially with SAR being X14 this level hence multiples of where we are feels reasonable
2. The free flow stock level is so low, Big chunks are not for sale hence you don’t need much buying volume to really push the SP materially higher

Well placed, those in a £11 may have to wait a while but at least a recovery has started for them, I just want to see this trading in the pounds rather than pence

Because they can benchmark against similar deals in the market based on the potential size of the market and its commercial worth. If more than one interested party they they could bid against each other.
When the deal lands the SP will step change, we are paddling in the mud currently at 20m mcap, its a joke level, the re-rate is only just starting.

So call it 1.4m of shares represented to pass resolutions at the AGM
Entire BOD only control 244,876 Shares
Obviously no IIs supporting the AGM to carry it over? Maybe that's what they will need to call on for the reschedule?

I'm ignoring your comments towards me, its purely business. I have replied on this thread. The SP will rally on an R&D update due any moment.
What i do want to say is that you actually hit the nail on head with this a few months back with your post regarding stocks on pallets trying to be returned and rumour that NCYT wasn't accepting the return.

That's a great Analysis, with you 100%, totally agree and see no reason why we shouldn't be at that similar rating level.

They are a great Biotech for sure, But so are we and they are rated at X14 our valuation, as such the upside potential for us here is simply off the scale.

I Can see us quickly breaking into the 50p level next week, positioning superb at the moment..

Well, it’s a rhetorical question really, hell yes of course we are…

With Peer Average for a Biotech at these stages being £52m mcap pre licencing, let’s be conservative with a capital “C” and say we are just 10% better than the average at the moment allowing for nervous markets, difficult trading times, swing traders etc, I make that about £57m mcap.

We currently sit at circa £20m mcap

So as a rough calculation, that should see us comfortably at around the 88p SP range pre licencing, that’s the direction of travel.

Get the first license deal over the line and for sure we break our first £1 this year, probably put us in the £1.50 to £3.00 SP range depending on the deals struck.

So, what can we expect from here, well as I see it, we should attract some decent long-term investors, maybe some family offices, some institutional buyers IF Cenkos can earn their keep, and of course us Retail Investors buying in, some of which will be traders dipping in and out of the stock?

As stocks never move in straight lines, some will try and time every wave, with limited success thinking “should I sell at say 38p and buy back in at 35p” that’s 10% and we will get some Pea****s here for sure, seen it before worn the T-Shirt with comments like “Oh, look how great I am, I sold those Valirx shares and made 15% last week”, of course what you rarely read on these boards is “Oh Fck those Valirx shares I sold at 15% profit are now 20% more expensive to buy back”. Each to their own trading style, I guess.

You can make good money buying and selling at the right time, You make REAL money if you have the balls to go the distance.

Of course, the big factor that will catch the traders out is the day news breaks of the first licensing deal here, those that sold out on an uplift wave totally miss the boat with a gap change in the Share Price and it will come! you don’t want to be out when that happens! I bet there are a few kicking themselves today that sold out pre the presentation that wished they had held with that bit more faith in the company.

Anyhow, personally this Piggy is a bit too old, Lazy, and knackered for the swing games, as such I will be quietly adding here, watching the fun, adding some positivity here and raising a glass with a few of you once we escape the pennies and move back into the pounds with deals signed.

Well i believe you create your own opportunities, I had been following for six months before i made a decision to support, but its still very early days, I continue to add and i do see this stock trading north of a few quid.
Sareum (SAR) – MCAP £ 227 m
Valirx (VAL) – MCAP £ 20 m
See no reason why Valirx shouldn't be rated a a similar valuation and be north of £3+ in a relatively short period of time. We will soon see but, i remain VERY positive here.

I take on board your comments about extracting best offers and the teams experience in that direction however, they can still bench mark the kind of price region a deal can be in when compared to other deals in the market and the potential size of the market to establish its approximate worth.
Of course if more than one interested party then the offer is going to climb ever higher. I got the impression from the presentation they were talking to multiple potential parties. So it look's really good to me.

Let's face it, as a side, even If you are a total numpty, if you inherit a Ming Vase it will still get the top price at auction :)

- Active looking at new projects, the stats were something like 50 projects evaluated and 6 identified as potential
- Focus on licensing out the Back Book, They have a total focus on that happening
- VAL201, 301 and 401 all positioned well for licensing
- Confident and on Track for licensing before the year end
- Sufficient working capital with no desire for future placings, new strategy will see revenues increase
- They have very much carved out a USP
- The recent AZN deal shows massive demand in their fields
- fantastic SH communication and desire to engage with investor audience, really refreshing

They are active looking at new projects, the stats were something like 50 projects evaluated and 6 identified as potential where they can add value so far this year.

But, crystal clear they want to license out the Back Book now and this really is the key for us investing here, we just want to see at least one license deal to prove the model and its looking like that is going to be a reality now
