Spud why would any private placement investor commit before they knew the share price post merge? The need to raise capital and dilute everyone as part of the overall deal had to be disclosed. My concern is that the conversion rate is not fixed and may end up worse to get up to the NASDAQ requirements.

The problem is that there is no evidence Shoal Bay has contributed to many of the tasks mentioned in the service agreement and has obviously failed at the majority of the keys ones, apart from putting their mates on the board. The portfolio is essentially hands off, it will prosper or fail independent of anything Shoal Bay has done or has the capacity to do, so let’s just forget the fallacy of services being provided, pay an admin firm to do the filings which they probably already do and cut out the middleman.

Not much in the budget impacts the profitability of this co. Fund’s exit is keeping this down and within a range, but someone is mopping it all at the bottom. Maybe a dump prior to year end to complete the exit, which is when I hope to pick quite a few before the news flow in Q1.

The more the share price drops the more the equity from a service fee based on nav is convertible . JM doesn’t get diluted overall but everyone else does. The arrangement was based on share price marking NAV closely so both parties share in the upside. Here only the service provider benefits. If the service fee was based on the market cap all fair, but it’s not.

Fee is on NAV not share price and can be payable in equity at market price, so based on current NAV if the share price doesn’t move current holders can be diluted to nothing. It is a truly crap arrangement for the sole benefit of Mellon. He got equity in Liberation Labs for an undisclosed amount very likely zero on creation, so shareholders have been propping up his private position ever since.
