Loan Notes are non transferable they would have to convert so that cannot happen. Number of shares they get will be decided by the sp the day before the issue date. Forcing down the sp after they hold the notes is bad for Mint, they want as high a sp as possible. Ignore the bs you had from suzi, c sterling etc. If sp is say 25p in February when the issue date is set then they get the notes for £12mil / 22.5p shares. If they ever convert in future the sp at that point has no bearing on number of shares converted it just affects their profit or loss.
They COULD decide to sell a block of stock and drop sp a little just before the second tranche so they get more in any second trance, however they would have to be careful to keep it above the issue price to make money and also its in Vlads total control so they won't know when same as us.
Basically though, yes technically you have a point there are under handed things Mint COULD do which could be negative in future but it's never going to bring SP below the price they pay. I fully expect the SP to be so high though that Mint will be getting far less shares than they would if the conversion was this month. Panic of imminent dilution is gone, sb bouncing, details of covid cure and some new Hu-phec treatment.

12Mil will NOT be issued immediately, the very very earliest is after 11 January 2021. HOWEVER approved prospectus is still required so probably February or March, and if you doubt this please contact Hemogenyx directly.
Lets do some quick maths shall we?
Lets assume there is no more news, SP stays stagnant at 10p from now until Feb
When the CLNs are issued if SP is 10p Mint get 1p discount they pay 9p per share for 133Million shares. Now for them to profit from this like you say they have to dump ONE HUNDRED AND THIRTY THREE SHARES on the open market for MORE than the 9p they paid and not have the SP crash from the 10p that it was.

On what planet is that possible?

Mint ONLY profit if the SP rises significantly.

Now what if Vlad DOES release more news before then? What if the SP goes back to 14p or as many predict 20-30p?
14p = 85mil shares - Not great but ALOT better
24p = 50mil shares - ALOT more tolerable
Basically we have a long way to go before any CLNs are issued, and in that time every penny the SP rises we save 2mil of POTENTIAL dilution 6mnts down the line.

Mint are in it to make money. They are not in it to make < 10% profits... Do you think they are prepared to lend 60mil and settle for scraping LESS than 6mil profits? 10% discount on SP then they have to somehow manage to SELL those shares for the current trade price to get 6mil?

Seriously? Do you REALLY believe that? Come on be honest with us, do you actually believe Mint are here to settle for 10%? or is it not more likely they will hold the notes until either take over or start exchanging 6mths - 1 year down the line when the sp is 30/40/50/100p+ ?
Why on earth would Mint want the SP to fall when they can get notes and wait to exchange when SP rockets?
The circular also confirms no Notes this year, The Initial Issue Date will be the later of (a) 11 January 2021. I have it on good authority Feb or March. Do you really think there will be no news before then? That the SP wont go up 10% before then? So EVEN if Mint drew down and decided to sell for their 10% they lose cash below 10% its just stupid, how can anyone entertain your train of thought?

I and others have rung the various points of contact on this previously and also emailed hemogenyx asking them to issue something, this feels like a response to that. What has been said verbally was that Mint have no intention of selling any shares this is an investment. The RNS has stated: "It is not expected that any Convertible Loan Notes will be admitted to trading on any stock exchange."
Even the simple maths of it, they get 10% discount, thats it, not 20% or 30%. With such a current tiny MCap it is just not possible to actually even convert and sell 12mil of stock and make a profit. Its just not a sound financial prospect.
Instead of listening to people on here might I suggest people pick up the phone or write an email addressing your specific concerns, there are contact details in the RNS's.
I have done so and put my mind at ease and I should not have to be the middle man, if you prefer to listen to the likes of Suzi who has a vested interest in de-ramping then sell and move on, but ask yourself why she spends so much time aggressively trying to deramp this share if she is not a share holder? Consider her motivations, why is she so vocal in de-ramping?

Ignore/report her/him, shorter and de ramping. Doesn't matter if vlad starts pooping solid gold they will still make it sound negative.

I am going to shorten my last post a little to 2 key points, both in RNS for verification if people so choose:
1: Licencing discussions had started in September - 30th Sept 2020 · "Discussions regarding a potential licensing deal are continuing with GlobalCo following the extension of the Development Agreement"
2: 1 Month later the labs are open and they announce development agreement extension to 31st December to "allow us to choose the best CDX antibody"

They did the extension AFTER they announced they were already in discussions about the potential licence, and the extension is to choose the best antibody.

Please dear lord, anyone explain to me how you can read that in any shape or form as indicating that a deal will not be signed? They start negotiations while labs are shut, labs open a month later, they announce a specific date to pick an antibody??? What am I missing?

History:
27th Oct 2020 "We are pleased with the work that has been done so far on our CDX antibody product candidate with our GlobalCo partner, and look forward to our continued collaboration and completion of this significant work. MMs are not idiots, but apparantly we are, they raise the SP people buy up the surplus stock, FOMO, MMs drop the SP and people sell FOLO. Read between the lines people, did he pay you to come and try and deramp for him to help fill his order or are you just doing it out of the goodness of your heart?

I think its to trigger stop losses first thing in the morning, im guessing there is a background order for 500k-1mil shares, just a guess though. There is also a legend that 1share trade equals an rns being lodged... Who knows all smoke a d mirrors, we will find out soon enough

Yep, 3pm+ would be ideal for me, I am guessing they logged a 1trade at 8p to trigger stop losses, not enough selling today for the MMs and considering they were willing to take 500k in one go above the bid can only mean big order being filled.

Now site has quieted down somewhat good time to recap whats coming in the immediate future:
Eli Lilly-CDX Development agreement been ongoing from 2018, has had a few extensions due to Covid-19, back in the lab had an extension to 31stDec2021 to "Select the best antibody". Every single update has been positive so safe to assume they want to licence an antibody for AML, if they and Vlad can come to agreement. I THINK they potentially have 3 months AFTER this to licence, however I BELIEVE they will sign licence before the deadline to keep it in 2020, the delays were due to covid closing the lab preventing the development work, no reason to believe they didnt work on the terms and conditions of licence.

SAFE-HEMO-CAR-T : Awaiting proof of effectiveness in vivo + adding this to Penn development agreement - This is a HUGE leap in the future in terms of cancer care compared to what is available today. If I had AML I would be begging Hemogenyx to be included in an future trial, touch wood and thank god I dont need it but its amazing the work being done.

CBR platform

When details of this platform are released and peer-reviewed it is going to make shock waves. This is as big if not bigger than CAR-T.

That being said the SP will multi bag on Eli licence anyway. This CBR Platform is impossible to overstate how big it COULD be.

As for CBR, if one of the 2 new strains of Covid-19 become dominant then current vaccines become pretty much useless and we are back to square one, if Hemo proves CBR works on all strains of Covid-19, its a game changer and there is no way to possibly price this development. As soon as results are published that it works we will see life changing Share Prices.

CAR-T that treatment that is patient specific, expensive and earlier in development.... Bin everything you have worked on with CDX, that mass produceable, off the shelf product that had cross indication applications and would have made you billions, yea that one, CBA with that any more :P
