I see the picture, big or small.
If the resolutions pass BIDS will first try a placing.
I’m likely to be able to be involved in that. I was last time. But other shareholders might not be so lucky (don’t know the broker). Or will have to cough up a much larger sum (usually placed in chunks of £25k etc).
I’d prefer a rights issue with placing to mop up those rights not taken up.
Re getting a VC involved; I’ve worked with them, have friends in the industry; I wouldn’t touch VC money with a barge pole - unless there was literally no alternative (which, ironically, is when they hammer you the most).
I believe, as a matter of principle, pre-emptive rights should be always kept in place. They are protected for a reason. If we vote those away, it should mean a placing and no repercussions, but it also allows the BOD to make moves with hidden agendas.
And given their relationship with their shareholders, and the fact I no longer trust Draper, I think we’d be foolish to vote away our protection.
