I reckon £25 per new share OR 11.3p per old share. I guess even with that market price there will STILL be many underwater with this deal.
Therefore it must be rejected.
The ONLY good thing (not that good) is that the investors and new BOD have a massive amount of skin in the game here signalling a very high confidence of success. They had absolutely no problem raising the cash conditionally on this deal going through. Largely because they are stealing from us. Very very very disgraceful of them. They should apologise and modify the terms even before we vote. It would be the only way to avoid the bitter taste in the mouth.
Lucky, you should take heed and tell your puppet master that the scheme has failed. Humble pie required.

For me kettle. They should respect the share price of the last capital raise immediately before they lead us victims onto the abyss that was a cash shell. I believe they knew our fate when the raised the last tranch of capital. Unforgiveable. It is their duty to respect at least that much.
I would love to ask for more but that wont happen. It should be easy enough to check the RNSs for last cap raise before cash shell.
I'd sooner loose everything than let them cheat their way through this deal.

It is stated that Richard Griffiths holds 6.17% of the new company when combining his two tranches of shares owned privately and within Adams. This would put him on the leader board for ownership as declared in the RNS if his shares where under one roof. Under the radar but there for anyone interested.
I do think BVX will have very good legs, but cannot help feeling some wheeler dealer shannanigans have been at play. I agree with Rosie that Motif share of the new company should be based on the 0.5p share price when company was frozen. Anything less is an insult and a joke.

Cash shell worth £600,000 Dec2020. Ie not enough to buy BiVictrix.
New capital being created in new company by issue of new shares = £15,600,000.
Roughly calculating.....
The bod must use the rational that old share holders own 600,000 ÷ 15,600,000 = 0.0385 or 3.85% of the now combined entity.
A very simplistic view, but what do ppl think. What have I missed?

The warrants have to be post consolidation otherwise the maths doesnt work.
Btw - no one has mentioned the small matter of them pocketing the money for the fractions of shares less than £100. I'm not sure how they can do that. Is it legal?

no seriously folks - if 1/220 is rejected they will make a better offer I think. They are trying it on. The deal will not crash just because of that. If it does, and we get zilch, I may, just may invest in BVX when they launch off their own bat. They are not doing it almost for free off my shares.

Sorry if someone posted, but well worth listening to the interview yesterday on Vox Markets with Justin Waite.
Key points for me
- £10 million heavily oversubscribed.
- Good trading expected on market open
- Early stage company that can quickly reach 100s of million$ deals or even billion$ with success.
- Very innovative science.
- Opportunity for Motif shareholders.
- Prominent names backers (Robert Kieth?)
- Confidence and backing from big shareholders
- multiples expected in share trading expected on early news
- Significant uplift after 3 years. Hundreds of millions mentioned again.
- Strong BOD. Bob Hawkins just floated a $3billion company on NASDAQ.
- Tiffany Thorn is the ADC expert apparently.
All sounds pretty good, albeit from a very low value for MotifBio shareholders.
Personally I see no reason for the 1/220 share split as per other posters on here. Let's take our time to formulate a way of getting more from this if we can? Read the RNS again and I sense the BoD know that 1/220 WILL be rejected. In fact it's written in such a way that you MUST reject it.
All my own opinion. I have no ulterior motive but to protect my investment.

Great summary Magpies1862. That just about explains what took most of us 24 hours to realise. The only thing now is to hope that we are wrong with the pessimistic view of a share price drop from 20p downwards. And with a fair wind the SP sails to £2 on day one, and £20 within 6 months.
Had a few too many sherbets I think. ;-) but you never know.

21.35 I agree. It's entirely possible given that over 50% of shares listed in the RNS are to be owned by a handful of institutions/individuals/funds. I'd say there is a very good chance of rapid progress on products if each investor has done their DD and come to this conclusion. They would not be invested otherwise. Still some risk, but looking promising, maybe?

This does not seem possible. Let me guess - first come first served. Clearly not enough warrants to go round. I strongly suggest the bod need another RNS to explain this bull&hit today. Absolute deliberate diaoreah.

Just saw this bit too from the RNS:

Following the Share Consolidation, Shareholders will still hold the same proportion of the Company's ordinary share capital as before the Share Consolidation and the New Ordinary Shares will carry equivalent rights under the Articles to the Existing Ordinary Shares. Following the Share Consolidation and assuming the maximum number of New Ordinary Shares are issued pursuant to the Proposals, the Company's issued ordinary share capital will comprise 80,979,876 New Ordinary Shares as at Admission.

Is this actually true given that there are new shares being created? I honestly dont follow how the above statement can be true. Anyone with more intelligence care to explain?

Hi all. Have I missed the highwayman with his musket and mask?
Cant possible read all today's board comments. But guess I should be unhappy with the rest of you. Having lost a cousin to leukaemia in her mid 20s around 40 years ago and having just put up with 15 months of Covid sh&te, and all the misery and death it brought. I think now is the time for reflection. For us investors, maybe we should expect less. BUT for the deal makers, shame on them if they walk away with massive financial gain at the expensive of others' loss. Especially those investing for altruistic reasons. I shall read BWs words over and over... as should the legal profession.

I'm not going to cry over a lost investment. I guess there are enough institutional size investors who will ensure the vote goes through, as is usually the case. I just hope they really do have something tangible that will make a positive difference to the lives of those suffering this horrible disease. If LTHs are eventually rewarded, and everyone wins, it would be a great result. But I guess that would be after the multi, multi bag event. I consider my money lost for now and hope lives are saved through some good research and development.
I wont be looking again for some time though after the first few days of trading.
I cant believe how greed drives absolutely everything with these despicable wheeler dealer types. Unbelievable arrogance.

The best bet is not to be overexposed to the extent that you will scream if you didnt sell before a fall. Or to know when to be overexposed and hold without shouting about it the pub.
