14.58 Rooblertwo. You know that no one will try to advise you what to do.

I personally have instructed both my brokers to vote AGAINST the 6th resolution with regards to the share consolidation. I did so with a heavy heart as I do want BiVictrix to succeed for personal reasons. However, with or without Motif I think they CAN succeed. However, they have no right to have that success by cheating investors in MTFB, hence my decision. If I get nothing I can live with that knowing I have stopped an injustice and what would normally be construed as a crime by civilised decent people.
I hope everyone makes their own decision based on their own research and personal circumstances and should not be swayed by ppl on here. By all means read and absorb views, but form your own policy and good luck with your investments.

Just a bit more on Richard Griffiths. He's also chairman and founder of ORA capital (listed in the significant shareholders of the new entity) so his involvement in this venture is heavy. he has private shares plus the Adams involvement too. All told he is the top man in terms of skin in the game i think. But please DYOR.
He was also listed as the 14th richest man in Wales a few years back according to the press.
Again - 2 schools of thought
1.On plus (yes vote) side - its good to see such commitment by high net wealth individuals, albeit probably hedged to avoid personal risk to themselves.
2. On the negative (no vote) side - The high net wealth team seem to have screwed the MTFB LTHs to polish their chances of making a very fast buck or two.
I wouldnt betting that most of them will not be long term investors, but probably in it for a quick killing.
All in my opinion. What a quandary. But NO still wins.

Scratchnsniff. On the contrary, it reads to me that 'the company' (ie MTFB) will take 90% of any revenue above AS$250,000. As unlikely as it may seem that any revenue will ever be received?
However, because we are we much diluted by the deal on the table, it seems to me that the revenue of iclaprim per share for LTHs is also very much diluted. I'd love to be wrong but...?

Hasiba. Logic says 50% but I thought there were some AIM rules stating 75% but i cant find them right now. Its somewhere on the MotifBio website.

The only other thing I would venture to say is that this Bod and their big investors will have far more power over us little guys after the takeover. This will be the only time they'll ever hear us. But again could that be construed as confidence in their investment?

Roblertwo. I think they just clarified that our warrants are on 'new' shares rather than pre acquisition shares which we know was post consolidation but they've clarified it.
The other thing they seem to be pointing out is that there are only 30million new shares. And that the £10million for 50million additional shares is new invested money from an over subscribed fund raise. I think they are effectively telling us to shut up and trust them. If they are right it may multi bag on day one of trading. Easing some pain but I refer you to earlier posts that we need to get to £1 per share to break even on the deal compared to the 0.5p price at suspension. It still stinks.
Does anyone know what percentage 'yes' vote they need?

Past experience tells me that these people are so hard faced we will struggle to get our way, but we MUST try, even if it just irritates them a little bit that they have stooped so low and got pulled up over it. We have to smack their fat ar$es.

So number of warrants to existing shareholders is 1,488,615. One warrant for 2 new shares.
If you multiply by 2 it is 2,977,230 new shares.
Multiply by 220 to get back to number of old shares prior to consolidation. = 654,990,600.

Hope that helps convince those who remain unconvinced.

Grandad. The events happen in order. The consolidation happens first and then the acquisition. That is my understanding simply because the numbers confirm it. I totally agree with you that the RNS is misleading. I am guessing it was deliberately misleading by the bod to get everyone to vote yes. It's a blxxdy disgrace.

Share price at suspension was say 0.5p
New share price will be 20p at launch.
20/0.5 =40 so this is the effective parity figure if we had consolidated at 1 share for 40 old shares.
We are being told its 1 share for 220. Then we get warrants for 1share for every 2 new shares. But have to pay 20p to get those. Ignoring the cash you have to pay to get the warrants shares, which is quite low for small holders (and assuming you will make a profit when you sell them!). The warrants make the dilution roughly 1 for 150 shares. If you divide by 40 from above because of the difference in share price, we are down by roughly a factor of 4.
Now, if on day one the SP jumps up from 20p to 80p you will be roughly back to where you left off when the shares were suspended. Assuming you exercise and sell your warrants.
If after one year we get a buyer at £2billion the 80,000,000 shares will be worth £25 each.
For me everytime we multi bag beyond 80p its worthwhile. If we get to £25 we've bagged 31 times from suspended share price.
Happy to be corrected if the maths is wrong but it's the reason I'm voting no. Because this kind of expected rapid rise is pie in the sky for most companies.
If the company was really very confident, the would not be screwing their shareholders to carry the can for them.
All the above is my opinion.

It's an excellent explanation of the way they handle the analysis of samples brought to the surface, accounting for the volatility and phase change at a microscopic level. Everytime I listen and watch I regain my confidence in how wonderful this well IS and eventually it will reap some huge benefit to us.

Steve75. SP does tend to slip when playing a waiting game for results. Happened before. Market perceives that no news is bad news. Largely because of fickle fingered holders who bought for a quick buck instead of for the end game mega news. Winter is coming. Someone will end up being on the iron throne. Will it be 88e?
