They have to disclose when they have sold a declarable amount. I’m not sure what the AIM rules are in that respect

I have read the Lanstead website yes. The agreement they have entered into with NNN is a risk-free investment for Lanstead the the way it has been structured .

Nobody knows at the moment if they are hedging or not. I’m certainly not saying they are. I am simply saying that all they have to do is sell 1mm shs day to hedge their risk. I mean if they do disclose to the mkt they have been selling then that would be a huge negative

This is not an investment by Lanstead. Is they sold 1mm shs a day for 2 years at VWAP they would make approximately £500k!

Your analysis of me and my motives are as bad as your analysis of this company. UG admits to trading this often. I have never traded a share. Ultimately we all make our own decisions regarding risk, but it is better to be armed with as
pertinent info as possible. And I am simply highlighting the details of the funding, they are important and details you would not necessarily get from most on here….

Just think about that. All things being equal ….
Lanstead effectively buy 1mm shs a day every day for 2 years….they get 70k free and 930k at a 25% discount to the mkt price. Yep!

We’ll know in time if they are hedging because eventually they will need to make it public

Also worth considering in deciding whether this is a
White Knight investment or fire-sale funding

1. NNN agreed to pay Lanstead’s legal costs up to £20k
2. Lanstead gets 535m shs of which 37.45m have been given to them free!
3. Lanstead get their “investment” in NNN cheaper if the stock declines
4. In any case they get a 25% discount to 20day VWAP each month. Eg if the stock remains at 0.50p the next tranche of money they pay will be 0.375p!!
5. NNN issued new shares which means Lanstead own 21.59% of the outstanding shs and all LTHs holdings in NNN have been diluted accordingly
6. Lanstead chose not to invest at current levels when they could clearly have locked in at these levels if they had chosen to
I would add that 535m shs means effectively Lanstead are long 5.1m shs each week or 1mm shs/day for the next 24 months if they want to hedge. 7% of these shs they get free and 93% they get at a 25% discount to the 20day VWAP. So a pretty good deal for Lanstead, a licence to print money.

You really should not be investing if you don’t understand this

And at this level Lanstead are effectively only paying 0.30p!!
