As young Jack points out, this will need 51% shareholder approval to implement any resolutions. Where I suspect Jack is wrong though, is he then suggests that Amit would simply dilute the holdings. I believe this to be wrong, as Amit in response to some recent correspondence, has now updated the share-holdings, which again verifies that there are currently only 448M OS in circulation.
This then possibly suggests that (1) Amit has been bank-rolling the last 12 months activities, & that (2) he's very confident, the 51% needed, will Not be found.
We know that Tim has access to 51% of current total holdings via the Shareholder Group, but we don't know how all these 980+ investors wish to proceed. Bearing in mind, it took c.3 months to acquire a response from all these 980+, would it then be feasible that they all 100% of them responded to any requests for resolutions... I seriously doubt. But, then say they did, & a 51% majority was found, could Amit then carry out the possible dilution, as per the authority given to him by Resolution 5? & I would then imagine there would have to be some serious proof of expenditure ie, he would have to explain, why at this particular point in time, is there a need for such dilution, so where does he get the confidence from... We know that there is further dilution coming as we know there are outstanding warrants, so perhaps Amit's confidence stems from relisting this on the market, & diluting to c.650M OS inclusive of these warrants ?
Of note though, is that Amit has been in meetings with some shareholders and he has been replying to some peeps queries, eg. the updated holdings. He is though, staying well clear of any further aggressives.
To vote for an EGM, will be feasible to raise the 10% needed, to vote for any change, not so easy. The twitter group wish for the ex-employee Alon Moss to be installed as an NED, and that comes with some positives, with his expereinces of technical projects. There is also a strong opinion amongst them for Keybo to be installed also as NED, but many peeps believe he's simply too hot-headed for the position.
This being AIM and its quite easily seen, that most peeps in this game, are at worst, shysters, or at best, simply unscrupulous. Is a difficult call, then to decide, on the best way forward. Will Amit provide anything concrete to offset peeps anger, and that's a difficult call. Interesting game.
