Since last month the value of the Pound has dropped by about 5% vs the Dollar. So the 1.8p payout, should be closer to 1.9p now. If Truss tries hard enough we could get closer to currency parity when the Russians pay up, so more GBP for us!

Small crumbs of comfort for me, but I'll take it.

In simple terms Amur Minerals is not changing as a company - it’s just selling the KM mine. The proceeds are then paid to Amur Minerals. The Directors of Amur Minerals have then committed to pay a special dividend of 1.8p per share to all shareholders. Just like any dividend, this does not impact the number of shares that you own. The company will still exist and has some other assets (worth about 0.5-1p per share).

Of course the KM mine is the main asset , so if sold the company may then be wound up (with a further payment to shareholders, in return for your shares) else invest in another mining type asset and keep going. There are rules and timeframes around this.

I suspect many people are like me. Hate to take a loss, made even worse when you have been invested (physically and emotionally!) for such a long time, and you know the asset in the ground is worth so much.

But I’m going to put my stubbornness, and forget my long engagement with this company, and take the offer whilst there’s still an exit available.

Entirely your decision but don’t cut off your nose to spite your face - any money, however small it feels, is better than none.

Maestro- I wouldn’t say AMC s/holders are lucky, in fact the complete opposite is true. The latest RNS says a deal was on the table in Feb 22 - if the horrible war hadn’t started then I think we would have seen 7-10p per share, and could have possibly been negotiated upwards. But life isn’t fair, just ask Ukrainians, so we will take this offer and move on.

But as you constantly buy the SP will go up. And you have the risk that the RF may decide not to permit the payment, and Robin may increase his bonus to £10m for achieving so much for the shareholders.

I was against the structure of the prior offer, but I strongly think that this is it.

As people have already said, there's the 1.8p payout, and any residual value in the remainder (some cash, etc e.g. I'm not sure there will be any tax benefit of the many millions of prior year losses for a BVI company, but there could be something).

So although I will have lost out massively on this deal, I think this will go through and is better than nothing.

Auditor appointment: a mild positive
Cashflow: cover for 6 months now, and looks like new arrangements for another 4 months, so OK until Q2 '23: neutral
Profitability: down with additional costs: slightly negative

So overall I'd be very surprised if this share makes a significant leap today, or anytime soon before the war & sanctions end.

I have a lot of respect for Geng etc, but purely based on the numbers (and the timing of payments), I have voted against the motion. I fully accept that we could lose the lot, but on balance I think the risk leans towards voting no, and await an update. I would regret it if I took no action, so I recommend you all make your own decision but do then cast your vote (1 email or 1 phone call) ASAP.

Coincidentally, my partner and our daughters have done the same, so a fairly sizeable holding.

I hope Robin and Board do read some of the bulletin boards. I am not prepared to vote yes without all the information that I need. So for me it’s simple - immediately publish the overdue TEO, that shareholders have funded, else I vote no and take my chances. I believe that the buyer is understandably very keen, and that better terms can be reached.

That won't be tabled at this Board meeting - but not a bad one to request for next time (after 25%+ turn down this deal).

Have we been misled - I think a resounding yes. So move on.
Do we think there will be a competing offer - 90% no IMV, so lets stop dreaming.
Will the existing offeror better the terms - 50:50 IMV
What is the current offer worth in the short term - about 1p per share

3 CHOICES:
- sell at 1.125p now;
- accept the offer/take a gamble (AMC has always been just that) of 1p + potential 5p upside over the next 4-15 years.; or
- vote down the proposal and take a slightly bigger gamble (could be claimed by the Russians anyway/worthless, or become 10p plus)

Unless you really need the money and soon, I think the VOTE DOWN option is the better of the 3 choices.

The eventual value of the deal is about 6p. But with the deferred payments, and the intention to reinvest in other mining asset, I’d be surprised if we saw much above 3p today.

After all the years of waiting what a major disappointment. I may vote against this deal but trying to stop my heart ruling my investment head.

SP down 8% today. As a shareholder I’d call that bad news. Just goes to show you the number of wishful thinkers on here, only listening to what they want to hear. So take care in filtering out the noise and GLA

We can try and dress it up, but this makes the share less attractive. Further info about a liquidity squeeze adds a further negative. So I can only see this share opening down.
