... in this case the 'shareholder' is known to the issuer (they've already identified it's to a single investor) & their holding by placing size alone & therefore default is subject to a TR1 - so do they already hold by virtue of payment & announcement or only when the shares are listed on the stock exchange ...

.... absolutely no surprise at all that a delay has been announced but when does the clock start ticking on when a TR1 must be issued? When the deals done & funds transferred (assume previously completed) on application for trading (today), or when the shares are listed & available for trading 14th Jul .. time will tell ... absolutely nothing so far to change my AGM voting plans for at least 3 resolution ..

AGAINST the BoD's authority to allot shares.

AGAINST the dis-application of pre-emption rights

.... hardly surprising... although they've corrected KM's total holding they're still showing all the directors exercised nearly 4M shares each in Jan which we know they didn't 🤷🏼‍♂️

...indeed - I knew it was close but couldn't be ar#ed to work it out 😂 ... so for me it really depends on the 'who' as to whether I vote FOR or AGAINST this one as well as AGAINST the authority to raise & the dis-application of pre-emption rights .... if I believe they're a valuable investor I wouldn't have a problem voting for - however if they sell out this placing , have previously been on the board or I think they're simply speculating I shall be voting AGAINST without a second thought .. 🤔

....& of course the announcement said the 1.27p shares weren't being admitted to trading until the 04th in which case they wouldn't/shouldn't have been available to sell yesterday - which makes me think it's more likely than ever it's someone who's got fed up/bored waiting or has other reasons they needed to offload . ..

... I wouldn't be so sure it was our 1.27p subscriber selling rather than one of the 1.50p placees had enough .... time will tell & we should find out eArly next week ... assuming the 1.27p placing completed!!

..... alternatively of course if you don't have a problem with your holding being diluted massively (SCAP was 105M at consolidation less than a 3rd of todays!!) but just want to be able to partake in further dilutions you could vote FOR the resolution to allot shares but AGAINST the resolution to dis-apply pre-emption rights ... remember it's your choice & your vote but more importantly it's your company and your investment!!

... off trading for our 'Single' investor of £402k of 1.27p shares ... we should find out who it is in the next wee while unless there's a massive carnage creating offload - just maybe for a change it'll be someone who can steady the ship & add value ... especially if they require a positive vote on the warrant issue at the next AGM!!! ... there's only 1 person I can think of currently two scenario's that would get a definite NO from me, the first is if they do indeed offload massively & quickly, the second is if it's Ol' Blabbergas himself 🤣 - which leaves me very much wondering who it is & if their intention is to hold! & with 10% grab a seat on the board perhaps!!?? 🤔

....notice of the AGM is always RNS'd - that's the cue to start looking out for corporate action voting options ...

... the AGM announcement is 30 days in advance of the AGM ... I'm not with HL but would've thought they were big enough to allow you the opportunity to vote through a voting option/portal as a corporate action which is how I do it ... if you're uncertain it's probably worth contacting them to ask - it's your right & as with elections it's no use complaining after the event - especially if you didn't vote .... at least I can say with certainty that they've not had the authority dis-apply pre-emption rights from me for many years & now they won't get the authority to raise from me either ... unless I am persuaded as to the value it will add AND I can participate ... on my own I've got no chance of success but if enough of us vote AGAINST the relevant resolutions we can stop investment into projects/companies that fail where we also aren't also culpable & we also get the opportunity to invest in it if we choose to do so .... get the message out & try to gain some control over how your investment is used

.... so if like me you want to STOP further dilution unless it's for purposes & investments that WE as the companies existing shareholders have duly considered and feel appropriate the like me vote AGAINST the resolution requesting authority to allot shares and AGAINST the resolution to dis-apply pre-emption rights ...
