Chunks of a million shares with delayed reporting, that's 3 now since yesterday ... hmmmm 🤔

...as a UK based issuer I'm reading it as 2 business trading days starting from midnight on the day of the transaction that causes the relevant threshold to be crossed ....

...if either one or both are voted against ...or neither ... I'm just hopeful the focus is getting Amapa over the line ASAP & the reward, whatever it may be, that brings ...

...more selling of EG1 & a further drop ...- I suspect it's us selling down further ...

....you only require 25% of the total votes CAST to be AGAINST for res 5 to fail ... not 25% of the SCAP (which assuming our new sophisticated investor is now among us by the way is now over 320M in issue so 25% would be 80M+).

last year it only required another 5M shares voted FOR to be voted AGAINST & res 5 would have failed rather than passed ... if like last year only about 20% of the total shares are voted i.e. ~65M of a 324M total then 25% of that would be ~16.5M to block res 5 or ~32M to block res 4 .. wouldn't think the formers so implausible to conceive...

Situation remains if you don't want the BoD to have the authority to allot shares without specific shareholder authority at an EGM vote AGAINST res 4 if you don't mind them having authority to raise by alloting shares but want the option to partake in any raise just vote AGAINST res 5 ... if you don't mind them having the authority to raise by alloting shares and don't want to have the right to partake then vote FOR them both instead .... Your company, your vote, your choice ....

Still no idea who our new 1.27p 9%+ 'Sophisticated' investor is but my own voting against res 4&5 remains firm.

.... you can see it on the CADENCE stock exchange trade .... assume there's a reason the small recent rise today has been reversed ... maybe a large delayed sell will pop up to explain 🤷🏼‍♂️ ...

...every shareholder should be voting for what they believe is in their own best interests, I know what I think mine are it's for others to determine theirs ....

...well I reckon that's already more voting against res 5 than last year & that's with just the few on here ... still up against it I reckon, I suspect there's still those who think the BoD are doing a great job unhindered by restrictions on allocations & who to ask well & those who just think they're good guys with our best interest at heart ... well good guys hmmmm - our best interests even hmmmmmer 😂

Of course - they're shareholders just like you & me ... holdings might not be as big as some of us perhaps but shareholders nonetheless

& already the best part of 4M shares just from the few below ...

Over 15% of those who bothered to vote last year voted against resolution 5 so it's by no means impossible to imagine that it could garner enough votes AGAINST if only enough could be bothered to vote ... I'm sure they'll get a good head start with the 'Sophisticated' investor & their own but nothing is over till it's over - we can but hope & if you vote then at least you've voiced your opinion regardless of the outcome ... on top of everyone else 2.5M is a reasonable leg up & if there's enough of a like mind who knows where it'll finish - if we don't stop them this year who knows what'll be next, we're nearly at the nominal value now ... Without restriction share splits could be on the horizon the way it's going ???

... I await the AGM with a little more hope now at least, but more than anything right now I want to know who our 'sophisticated' investor is & whether that appears to me as good or bad!! I know what I'd like but fear it'll be another huge disappointment - either way from here on I'd like to know what raises are for & have the chance to participate - so regardless my voting AGAINST resolutions 4&5 will remain firm unless something miraculous happens ...

...yep & then the ones that didn't vote are the ones that whinge & whine the loudest & longest

...exactly @ TC & that's the difficulty, getting all of those who can to actually vote, 15% of those who could be bothered last year voted against res 5 so it only requires another 10% voting against to block that one at least ... personally I think that should be achievable if only those who constantly complain or are fed up with the dilution bothered to actually vote.

It remains to be seen who our 'sophisticated' investor is but I reckon the BoD can likely count on their support to add to their own ... maybe once revealed it'll help push people who might otherwise not bother to actually do something - whichever way it is...

.... it's quite difficult to calculate who's got what & which way they'd likely vote TBH ... I suspect our soon to be holder of ~10% (depending on whether they already have some) will be voting with the BoD & possibly some at least of the 1.5p placees if they haven't offloaded & then of course the BoD ... that could give them quite the head start - then of course there'll be a percentage of the can't be bothereds, supporters of the BoD & those who just want to give them easy access to funds without a thought for their own holding .... so it'll take some push to get sufficient backing to vote against resolutions 4&5 .... I'm certainly going to & just have my fingers crossed enough others feel the same way & we can get the message out to vote them down this year & if not resolution 4 at least resolution 5 ... get the message out on whatever forums you're on & let's see whether we can actually gain some real control over 'OUR' company ....

... no idea TC ... wouldn't be surprised if they'd simply 'forgotten' to include it to be honest .. the warrants equate to 4,749,000 shares so less than 5% of the authority they're requesting (£1M nom = 100M additional shares - just for anyone who hasn't worked it out - not you TC 😁 who'll know) ... was gonna wait until we find out who our single investor is before commenting but reckon it might also possibly mean I (& others) won't be impressed & a specific resolution might get voted down - so anyway after all that my determination to VOTE AGAINST resolutions 4 & 5 remains firm .... they can ask us when they require funds & depending on what it's for I'll vote for ...Amapa will likely get a thumbs up & any new rainbow chasing wild goose venture or investment won't.

I'm really hoping enough shareholders feel the same way now & that we've had enough dilution over the years .... incredible to think (ignoring

the consolidation) there's been over a 1000% increase in the SCAP & what to show for it one hopefully good project, a cancelled project & an investment in EG1 doomed to be another failure IMO 🥴 - I dread to think of how many 10's of Millions £ in raises & loans have been wasted on failures over the years 🤯... For those who've had enough of that like me - best vote AGAINST resolutions 4 & 5 .... or at least against 5 so that we as existing shareholders get to the opportunity to feed at the trough ... 👍🏼

.... & as suspected we've been selling for peanuts 😠. approx 5.1% = selling of over 3M shares - everything we've ever invested in is always ends up in sooooo much disappointment ... fingers crossed Amapa delivers ... only positive I can find is that Kiran bought at a fraction under 1.6p shortly after our mystery 1.27p subscriber was announced I'm hoping that says something at least - although he's paid for with by our money effectively...
